EMPLOYMENT AGREEMENT ADDENDUM

THIS ADDENDUM made to the employment contract dated March 29, 2017 by and
between the TOWN OF WARRENTON, a Virginia municipal corporation, acting through the
TOWN OF WARRENTON TOWN COUNCIL, hereinafter called the “Employer” and J.
Brannon Godfrey, Jr., a natural person resident in the Commonwealth of Virginia, hereinafter
called the “Employee”, is being entered into by the same parties to extend the contract pursuant
to the terms set forth herein on this ___ day of January, 2018.

That for good and valuable consideration, the receipt of which is hereby acknowledged
(including but not limited to the mutual covenants contained herein), the parties to this
Addendum to the employment agreement dated March 29, 2017 do hereby amend said
agreement as follows:

1. Section Five subsection A is hereby amended to reflect that the end date of the
Agreement shall be June 30, 2019 replacing the end date of June 30, 2018 thereby
extending the Agreement to an additional year.
2. The date of June 30, 2018 under Section Five subsection E is hereby amended to
June 30, 2019 to reflect the one year extension of the Agreement.
3. Section Six is hereby amended to increase the Employee’s salary by $5,000.00 to
be $155,000.00 to become effective July 1, 2018.
4. The addition of a Section Sixteen which shall state, “The Town Council shall
budget for a consulting firm to be engaged by the Town of Warrenton no later
than August of 2018 to conduct a ‘360 Degree’ analysis of the Town Manager’s
performance. This analysis shall be in a format similar to one that would be
conducted to review the performance of a CEO of a corporation. The consulting
firm shall be selected after a request for proposals has been produced and
advertised, which shall be approved by the Mayor and Vice Mayor, and the
selected consultant shall report to the Mayor and Vice Mayor to construct the
terms of the analysis and to review the final report.”

All other terms of the March 29, 2017 Employment Agreement shall remain in full force
and effect. If there is any conflict between the March 29, 1017 Employment Agreement and this
Addendum, this Addendum shall prevail. Should any new provision of this Addendum be
invalid or determined void, then the remainder of the new terms and old terms shall remain in
full force and effect.
