EXCLUSIVE AND IRREVOCABLE PURCHASE-, SALE/EXCHANGE- AND DELIVERY
AGREEMENT No:

This Agreement is made effective as of dd.mm.jjjj by and between

Mr. BR, ………………………………………………………………………………… as Buyer and

Mr. Eyad El Zouhaili, Syrian Nationality, Passport No: ………, Expiry Date dd.mm.yyyy
as Seller

Seller confirms under penalty of perjury, his full commitment and agreement to offer his assets
mentioned down below for sale.
Furthermore, he hereby warrants and represents that he has the said assets available for sale,
which are clean, clear assets, free of any levy, liens or encumbrances and of non-criminal origin.
He further confirms that he is the beneficial owner of these assets, that he has full signatory
authority and control thereof and that those funds are available for immediate sale at his sole
discretion.

The Assets of Seller are 50 Billion NIQD (Fifty Billion New Iraqi Dinars) in x boxes, each
containing NIQD …….. (In words: .. Billion New Iraqi Dinar) which he will show to Buyer with an
actual POL (Proof of Live). The POL should be a short video that shows the whole amount of
boxes and showing a slide with the following text: 50 Billion NIQD, date of Video and the letters
“RB”.

The all in fixed purchase price concerning the Fifty Billion NIQD is hereby settled on GROSS US$
3.000.000 USD / 1 BI NIQD (in words: ……. Million United States Dollar) and NET US$ 2.500.000
USD / 1 BI NIQD (in words: …… Million United States Dollar) and hereby also settled and closed
a total sum of mutually agreed and shared commission on Sellers side on US$ …… (in words:
……….. United States Dollar) which will be split up 50:50 to Buyers and Sellers side.

Each …. box contains ……. pieces of “red” premium bank notes with a face value of each 25,000
New Iraqi Dinar (total value New IQD/NIQD … (..) Billion) accompanied by at least the standard
and/or necessary workable documents and certificates.

Procedure:
- Buyer sends a draft Purchase Agreement
- Seller confirms or the draft or requests changes or further additions in writing
- Buyer confirms the amended terms in writing
- Seller sends a POL (Proof of Live) as a short video showing the total Boxes and a slip of paper
containing: Fifty Billons of NIQD, the Date of making the Video and the letters “RB”
- Buyer provides the draft of a Bank Guarantee about the fixed purchase price (gross) by a
Trustee
- Seller reconciles the text of the BG with his Bank and sends the now modified BG to Buyer and
a draft order to the Brink’s company to transport all the boxes to free trade area of
Frankfurt/Main in Germany on his own charge
- Buyer sends the valid version of the Bank Guarantee with a reasonable period of 15 Banking
Days by the Trustee
- Seller releases the order of transportation to Brink’s

- Seller informs the Buyer about arrival of the assets in the free trade zone in Frankfurt/Main and
allows him to verify and proof the assets.
- Buyer makes a random testing at the free trade zone in Frankfurt/Main. Are assets clean, clear
and free of any levy, liens or encumbrances and of non-criminal origin he will release the Bank
Guarantee.
- Seller assigns ownership of the assets to the Buyer as soon as the payment is accredited to his
account

Duly signed by Mr. R B, thereafter respectively countersigned by Mr. Eyad AL ZOUAHLI. The said
signatures are hereby duly executed on dd of October, 2017 by:
