fromtheinterestedBiddersforPlantandDesign,Build,forNorthAqabaWastewaterTreatment
Plant.
The intent is to award a Design Build plus Operate (DB + O) Contract for the subject facilities
utilizingathreeenvelopesbiddingprocedure.Thethreeseparateandsealedenvelopesare:
- EnvelopeNo.1containsthebidsecurity,thenameandaddressoftheBidder,
- EnvelopeNo.2containstheTechnicalProposal,and
- EnvelopeNo.3containstheFinancialProposal,
ThethreeseparatedandsealedenvelopesaretobeinsertedinasinglesealedEnvelopeNo.4(The
PROPOSAL)andsubmittedatthedate,timeandplacedescribedbelow.
ThePROPOSALshallbedeliveredtothefollowingaddressbeforethesubmittaldeadline.After
reviewoftheTechnicalProposals,Biddersmaybenotifiedoftheplace,dateandtimeofopening
oftheFinancialProposals.

ThecomponentsforwhichthePROPOSALisrequestedinclude:
1. Preliminary and Detailed design and construction, for North Aqaba Wastewater
Treatment Plant Expansion including the associated wastewater sludge treatment
facilities.
2. Investigateanddotherequiredworktorehabilitatetheexistingmechanical
treatmentplant
3. Emptying,dryingandmaintainingtheexistingnaturalponds(lagoons)tobeusedfor
emergency
4. Operationandmaintenanceofallfacilitiesincludingtheexistingmechanical
treatmentplantforten(10)yearsperiod.
TheProjectislocatedinAqabaSpecialEconomicZone330kmofAmman,HashemiteKingdomof
JordanasshowninFigure1.
Theabovedetailsarepresentedasanoutlinefortherequiredworks.Fordetails,theBiddershould
consultVolume(II)BasisofDesignReportandVolume(III)MinimumTechnicalRequirements,
includedwiththisREQUESTFORPROPOSALS(RFP).
APreBidMeetingandsitevisitwillbeconductedasstatedintheLetterofInvitation.Allbidders
shallconveneatAqabaWaterOffice.TheBiddersshallmakeallarrangementsandpayfortheir
ownaccommodation,mealsandtransportationtoandfromtheAWOfficeandallothercostsfor
attendingthePreBidMeetingandSitevisit.
WrittenquestionsregardingtheRFPshallbesenttoTheEmployerbyfacsimileorhandatAddress
1above.TheEmployershallissuewrittenresponsesnolessthanfourteen(14)dayspriortothe
dateofsubmission,toquestionsreceivedinwritingnolessthantwentyone(21)dayspriortothe
dateforsubmissionofthePROPOSAL.OralinstructionsorexplanationsgiventotheBiddersshall
notbebinding.
PROPOSAL (Envelope 4) in response to this RFP, which shall include the sealed separated
envelopes:theBidSecurity,thenameandaddressoftheBidder(Envelope1),TechnicalProposal
(Envelope2),andFinancialProposal(Envelope3),shallbeaccepteduntilthetimeandonthedue
date,atAddress1withdistributionasnotedabove.
PROPOSAL shall be clearly identified as being for this particular RFP. Fax and electronic
transmissionswillnotbeaccepted.Tobeeligibleforconsideration,PROPOSALshallberesponsive
toalltheitemsinthisRFP.
Biddersshallnotethathanddeliveredresponsepackagesshallnotbeleftatthereceptiondeskof
theEmployer.
Toensuretimelyreceiptofhanddeliveredresponsepackages,BiddersshallcontactAWContact
Persontoarrangeforofficialreceiptofthepackage.
PROPOSALS received after the closing date and time shall not be accepted regardless of the
reasonforthedelay.Biddersshallthereforetaketheappropriatemeasurestoensurethattheir
packagesaredeliveredontime.

The successful Bidder shall enter into a contract with the Employer and shall be contractually

a) TheAqabaWater(TheEmployer)areundertakingamajorprogramforPlantandDesignBuild
plusOperate(DB+O)contractfortheExpansionofNorthAqabaWastewaterTreatmentPlant
b) ThisprocurementwillbesubjecttotherequirementsineffectatthedueDate/Timeforthe
PROPOSALS(SubmittalDateforPROPOSALS).
c) Athreeenvelopesbiddingprocedurewillbeutilized.SealedEnvelope1shallincludetheBid
Security,thenameandaddressoftheBidder,sealedEnvelope2shallincludetheTechnical
Proposal,andsealedEnvelope3,shallincludetheFinancialProposal.Envelopes1,2and3
shall be submitted in sealed Envelope 4 termed The PROPOSAL. The Technical and
FinancialProposalsshallbeopenedforthosewhosubmitanacceptableBidSecurityandshall
beevaluatedseparatelyasdescribedinArticle20following.
d) TheunitratesandpricesshallbequotedbytheBidderinJordanianDinars(JD).Payments
shallbemadeinthecurrencyofJD.
e) TheseInstructionstoBiddersareintendedtoaidBidderinthepreparationofhisPROPOSAL.
ThisdocumentshallbereadtogetherwithallotherTenderDocumentsasstipulatedinthe
Agreementandasmaybeamendedorsupplementedbyaddenda.
f) Thetimeperiodsnamedinthe(RFP)shallbeconsecutivecalendardays,exceptifaduedate
fallsonanonworkday,theduedatewillbethenextworkingday.Jordanworkingdaysshall
applytotheWorkandoccurSaturdaythroughThursday
g) Bidders will not be reimbursed for any costs incurred in connection with preparation or
submissionoftheirPROPOSALS.
h) TermsusedintheseInstructionstoBiddersshallhavethemeaningsassignedintheGeneral
Conditions,ParticularConditions,andtheSpecialConditionsifany.
2. ScopeofWork
TheWorkshallbeassetforthintheTenderDocuments,listedinArticle29.
Capital Work includes preparing preliminary and detailed process and engineering design,
rehabilitateexistingmechanicaltreatmentplant,emptying,dryingandmaintaintheexisting
natural treatment plant (lagoons) and furnishing all labour, equipment and materials
necessary to build and provide the Employer with fully operational complete facilities and
successfullypassingtheperformancetestingfortheWastewaterTreatmentPlant.
Operational Work includes the operation and maintenance of North Aqaba Wastewater
TreatmentPlantfacilitiesfortheten(10)years.
TheWorkshallincludetrainingtheEmployer'sstaffduringtheLastyearoftheOperation
ServicePeriod.
GeneraldescriptionandoutlinedesignoftheWorktobeperformedunderthisContractis
definedin:
VolumeII BasisofDesignReport,
VolumeIII MinimumTechnicalRequirements.
3. QualificationsofBidders
TheEmployerwillonlyreceivePROPOSALSfromFirstGradeWastewaterTreatmentPlantsand
First Grade Electromechanical Bidders as per the latest classification of the Ministry of Public
WorksandHousing.
4. SourceandOriginofMaterials,EquipmentandServices
a) Nationality,sourceandorigin,andcargopreferenceshallbeconsistentwiththeprovisionsof
theGeneral,Particular,andSpecialConditions,ifany.
b) DatashallbefurnishedtotheEmployersRepresentativeforanevaluationofthesuitabilityof
proposed materials and equipment with the technical requirements before any goods,
materials,orcommoditiesareincorporatedintotheWork.TheEmployerretainsfinalapproval
rightsforanygoods,materials,orcommoditiesincorporated,orservicesutilizedintheWork.
5. ObligationsofBidder
a) PriortosubmittingthePROPOSAL,Biddershall:
Be thoroughly familiar with the Tender Documents and other information available to
Bidders.
Be thoroughly familiar with local conditions that may in any manner affect the cost,
schedule,orperformanceoftheWork.
Beinformedastothelocalavailabilityoflabour,equipment,andmaterials.
BethoroughlyfamiliarwithJordancustoms,ordinances,laws,rules,andregulationsthat
mayinanymanneraffectthecost,schedule,orperformanceoftheWork.
b) FailureoromissionbytheBiddertoreceiveorexamineanyform,instrument,ordocument
shallnotrelievehimfromanyobligationwithrespecttohisPROPOSAL.
c) The information presented in the Tender Documents is derived from sources presently
availabletotheEmployer.Allsuchinformationisfurnishedsolelyfortheconvenienceofthe
Bidder.Theinformationitselfshallnotbeconsideredrepresentativeofactualconditionsas
other conditions may be encountered. The Bidder is responsible for making his own site
investigationsanddrawinghisownconclusionsforBidpurposes.
6. PreBidMeeting
a) APreBidMeetingandsitevisitwillbeheldatatime,dateandlocationasdefinedintheRFP.
b) BidderswishingtosubmitPROPOSALSshallarrangeandpayfortheirownaccommodations,
meals,transportationandallothercostsfor attendance atthe PreBid MeetingandSite(s)
visit.TheEmployerdoesnotholdanyresponsibilitywhatsoeverincaseofanyaccidentsthat
mayaffectBiddersrepresentativethroughSite(s)visit.
c) MinutesofthePreBidMeetingshallrecordtheBiddersattending.Oralquestionsraisedinthe
meetingwillberecordedandrespondedtoinwriting.Theoralresponsesgivenarenotbinding
totheEmployerandshallnotbeincludedinthePreBidMinutesofMeeting.
d) AnymodificationstotheTenderDocumentsthatmaybecomenecessaryasaresultofthePre
BidMeetingortheraisedquestionsshallbemadebytheEmployerthroughtheissuanceof
Addenda(s)andnotthroughtheminutesofthePreBidMeetingreferencedabove.
e) FailureofanyBiddertoascertainthenatureoftheWork,orthegeneralandlocalconditions
thatmayaffecttheWorkoritscost,schedule,orperformance,shallnotrelievetheBidder
fromresponsibilityforproperlyestimatingthecostofperformingtheWork.
7. ProcurementofTenderDocuments
TenderDocumentsshallbeobtainedfromtheEmployerattheaddressasindicatedintheRFP.
8. ReceiptofthePROPOSALS
a) TheEmployershallreceivesealedPROPOSALSonlyfromBiddersattheplace,date,andtime
specifiedintheRFP.
b) TheEmployershallopenFinancialProposalsonlyforTechnicalProposalsthatpasstheCriteria
inArticle23.
9. PartialPROPOSALS
a) Bidders shall submit a complete PROPOSALS for all of the Work as presented in the RFP
including
b) PROPOSALScoveringonlyaportionoftheWorkshallbeconsiderednoncompliantandshall
berejected.
10. InterpretationsandAddenda
b) ResponsetoBidderquestionsorrequestsforinterpretationsorclarificationsshallbeissuedto
allBiddersbytheEmployerintheformofAddenda(s)tothisRFPatleastfourteen(14)days
priortothesubmittaldateforthePROPOSALS.
c) Onlyquestions,interpretations,orclarificationsaddressedinformalwrittenAddenda(s)shall
bebindingontheEmployer.Oralorothercommunicationsshallnotbebinding.
11. ModificationorWithdrawalofPROPOSAL
a) BiddershallnotmodifyorwithdrawhisPROPOSALsubmittedpriortothesubmittaldate(due
date/timeforPROPOSALS)listedintheRFP(theSubmittalDateforPROPOSALS)without
approvaloftheEmployer.
b) BiddermayclarifyhisPROPOSALafterPROPOSALSopeningbysubmissionofclarifications
orsupplementalinformation,onlyinresponsetoarequestfromtheEmployer.
c) Clarifications shall be limited to those reasonably necessary to respond to the Employers
requests.
d) IntheeventthattheBidderbecomesawareofanerrorthattheEmployerhasnotidentified,
butwhich,intheBidder'sopinion,requiresamodificationofitsPROPOSAL,theBiddershall
sonotifytheEmployerinwriting.
e) AnyeffortbytheBiddertounilaterallymodifyitsPROPOSALaftertheSubmittalDatemay
resultinadeterminationofnoncompliance.
12. PreparationofPROPOSALS
a) The PROPOSAL shall consist of three separate envelopes: The Bid Security, the Technical
ProposalandtheFinancialProposal,
b) EachoftheBidSecurity,theTechnicalProposal,andtheFinancialProposal,shallbeprepared
intheEnglishlanguageandinsertedinseparatesealedenvelopes,whichshallbeinsertedinto
afourthenvelope(ThePROPOSAL).
c) The original set of PROPOSAL shall be clearly identified as the ORIGINAL by a suitable
notation or stamp on the first and last pages. Copies sets of PROPOSAL shall be clearly
identifiedasCOPYbyasuitablenotationorstamponthefirstandlastpages.Incaseofany
discrepancy,thecopymarkedORIGINALshallgovern.
d) BiddersshallusetheformsprovidedintheTenderDocumentsasfaraspossible.However,if
thisisnotpossibleandtheformsaretoberetyped,Biddersshallusethesameformatand
arrangementshereinandnotdeveloptheirownformat.Anyexceptionordeviationfromthe
specifiedlanguage,formatandcontentsoftheBidFormswillbesufficientgroundsforthe
rejectionofthePROPOSAL.
e) AllblankspacesontheBidFormsshallbecompletelyfilledin.AllinsertionsontheBidForms
andallrequiredsubmittalsshallbetypewrittenorlegiblyhandwritteninink.
f) The Bid Forms shall be dated and signed in the appropriate blanks. Signatures shall be
handwritteninindelibleink,preferablyblueink,andshallbefullylegiblewhenphotocopied.
The names of person(s) signing shall also be legibly typed or printed below the signature
whereveritappearsontheBidForms.
g) The PROPOSAL shall have no interlineations or erasures except those consistent with
instructionsissuedbytheEmployerorasnecessarytocorrecterrorsmadebytheBidders,in
whichcasesuchcorrectionsshallbeinitialledbytheperson(s)signingthePROPOSAL.
h) The Bidder shall prepare its PROPOSAL entirely at its own cost. The Employer shall not
reimburseanyexpensesincurredbytheBidderinconnectionwithpreparationorsubmission
ofthePROPOSAL.
i) ThePROPOSALshallbeevaluatedwithotherPROPOSALSsubmittedbyotherBidders.The
EmployerathisdiscretionmayconsideralternativePROPOSALsubmittedbytheBidderwho
hasthepreferredPROPOSAL.
13. TechnicalProposal
a) The Technical Proposal shall be submitted in looseleaf binders with locking rings in the
following format with all Appendices and Attachments as required hereinafter and shall
consistofthefollowing:
CoverPageidentifyingtheProjectTitle,Date,andtheNameoftheBidder.TheCoverPageshall
alsobeclearlyidentifiedastheTECHNICALPROPOSALforNorthAqabaWastewaterTreatment
Plant.
AcopyoftheLetterofInvitation
LetterofTransmittal.
OrganizationArrangementsincluding:
TypeofOrganization(SingleFirm,ConsortiumorJointVenture)andProposedStructure;
ParticularsofIndividualsCompanies;
PowerofAttorneyDesignatingLeadFirmandContactPerson;
NotarizedStatementindicatingthatallmembersoftheTeamshallbejointlyandseverally
liabletowardstheEmployerforthePROPOSAL.

b) All pages comprising the Appendices and Attachments to the Technical Proposal shall be
numbered sequentially with appendix label and page number (e.g., A1, A2B1, B2) or
attachmentlabelandpagenumber(e.g.,Attachment11,Attachment12),asappropriate.
c) Technical Proposals shall not contain any reference to prices. Any Technical Proposal
containingsuchreferencemaybejudgednoncompliantatthediscretionoftheEmployer.
d) TheBasisofDesignReportandMinimumTechnicalRequirementsincludedinthisRFPconvey
theintendeddesignbasesandconceptsfortheProject.
e) TheBiddershallreviewallofthedocumentsassociatedwiththisRFPanddescribeinthespace
providedontheAppendixtotheTechnicalProposalForm(AppendixTPN)anyexceptionsor
variationstotheConceptualDesignthattheBidderproposesinordertofacilitatehisdesign,
construction,oroperation,ifawardedtheContract[Generally,exceptionsandvariationswill
seek to change Volume III Minimum Technical Requirements]. The list of exceptions and
variations shall be supplemented with different conceptual design drawings and technical
specificationsthatcompletelydescribetheexceptionsandvariationsbeingproposedandthe
reasonsandrationaleforsuchPROPOSALS.MarkupsoftheoriginalConceptDrawingsand
MinimumTechnicalRequirementsmaybeusedtodescribetheexceptionsandvariations,as
supplemental drawings and specifications provided that all exceptions and variations are
clearlyshownanddescribed.
f) TheBiddershallnotproposeanymaterialmodificationstothedocumentsastheseshallnot
be considered. Material modifications are ones that affect in anyway, the scope, quality or
deliverydatesoftheservicetobeprovidedorlimitsinanywaytheresponsibilities,dutiesor
liabilitiesoftheBidderortherightsoftheEmployer,EmployersRepresentativeorFinancier.
Material modifications will generally seek to modify Volume I, Bidding and Contract
RequirementsandVolumeII,BasisofDesignReport.
g) The Bidder shall submit his design that covers hydraulics, process loading and equipment
needed.
h) TheBidderacknowledges,bysubmissionofhisTechnicalProposalthat,ifawardedaContract,
he shall complete the Design consistent with the Design Criteria, Minimum Technical
RequirementsandconceptsincludedinthisRFP,unlessspecificexceptionsandvariationsto
theConceptualDesignareidentifiedanddescribedwithhisProposal,asdescribedabove,and
suchareacceptedandapprovedforimplementationbytheEmployer.
i) All exceptions and variations shall be specific in nature with references to the applicable
Sectionnumber/title,pagenumber,andarticlenumberinthisRFP.Exceptionsandvariations
that are general or nonspecific, that make reference to the Bidders standard terms and
conditions,orthatmakereferencetotheBiddersdescriptiveinformationasawholeshallnot
beconsidered.
j) IftheBiddertakesnoexceptionsorvariationstothisRFP,heshallwriteNONEinthespace
providedontheTechnicalProposalForm.
k) The Bidder shall submit information concerning proposed equipment and materials on the
EquipmentDataForms.DatasubmittedshallbeconsistentwiththeTenderDocumentsissued
exceptincaseswhereexceptionsorvariationshavebeenproposedbytheBidder.Inthiscase,
theBiddershallsubmitinformationconsistentwithhisproposedexceptionsorvariationsand
informationondesignmodificationsproposed,newspecifications,preliminarydrawings,and
other descriptive information to support his Proposal. Information submitted shall be in
sufficient details to show the size, arrangement, and operation of component devices,
performancecharacteristics,andotherpertinentdatanecessarytodescribetheequipment
andmaterialsheproposestofurnish.
l) TheBiddermaysubmitonealternativeproposalthatshallachievethetreatedwastewater
qualityrequirementsandothermandatoryrequirementsrequiredbytheRFP.TheEmployer
athisdiscretionmayconsiderthealternativeproposalfortheBidderwhosehasthePreferred
PROPOSAL.
m) EquipmentDataFormsshallbesupplementedwithcataloguedatasheetsandinformation.
n) TheTechnicalProposalshallbebasedonnewequipmentandmaterialsthatcomplywiththe
minimumtechnicalrequirementsand/ortheexceptionsorvariationsproposedbytheBidder
asdescribedabove.
o) Any Technical Proposal not having sufficient descriptive data to accurately describe the
equipment or materials proposed may be considered noncompliant and rejected unless
sufficient supporting data is submitted upon request of the Employer. Drawings and data
submittedbythesuccessfulBidderwillberetainedbytheEmployer.Anydeparturefromthese
drawingsanddata as submittedwillnotbepermittedwithoutwrittenpermissionfromthe
Employer.
p) The Bidder shall submit a preliminary schedule for implementation of the Works, showing
milestones and completion dates for each section of the Works, including the testing
arrangements, supply of all major equipment and materials, conceptual and final design
submittals and reviews, shop drawing submittals and reviews, procurement, mobilization,
major construction elements, equipment installation, and commissioning. The successful
Bidder shall be required to submit to the Employer a critical path schedule covering all
activitiesofWorkasdescribedinVolumeIIIMinimumTechnicalRequirements.
14. FinancialProposal
a) TheFinancialProposalshallconsistofthefollowing:
I. CompletedFinancialProposalForm,
II. CompletedScheduleofContractPrices,
III. CopyofBidSecurity,and
IV. ContractData
b) AftertheTechnicalProposalshavebeenevaluatedandallambiguitiesclarified,eachBidder

c) AllblankspacesontheFinancialProposalFormandtheScheduleofContractPricesshallbe
filled.ABidpriceshallbeindicatedforeachsection,item,unitprice,oradjustmentprice,or
thewordsNOCHARGE,orotherappropriatephraseshallbeentered.Proposalsreceived
withoutsuchitemscompletedmaybeconsiderednoncompliant.
d) TheBiddershallacknowledgereceiptofallAddenda(s),thenumbersanddatesofwhichshall
beincludedintheFinancialProposalForm.
e) TheContractPricesforalltheitemsintheScheduleofContractPricesshallbethetotalPrice

f) TheEmployerwillreviewtheFinancialProposalforarithmeticerrorsandforconsistencywith
the General Conditions, the Particular Conditions and the Special Conditions. Any errors
identifiedbytheEmployerthatresultincorrectionstothepriceshallbecarriedforwardtothe
FinancialProposalFormbytheEmployer.TheBiddershallbeinformedofsuchcorrectionsand
unlessdisputedshallbebindingontheBidder.
g) TheContractPriceintheScheduleofContractPricesshallbethefullinclusivevalueofthe
finishedWork,overheadandprofit,andallobligationsasdefinedintheTenderthatshallbe
bornebythesuccessfulBidder.
15. SignatureofPROPOSALS
a) The original and copies of both the Technical Proposal and the Financial Proposal shall be
signed using indelible ink, preferably blue ink,by the person(s) duly authorized to bind the
BiddertotheContract.ProofofauthorizationshallbefurnishedintheformofawrittenPower
ofAttorney,whichshallaccompanythePROPOSAL.
b) Thenamesofperson(s)signingshallalsobelegiblytypedorprintedbelowthesignature.
c) A PROPOSAL by a person(s) who affixes to a signature the word President, Secretary,
Agent,orotherdesignationwithoutdisclosingthefirmsidentity(s)maybeheldtobethe
Proposaloftheindividual(s)signing.
d) PROPOSALSbycorporationsshallbeexecutedinthecorporatenamebythePresident,Vice
President,orotherdulyauthorizedcorporateofficer,andthecorporatesealshallbeaffixed
and attested to by the Secretary or Assistant Secretary of the corporation. The State of
Incorporationshallbeshownbelowthecorporatename.
e) PROPOSALSbyJointVentures(JV)shallbeexecutedbytheLeadMemberoftheJV.Inthis
case,Items1through4aboveshallalsoapplytotheLeadfirmasappropriate.
16. ContractPrice,CurrencyandPayment
a) TheContractPriceshallincludeallcoststobeincurredbytheContractorundertheContract,
plusoverheadandprofit,inordertocompletetheWorkasspecifiedfortheDesignBuildand
Operation Services for the specified periods, including but not limited to: wages, salaries,
travelof/toJordanandnonJordanianpersonnel,allmaterialsandequipmentincludingcost,
insurance,andfreight,sparepartsconsumablesrequiredforOperationandMaintenanceof
the facilities, and other materials properly imported by the Contractor into Jordan for the
Work,andtheinsuranceandfreightonthereturnofallContractorsequipmentfromJordan
upon completion of the Work, and overhead costs including those outside Jordan, interest
charges on financing, premiums on securities and insurance, and any other direct and
administrativeexpensesproperlyincurred.
b) Whereindicated,ContractPriceshallbeenteredintotheFinancialProposalFormexpressed
inbothfiguresandwords.Discrepanciesbetweenfiguresandwordsshallberesolvedinfavour
ofwords.
c) AnyBidItemagainstwhichnorateorsumisquotedshallnotbepaidforseparatelywhenthe
Workdescribedthereinisexecutedanditshallbedeemedtobecoveredbyotherratesand
sumsintheScheduleofContractPrice.
17. SupplementalData
a) AllsupplementaldatarequiredbythePROPOSALFormsshallbecompletedandprovided.
b) Supportingmaterialshallbesubmittedforallsupplementaldataprovided.
c) Thesupportingmaterialshouldbeasextensiveandascompleteaspossibletoenablean
objectiveevaluationwiththeminimumnecessitytorequestadditionalinformation.
d) TheContract,ifawarded,willbebasedonthetypeofequipmentandmaterialsidentifiedon
the Equipment data sheets provided by the Bidder, including possible exceptions and
variationsasdescribedabove.AwardingtheContractshallnotrelievetheContractorfrom
supplyingequipmentandmaterialsthatpassedtheminimumtechnicalrequirementsunless
exceptionorvariationisstatedclearly.
18. BidSecurity
a) ABidSecurity,denominatedinJDintheamountsofJD300,000shallbesubmittedina
separateenvelope(Envelope1).
b) TheBidSecurityshallbepayabletotheEmployerand,attheBiddersoption,beinoneof
thefollowingforms:
I. BankguaranteeissuedbyaforeignbankandendorsedbyalocalbankinJordan.
II. Bankguaranteeissuedbyaforeignbankthathasabranchbankcurrentlyoperatingwithin
theJordan.
III. BankguaranteeissuedbyalocalbankinJordan.
c) TheBidSecurityshallbeconsistentwiththesampleformofBidSecurityincludedwiththis
RFP.IssuancedateandexpirydateshallbeshownontheBidSecurity.Thevalidityperiod

d) AnyPROPOSALnotaccompaniedbyanacceptableBidSecuritywillberejectedbythe

e) All Bid Securities shall be returned within one week after the date that the Contract
AgreementisratifiedbyAqabaWater(AW).

II. ThesuccessfulBidderfailstoexecutetheContract,withinthespecifiedperiod.

20. PROPOSALSOpenings
a) The evaluation process shall begin with the Bidders submission of the PROPOSALS as
stipulatedherein.
b) The PROPOSALS shall be opened after the close of the Due date/time for PROPOSALS
(submittaldate),asspecifiedintheRFP.
c) TheBidSecurityvalue,source,issuancedate,expirydateandvalidityperiodshallbechecked
for conformity with requirements. Noncompliance of Bid Security as specified and to
requirementsshallleadtostopfurthertheevaluation.
d) Inclosedsession,theTechnicalProposalswillbeevaluated:
I. Todeterminecompleteness.`
II. If found complete, the Technical Proposals will be evaluated as specified herein and
BidderswhosesubmittalsareacceptedinaccordancewiththerequirementsofArticle(23)

e) The Financial Proposal opening will be at a location and time to be determined by the
Employer.
f) At the Financial Proposal opening, the Employer will document the Bidders name, the
ContractPrices,andothersuchdetailsastheEmployerconsidersappropriate.
g) Any submittal of a Financial Proposal that is unsolicited or associated with a Technical
Proposalthathasnotbeenacceptedwillnotbeconsidered.
h) TheEmployershallprepare,forhisownrecords,minutesoftheFinancialProposalopening,
includinginformationdisclosedtothosepresent.
21. PeriodofValidity
a) The PROPOSALS shall remain valid and open for acceptance for 180 days from date of
Submittal/ Opening of PROPOSALS. PROPOSALS valid for a shorter period or with
conditionsshallberejectedbytheEmployerasnoncompliant.
b) AllContractPricesshallbefirmandshallremainfirmwithoutvariationforacceptanceat
any time within the Bid validity period and thereafter until the Letter of Acceptance is
issuedtotheSuccessfulTenderer.
c) In exceptional circumstances, prior to expiration of the original validity period, the
EmployermayrequestthattheBidderextendtheperiodofvalidityforaspecifiedperiodof
time. The request and the responses thereto shall be made in writing by facsimile,
electronic mail, courier service, or registered mail. A Bidder may refuse the Employers
request for extending the period of validity without forfeiting its Bid Security. A Bidder
agreeingtotherequestwillnotberequirednorpermittedtomodifyitsPROPOSAL,but
willberequiredtoextendthevalidityofhisBidSecuritycorrespondingly.Theprovisions
regardingdischargeandforfeitureoftheBidSecurity shallcontinueto applyduringthe
extendedperiodofvalidity.
22. EvaluationofPROPOSALS
a) Theobjectiveoftheevaluationprocessistoselect,inafairandtransparentprocess,the
BidderwhosePROPOSALissubstantiallycompliant,technicallysound,andisjudgedtobe
themosteconomicallyadvantageoustotheEmployer.
b) TheevaluationwillbecarriedoutbyaCommitteeappointedbytheEmployer,assistedby
technical,financial,andlegaladvisorsasthecasemayrequire.
c) TheEmployerreservestherighttoacceptorrejectanyPROPOSALandtocanceltheBidding
Process and reject all PROPOSALS at any time prior to the award of Contract without
incurring any liability to the affected Bidder(s) or any obligation to inform the affected
Bidder(s)ofthegroundsforitsaction.
d) Theevaluationwillbegenerallyconductedasfollows:

24. EvaluationofFinancialProposals
a. TheEmployerwillexaminetheFinancialProposaltoconfirmthatitconformstoallterms,

26. ExecutionofContractAgreement
a. Prior to expiration of the period of tender validity prescribed by the Employer, the
EmployershallprepareaContractAgreementandnotifytheprospectivesuccessfulBidder
byfax,confirmedbyregisteredletter,accordingly.
b. ThePartieswillproceedtosigntheContractAgreement
c. Prior to the expiration of the period of tender validity the Contract Agreement will be
ratifiedbytheAqabaWater(AW).ThedateuponwhichAqabaWaterratifiestheContract
AgreementshallbethedatethattheContractbecomeseffective.IfAqabaWaterfailsto
ratifytheContractAgreementthantheContractisnoteffective.
d. UponthefurnishingbythesuccessfulBidderofaPerformanceSecurity,theEmployerwill
promptlynotifytheotherBiddersthattheirTendershavebeenunsuccessful.
27. ProprietaryInformation
e. TheTenderDocumentsandalldatacontainedtherein,orappendedorrelatedthereto,are
the property of the Employer and are delivered only for the purpose of enabling each
potentialBiddertoprepareandsubmitaProposalinresponsethereto.Theinformation
contained or referred to in the Tender Documents or appended thereto is not to be
disclosednorreleasedforanyotheruseorpurpose.
28. SpecialConceptualDesignConsiderations
a. TheBasisofDesignReportandtheMinimumTechnicalRequirementsthatformapartof
the Bidding Documents define the Outline Design developed and establish minimum
requirementsforperformanceandqualityuponwhichthesuccessfulBiddersFinalDesign
shallbebased.Theaccuracy,completeness,andqualityoftheFinalDesignshallbethe
soleresponsibilityofthesuccessfulBidder.
b. BiddersmayproposeintheirTechnicalProposalsexceptionsandvariationswhichdescribe
alternativematerials,equipment,andprocesses withinthelimitsdefinedintheTender
Documents provided these exceptions and variations maintain or improve the quality,
reliability,oroperationaleffectivenessofthecompletedworks.

3.3Instructions Insertafterthesecondparagraph:

Representative InstructionsgivenbytheEmployersRepresentativeshallbeinwriting,
providedthatifforanyreasontheEmployersRepresentativeconsiders
it necessary to give any such instruction orally, the Contractor shall
comply with such instruction. Confirmation in writing of such oral
instructiongivenbytheEmployersRepresentative,whetherbeforeor
after the carrying out of the instruction, shall be deemed to be an
instructionwithinthemeaningofthisSubClause.
Provided further that if the Contractor, within (7) days, confirms in
writing to the Employers Representative any oral instruction of the
EmployersRepresentativeandsuchconfirmationisnotcontradictedin
writing within (7) days by the Employers Representative, it shall be
deemedtobeaninstructionoftheEmployersRepresentative.
It is understood and agreed by both parties that the Employers
Representativeshallnotbeliableforanyopinionsrenderedinregardto
whetheradefaultexistsundertheContract,whensuchopinionshave
been made by the Employers Representative in good faith and in
accordancewithgoodengineeringpractice,andneitherpartyshallbring
or maintain any legal or administrative action based on any such
opinion(s).

Subcontractors (a) The total value of all subcontracted work shall not

Assurance TheContractPriceshallincludetheemploymentofathirdpartiesto
checktheconsistencyofmaterialandrequiredproductentriesandthe
mechanical, electrical and electronic products (like pipes, valves,
equipment, control systems and starting systems) for the required
specifications
The Contractor must present a written request for approval to the
Employers Representative attaching the information that testifies the
ability,experienceandspecialtyofeachofthirdpartyinthefieldandits
readinesstodoso.Iftheproposedthirdpartyisrejected,theContractor
mustproposedfurthercandidatesuntilapprovalisgranted.
Thethirdpartiesundertakesthefollowing:
(i)Checkmethodsandconducttestingforworkmanshipinaccordance
withtherequirementoftheContractSpecification
(ii)Checkthemanufacturingmethodsandsuperviseandassurequality
control implemented at the plant to testify the ability of the
manufacturing firm to manufacture the product according to the
requiredspecifications.
(iii)Inspectthequalitycontrolduringmanufacturing.
(iv)Inspecttheproductbeforewrappingandthemethodofwrapping
andpackingandloadingforshipment.
(v)Presentacertificatethatincludesthetestsmadeontheproduct,the
results and comparing them with the Specification and witness the
wrapping of the product, packing, loading, unloading, shipment with
dates.

all Statutory Requirements, Good Industry Practice and the standards
andotherrequirementsofthisAgreement.
(c) The Contractor shall store and dispose the dried sludge and any
othermaterialresultingfromorarisingoutoftheoperationofthePlant.
Thecontractorshallsubmithisproposalforthis.
(d) TheContractorshallperformallcorrective,predictive,preventive
androutinemaintenance,repairandrenovationofthePlant,insuchway
astooptimizetheirlifeandperformanceandtomaintainatalltimesthe
treatment plant and associated materials and equipment in a safe,
operative and sound condition and in compliance with all Statutory
RequirementsandGoodIndustryPracticeandthestandardsandother
requirementsoftheAgreement.

(f) DuringtheOperationServicePeriod,theContractorshallnotcarry
outanymaterialmodificationswithoutapprovaloftheEmployer.
(g) TheContractorshall:
(1) perform the Services using all the skill, care, diligence, efficiency
and economy to be expected of a professional wastewater utility
operator working in accordance with Good Industry Practice;
(2) The Contractor shall, in all matters arising in the performance of the
Contract, comply with and give all notices under the provisions of
any national or state statute, ordinance or other law, or any
regulation of any legally constituted public authority having
jurisdiction over the Services.

(8) use only appropriate advanced technology and safe and effective
methods;
(9) use only equipment, machinery, materials and goods which are new,
unused and of sound and merchantable quality, workmanship,
manufacture and fabrication and fit for their intended purpose;
(10) ensure that all persons employed in performing the Services shall be
properly qualified and supervised;
(11) keep the Site, the Plant and other facilities in a neat and clean
condition and in conformity with all Statutory Requirements and
Good Industry Practice; and
(12) Comply with all the requirements of and satisfy the performance
criteria set out in this Agreement.
(h) TheContractorshallcarryoutallinspectionsandtests,including
laboratorytestsandanalysesofwastewatersamples,asaresetoutin
thetenderdocumentsorasmayberequestedbytheEmployer.
Neitherinspectionsortestsorwitnessingoftestsorinspectionbythe
Employer nor its instructions, directions, comments, consents or
approvalsshallrelievetheContractorofanyofitsobligationsorliabilities
underthisAgreement.

6.12Foreign arenecessaryfortheexecutionoftheWorkstotheextentallowedby
Personnel the applicable Laws. The Contractor shall ensure that these personnel
are provided with the requiredresidence visasand work permits. The
Employerwill,ifrequestedbytheContractor,usehisbestendeavoursin
atimelyandexpeditiousmannertoassisttheContractorinobtainingany
local,state,national,orgovernmentpermissionrequiredforbringingin
theContractorspersonnel.
TheContractorshallberesponsibleforthereturnofthesepersonnelto
theplacewheretheywererecruitedortotheirdomicile.Intheeventof
thedeathintheCountryofanyofthesepersonnelormembersoftheir
families, the Contractor shall similarly be responsible for making the
appropriatearrangementsfortheirreturnorburial.
The Contractor shall be responsible, to the extent required by local

6.14Employment The Contractor shall keep complete and accurate records of the
Recordsof employmentoflabourattheSite.Therecordsshallincludethenames,
Workers ages, genders, hours worked and wages paid to all workers. These
recordsshallbesummarizedonamonthlybasisandshallbeavailable
forinspectionbytheEmployersRepresentativeduringnormalworking
hours.Theserecordsshallbeincludedinthedetailstobesubmittedby
theContractorunderSubClause6.10[RecordsofContractorsPersonnel
andEquipment].
In the event of any outbreak of illness of an epidemic nature, the

6.17Reportingof anyaccidentonorabouttheSiteorinconnectionwiththeexecutionof
Accidents theWorks,assoonaspossibleand,inanyeventwithin24hoursafterits
occurrence. The Contractor shall also report such accident to the
appropriateauthoritywheneversuchreportisrequiredbylaw.Inthe
caseofanyfatalityorseriousaccident,theContractorshall,inaddition,
notify the Employers Representative immediately by the quickest
availablemeans.
TheContractorshallnotrecruitorattempttorecruithisstaffandlabour

WithoutinanywaylimitingtherightsofAW,duringthefinalsixmonths

forthaboveshall,however,beeffectedbytheContractorimmediately
uponexpirationofsuchperiodoftime.
(b)UponterminationofthisAgreementthetransferrequirementsset
forthaboveshallbeeffectedbytheContractorimmediatelyuponreceipt
byitofthecompensationforOutstandingDebt,EquityCompensation
and Termination Costs. If the Contractor fails to supply AW with a
Termination Payment Calculation within 21 days, the transfer
requirements set forth above shall, however, be effected by the
Contractorimmediatelyuponexpirationofsuchperiodoftime.Forthe
avoidanceofdoubt,thetransferrequirementssetforthaboveshallnot
beeffectedbytheContractorinsuchsituationuntiltheresolutionofany
disputeswithrespecttothepaymentoftheterminationcompensation.
(c)AssoonastheContractor,intheContractor'sopinion,hasconformed
toalltransferrequirementssetoutin(a)andhashandedovertheactual

a) ScheduleofContractPrice
2. In the Schedule of Contract Price the subheadings and item descriptions identify the
work covered by the respective items. The exact nature and extent of the work to be
performedshallbeascertainedbyreferencetotheContract.
ThepricesenteredinthisScheduleshallincludeforallworksshownordescribedinthe
Contractasawholeandforallworksnotdescribedbutapparentasbeingnecessaryfor
the complete and proper execution of the Works unless otherwise stated within the
Contract.
3. ThepricesinsertedintotheScheduleofContractPricebytheTenderershallincludeand
shallbedeemedtoinclude(interalia)thefollowingwhethertheyareseparatelyitemised
orspecificallyreferredtointheScheduleofContractPrice:
a) Allliabilities,obligations,contingenciesandrisksimposedbyeachandeveryone
oftheContractDocuments;
b) StrictcompliancewitheachandeveryprovisionoftheContract;
c) The full cost, overhead and profit of all design, supply, works and services and
everythingnecessaryforthedueexecution,completionandDefectsNotification
PeriodoftheWorks;
d) ThepricesinsertedbytheTenderershallbefullyinclusiveofalltaxes,liabilities,
expenses, Customs and other import duties. The Tenderer shall note where
import duties or taxes are refundable it shall be the responsibility of the
Contractor to pay all such duties and taxes and to seek subsequent repayment
and no liability whatsoever for such duties and taxes or subsequent repayment
shallfallontheEmployer.
4. The prices inserted shall include, but not be limited to Guarantees and Securities,
Insurances,SiteEstablishmentincludingrunningcostsandsitelandrentalcostsand
removal of the Site Establishment, Supervision and staff, all equipment, Facilities
and Vehicles for the Employers Representative and all other requirements as
specifiedintheTenderDocuments.
5. ALumpSumisafixedsumthathasbeenenteredintheScheduleofContractPrice.
TheSumcannotbeamendedordeleted.
6. AnyerrorsintheScheduleofContractPriceoromissionsthereof,shallnotvitiatethe
ContractnorreleasetheContractorfromtheexecutionofthewholeoranypartof
theWorksorfromanyofhisobligationsundertheContract.
7. The Tenderer is cautioned that the completed Schedule of Contract Price shall be
usedforevaluationandbasedontheConditionsofContract,shallalsobeusedto
paytheContractorbasedonmonthlyprogressofthedescribedworks.
8. All Provisional Sums can only be expended in whole or in part at the direction and
discretion of the Engineer in accordance with Clause 13.5 of the Conditions of
Contract.
9. Notwithstandingitems1to7ThepricesinsertedintheScheduleofContractPricefor
Operation and Maintenance of the Works shall deemed to include for all costs
relating to the Operation and Maintenance of the Works inter alia, all supervision,
labour, equipment, materials, chemicals, electricity, fuel, chlorine, lubrications,

OPERATINGLICENCE
AideMemoire
TheoperatingLicenceisadocumentwhichisissuedbytheEmployertotheContractorat
the time of issuing the Letter of Acceptance in accordance with the SubClause 1.7
[OperatingLicence]oftheConditionsofContract,althoughitwillnotcomeintoeffectuntil
theissueoftheCommissioningCertificate.
ThepurposeoftheOperatingLicenceistogivetheContractorunhinderedlegalaccessto
theWorksandthefacility,andthelegalrighttooperatethefacilityduringtheOperation
ServicePeriodincompliancewithhisobligationsunderhisContractwiththeEmployer.
Thetermsofthelicencemustensurethatitisroyaltyfreeandisissuedwithoutcosttothe
Contractor. It will automatically come into full force and effect upon the issue of the
CommissioningCertificate,anditshallremaininfullforceandeffectuntiltheissueofthe

The natureandformatoftheOperatingLicencemustclearlydefinetherequirementsof

Contractor unhindered access to the facility for the duration of the Operation Service

canvassedtheFinancialProposalssubmitted,andhasdeterminedtheContractortobeonewith
the lowest Comparable Bid Price of those responsive and responsible prequalified Bidders for
theWorkanddulyawardedtotheContractoraContracttherefore,forthesumorsumsnamedin

NOW,THEREFORE,inconsiderationofthecompensationtobepaidtotheContractorandofthe

agree, the Employer for itself and its successors, and Contractor for itself, himself, herself, or

ARTICLE1:DEFINITIONS
1.1 InthisAgreementwordsandexpressionsshallhavethesamemeaningsasarerespectively
assignedtothemintheConditionsofContracthereinreferredto.
ARTICLE2:THEWORK
2.1 TheContractorshalldesign,build,complete,operateandmaintaintheWorksinconformity
andinallrespectswiththeprovisionsoftheContract.
ARTICLE3:CONTRACTPRICE
3.2 TheEmployerherebycovenantstopaytheContractor,inconsiderationoftheexecutionand
completion of the Works, operation and maintenance requirements and the remedying of
defects therein, the Contract Price at the times and in the manner prescribed by the
Contract.

ARTICLE5:MISCELLANEOUS
5.1 NoassignmentbyapartyheretoofanyrightsunderorinterestintheContractDocuments
willbebindingonanotherpartyheretowithoutthewrittenconsentofthepartysoughtto
bebound,exceptthatmoniesthataredueormaybecomedueunderthisContractmaybe
assignedtoafinancialinstitutionasapartofafinancingarrangementaslongastheyinno
manner affect therights, responsibilitiesand prerogatives of the parties to the Contract;
and,unlessspecificallystatedtothecontraryinanywrittenconsenttoanassignment,no
assignmentwillreleaseordischargetheassignorfromanydutyorresponsibilityunderthe
ContractDocuments.
5.2 TheEmployerandContractoreachbindsitself,itspartners,successors,assignsandlegal
representatives to the other party hereto, its partners, successors, assigns and legal
representatives in respect to all covenants, agreements and obligations contained in the
ContractDocuments.
5.3 Severability:Shouldanyprovisionofthisagreementbefoundinvalidorunenforceablebya
court of proper jurisdiction or an arbitral tribunal, such finding shall not invalidate the
remainingprovisionshereof,andsuchremainingprovisionsshallcontinueinfullforceand
effect.
5.4 Upon such finding of invalidity or unenforceability, the Parties shall immediately
renegotiate reasonably and in good faith the provision found to be invalid or
unenforceable,aswellasanyothertermsandprovisionshereof,asnecessarytoachieve
asnearly as possibletheirprocedural,economic,remedialand otherexpectationasset
forth herein, and to mitigate the impacts resultant from such finding of invalidity or
unenforceability.
5.5 Neither Party shall be deemed to have waived any of its rights under this Agreement
by participating in such renegotiation efforts, and may withdraw from same without
prejudice to its rights after a good faith effort to effectuate the purpose of this
Article(5.5).
ARTICLE6 PAYMENTSANDPENALTIES
6.1 The Contractor agrees that the Plant design and operation performance must take into
account the pollution loads stated in Volume IIBasis of Design Report of the tender
documents.
6.2 The Employer agrees that if the raw wastewater quality deteriorates to a level that the
whole biological process failed due to presence of toxic materials, the actual additional
cost incurred by the Contractor for remedy shall be paid by the Employer to the
Contractor. All activities shall be mutually agreed upon prior to starting remedy and all
relatedcostsshallbemutuallyagreedbasedondisclosedratesandamountsforremedies.
6.3 TheContractoragreesthatifthefinished/treatedeffluentofwastewaterqualitydoesnot
meetthelimitvaluesrequirementsstatedinTable3.1inVolumeIIBasisofDesignReport
of the RFP, then costs and charges for Operation and Maintenance, electricity, chlorine
andchemicalsduringthemalfunctionperiodshallbornebytheContractor.
6.4 TheContractoragreesthathisContractpriceincludesforhydraulicandbiologicaltesting
eachunitofthesystematdesigncapacityandthearrangementsrequiredtoprovidethe
designcapacityoftheunit.TheContractoralsoagreesthatremediesrequiredtoachieve
the design capacity shall be to the Employer's approval and shall be born by the
Contractor.
6.5 TheContractoragreesthatwastewaterqualityforinletandoutletofeachtreatmentunit
shall be conducted by an independent laboratory proposed by the contractor and
approved by the Employer. Not withstanding the laboratory available in the WWTP, the
performancetestscostshallbebornebytheContractorandincludedinTenderPrice.
7 ASSIGNMENTANDSECURITY
7.1 Assignment:TheContractormaynot,withoutthepriorwrittenconsentofAWassignor
transfer(i)theAgreement,(ii)anyofitsrightsorobligationshereunder,or(iii)anyofits
assets,otherthancash,deposits,orreceivables,requiredbyitfortheimplementationof
theProject.
7.2 AWmaynot,withoutthepriorwrittenconsentoftheContractorassignortransferthis
Agreementoranyofitsrightorobligationshereunder.
7.3 CreationofSecurity:NotwithstandingtheprovisionsofArticle7.1oranyotherprovision
ofthisAgreement,forthesolepurposeoffinancingthedesign,engineering,
procurement,construction,operationandmaintenanceoftheProject,theContractor
may,uponpriorwrittenapprovalofAWandtotheextentpermissibleunderapplicable
StatutoryRequirements,assignorcreateasecurityinteresttotheFinancier(s)pursuant
totheExpansionDebtfinancingDocumentsinitsrightsandinterestsin,underor
pursuantto(i)thisAgreementor(ii)therevenuesoranyoftherightsorassetsofthe
Contractor,
7.4 TheFinancier(s)rightsinrelationtothesubstitutionoftheContractorshouldbe
approvedbyAW.
ARTICLE8 EFFECTIVEDATEOFAGREEMNET
8.1 TheeffectivedateofthisAgreementshallbethedatethattheContractAgreementis
ratifiedbytheAqabaWater.
