MEMORANDUM OF AGREEMENT (MOA)

KNOW ALL MEN THESE PRESENTS:

This Memorandum of Agreement is made and entered into by and between:

BATAAN PENINSULA STATE UNIVERSITY located in Balanga City, Bataan, represented herein by DR.
GREGORIO J. RODIS in his capacity as the University President who is authorized to represent in this
transaction, hereinafter referred to as the UNIVERSITY.
- and -

COMPANY NAME, located in Company Address represented herein by COMPANY REPRESENTATIVE in his
capacity as the Company Position, hereinafter referred to as the COMPANY.

WITNESSETH: That

WHEREAS, the UNIVERSITY is offering the On-the-job training program to qualified students who shall
undergo industry exposure to form part of the requirements of the program prior to graduation in order
to become adequately familiar with the actual industrial operations and management, thereby
augmenting their formal training;

WHEREAS, the COMPANY agrees to accept students of the UNIVERSITY as trainees in support of its On-
the-Job Training Program which aims to forge a strong academe-industry linkage and complement
existing course curricula to match industry demand;

NOW, THEREFORE, the UNIVERSITY and the COMPANY do hereby agree and stipulate the following:

A. SCHOOL shall :

1. Recommend qualified students who shall undergo the training program taking into consideration
the requirements of the COMPANY in terms of qualifications and number of students.

2. Designate an OJT Moderator who shall be assigned with the following responsibilities:
Orientation of students about the rules, proper attitude and behavior inside the job-site,
particularly towards the employees;
a. Monitor attendance, activities and performance of students during the training program
in the COMPANY and
b. Coordinate training program with the COMPANYs HR Department.

3. Submit to the HR Department requisite documents required for this program.

4. Together with the students and parents concerned, renounce and waive any claim against the
COMPANY for an injury that the students may sustain or loss that they suffer, personal or
pecuniary, arising from negligence in the performance of their duties and functions while under
training. The waiver of the OJT student and their respective parents shall be submitted to the HR
Department prior to the commencement of the training.
5. Ensure that all students prior to deployment shall be covered by the GROUP ACCIDENT &
HEALTH PROTECTION PROGRAM of the University. Certification of such insurance policy shall
also be provided to the company.

B. The COMPANY shall:

1. Deploy the student trainees to a particular department/ section or if possible to the different
operating units of the COMPANY for a minimum period of THREE HUNDRED SIXTY (360) man
hours unless extended upon agreement by the UNIVERSITY and the COMPANY.
2. Assign personnel who shall orient, monitor and supervise the student-trainees, especially those
which pertain to safety and security precautions.

3. Involve the students in activities and tasks to develop their work attitude and creative abilities to
become a professional employee based on the areas stipulated in the recommendation letter.

4. Enforce rules that shall govern the conduct of the program in their premises. Said rules shall be
made known to student-trainees and his or her immediate Supervisor before the start of the
training.

5. Accomplish necessary forms required by the UNIVERSITY (e.g. Acceptance form, Performance
Evaluation Report) in connection with the training requirements of the students.

6. Issue Certificate of Completion to the student-trainee only upon fulfillment of all the training
requirements.

7. Not issue any certificate of completion if the student-trainee shall be terminated from his/her
training.

C. Under this Memorandum of Agreement, the following terms and conditions are likewise included:

1. It is expressly understood that there shall be no employer-employee relationship between the


COMPANY and the student trainees of the UNIVERSITY.

2. The student-trainees shall abide with the COMPANYS rules and regulations and comply with
those imposed for the program; otherwise, they shall be excluded from further participation and
no certificate of completion will be issued to the student-trainees.

3. The company reserves the right to discontinue the training of any student-trainee on reasonable
grounds upon written notice to the UNIVERSITY or to the concerned student-trainee. Such
discontinuation shall take effect fifteen (15) days after the receipt of the said notice. The
reasonable grounds that may cause the termination of a trainee are the following:

Habitual absenteeism;

Willful disobedience of Company rules or insubordination to lawful order of a


superior;

Poor physical condition, permanent disability or prolonged illness which


incapacitates the trainee from working;

Theft or malicious destruction of Company property and / or equipment;

Poor efficiency of performance on the training for a prolonged period despite


warning duly given to the trainee, and

Engaging in violence or other forms of gross misconduct inside the


Companys premises.

4. The UNIVERSITY may pull-out any student-trainee from the COMPANY on reasonable grounds
after written notice to the COMPANY. The written notice shall take effect fifteen (15) days after
the receipt of said notice by the Company. The reasonable grounds that may cause the
termination of the OJT Program of the Company are the following:

The training/ working environment is very poor/ very hazardous even with the
proper use of personal protective equipments (PPES) or proper recognition of
safety regulations thereby directly endangering/ compromising the trainees
safety/ life;
Abusive workloads or responsibilities that does not befit a trainee but that of a
regular employee or subjecting the trainees to non-course related work
experiences against their own free will;

Verbal and physical abuse/ harassment of the trainees by employees of the


company which are demoralizing to the over-all well being of the trainee

Serious illness attested by a certified medical doctor incapacitating the trainee


from further training.

D. Duration:

This Agreement shall take effect immediately upon signing hereof and confirmation of the Board of
Regents of the BATAAN PENINSULA STATE UNIVERSITY and shall continue only from JUNE 01, 2017 to
JULY 30, 2017, provided however that any provision of this Agreement may be amended by written
consent by both parties herein and provided further that the UNIVERSITY or COMPANY reserves the
right to withdraw its participation in the agreement upon written notice.
