Dear Dan:

Thank you for allowing us to tour the Macom Offices. On behalf of my clients,
TherePeds, LTD & Christine M. Ekis “Tenant”, I have been authorized to present a
written Letter of Intent for build-out and lease of an office at the above referenced
property. Be advised we are also requesting a proposal from one other competing
property in the area. Please address the following terms in your proposal:

1.) Premises: Approximately 1,227 rentable square feet of office space


(Suite 102).

2.) Commencement: October 1st, 2010.

3.) Lease Term: Three (3) year term.

4.) Rental Rate: $11.25 per sf annual base rent with a 2% escalation per year
Of lease agreement plus $7.75 per sf annual to include CAM,
Taxes and insurance.

5.) Rent Abatement: Tenant has requested a three (3) month period of Rent
Abatement to include base rent and pass throughs.

6.) Condition of Premises: Landlord shall provide facility with HVAC, electrical,
mechanical and plumbing systems in good working order.

7.) Tenant Improvements: Landlord shall “turn-key” construction, including all permits,
demolition, architectural fees and drawings, based upon a
mutually agreed upon space plan and the following:

• Completely remove reception counter top.


• Install wall
• Move office #1 wall 2 feet closer to reception desk
• Install door between restroom and office #1
• Remove wall between 2 small offices to create office
#3
• Leave granite, wood paneling and Formica from rec-
eption in kitchen for tenant to reinstall
• New carpet & padding and paint throughout.Paint
to include doors and trim.

Tenant shall work with Landlord to provide specifications and details of equipment
requirements.

8.) Signage: Tenant shall be represented on existing monument


Signage at their own cost.

9.) Option to renew: Tenant requires two (2), three (3) year Options to Renew the
lease at ninety-five (95) % of the then current market rate at
the time of renewal, subject to six (6) months prior to written
notice.

10.) Option to Sublease: Tenant will require the right to Sublease the space with prior
written consent of Landlord, which shall not be unreasonably
withheld, conditioned or delayed by the Landlord.

11.) Right of First Offer: Tenant requires the Right of First Offer on any contiguous
space that is, or becomes available during the lease term.

12.) Commission: Landlord agrees to pay Rossi Real Estate Corp. a


Commission of 3.5% of first years gross rent and 1.5% of
Additional years gross rent as per written agreement.

This Request for Proposal is not intended to be legally binding on either party and is
subject at all times, to a fully executed lease agreement.
