By-Laws for Parent Organization

Article I: Name and Purpose

Taylor Parents in Action (TPA) is the name selected for this organization. This organization is organized exclusively
for charitable and educational purposes under Section 501(c)(3) of the Internal Revenue Code, or corresponding
section of any future federal tax code. The group has been convened for the following purposes:
Create mutual respect and uniformity of purpose between parents and the school;
Further enhance the education of the students by assisting the faculty and staff in creating an optimal
learning environment;
Provide an effective means for parents to express concerns for their childrens education to the school;
Provide hospitality and appreciation for faculty and staff to foster a cooperative relationship
between teachers and parents.

Article II: Principles of Action

The organization shall undertake the following activities:

Organize and implement a volunteer program;


Organize a means of raising funds for designated programs and scholarships;
Produce a student directory each school year.

The organization may also undertake any project that facilitates the purposes stated in Article I.

The organization will conduct its business at meetings or through written communication with its members.

Article III: Membership and Dues

Membership in TPA shall be open to all parents of THS students as well as any other interested patron of KISD who
subscribes to the Purposes and Principles of Action as stated in Articles I and II. Membership is necessary to cast a
vote at a General Meeting or to hold office, but does not preclude participation in the volunteer program or any
other activity sponsored by this organization. A membership drive will be conducted at the beginning of each
school year, but membership applications will be welcomed at any time. Friends of TPA, including local
businesses, may be members with no voting rights and no receipt of a school directory.

Membership dues will be determined annually. Faculty and Staff may receive a reduced rate. Collection will be
made through the school, and monies collected will be deposited in a Taylor Parents in Action account.
Withdrawal of funds will occur only with two signatures from the TPA account.

Article IV: Elections and Officers

An election of a President, Vice-President of Membership, Secretary, and Treasurer will take place in the last
general meeting of the TPA each year. The president will appoint a nominating committee in March. The
committee will present a slate of nominees in April, either at a meeting or by electronic notification, to the
members of the organization. Elections will be held at the last general meeting of the year. Voting by proxy will be
allowed.

Officers may not serve in the same office more than two consecutive years.

The nominating committee shall consist of five members: the principal, or his designee, and one parent
representative from each grade level. The parent representative of the senior class will be the chairman of the
committee.

Only those persons who have signified their consent to serve if elected shall be nominated for or elected to such
office and shall be prepared to offer qualifications at the time of election.

A vacancy of any office, or the inability of a volunteer to successfully fulfill the responsibilities of office, shall be
filled by a decision of the Executive Committee.

Officers shall serve from the final Executive Committee Meeting of one academic year to the final Executive
Committee Meeting of the next academic year. The Treasurer will be the sole exception and will serve until the
end of the fiscal year, June 30.

Article V: Officers Duties


A. The President shall:
Convene and preside at any meetings;
Oversee all activities of the organization;
Be an ex-officio member of all committees, with the exception of the Nominating
Committee;
Work diligently to see that the Purposes and Principles of Action are subscribed to and
followed by all whom are involved with this organization;
Appoint a Nominating Committee in March;
Represent the parents and school whenever appropriate;
Appoint committee chairpersons as needed.

B. The Vice-President of Membership shall:


Assist the President;
Be given first consideration in succeeding the President;
Preside at meetings when the president is unable to attend;
Organize and preside over the membership outreach program to Taylor families and interested
businesses;
Shall maintain membership records;
Shall compile a list of Members eligible for a Directory;
Shall compile a list of Seniors eligible to apply for the TPA Scholarship;
Shall accept membership from all interested persons in agreement with the purpose as stated in Article 1.

C. The Secretary shall:


Take minutes of all Executive Board Meetings, Executive Committee Meetings and General meetings;
Keep a permanent record book, which contain all minutes, announcements, committee
reports, the By-Laws, and any other written documents that pertain to this organization.

D. The Treasurer shall:


Collect and disburse all monies and shall keep an accurate record of such transaction;
Preside over the preparation of an annual budget;
Submit all records and accounts at the end of each fiscal year to a Financial Review Committee;
Prepare and submit annual federal tax returns;
Submit quarterly or annual State Sales Tax as required;
Protect the organizations non-profit status by following federal and state requirements;
Maintain adequate and correct records of all financial transactions of the organization;
Be responsible for appropriate insurance for the organization;
Make deposits in a timely manner; and
File a financial statement at regular meetings of the Board and regular meetings of the membership.

Article VI: Executive Board

The Executive Board shall consist of the President, Vice-President of Membership, Secretary, and Treasurer. They
shall meet whenever deemed necessary to oversee the work of the organization.

Article VII: Executive Committee

The Executive Committee shall consist of the Executive Board, the Principal or his designee, and all active
chairpersons of the organizations committees. This group is charged with the general management of the
organization and the responsibility for ensuring that the Purposes and Principles of Action in Articles I and II are
followed. This group shall approve the work of committees and shall propose any new projects or policies.
Committee chairs are expected to attend Executive Committee Meetings. A majority of the Executive Committee
members shall constitute a quorum.

Article VIII: Meetings

Meetings of this organization will be held as needed. The work of the organization shall be done primarily on
committees. At a minimum, the Executive Committee will meet three times each semester and the General
Membership will meet once each semester (possibly before Open House in the fall and at the final Coffee with the
Principal in the Spring Semester for elections and budget approval). Any TPA member may serve on any committee
and may attend any committee or general meeting. The organization welcomes active participation by interested
parties. The President has the authority to close a portion of any meeting. Ten (10) members shall constitute a
quorum for the transaction of business in any business in any General Membership meeting of this organization.

Article IX: Fiscal Accountability

The fiscal year of this organization shall begin July 1 and end on the following June 30.

Signers on the bank account will be the President, the Vice-President of Membership and the Treasurer. Signers
shall not be related by blood or marriage and shall not reside in the same household.

The organization shall seek to return all monies collected from dues, fundraisers, etcetera, to the school. A balance
of $5,000.00 will be the maximum funds unallocated by the organization at the end of the fiscal year. All excess
funds must be allocated to school related purposes. Expenditures and procedures will conform to Katy ISD policies.

A financial review shall be performed:

At the end of the fiscal year;


When any authorized check signer is added or deleted on any bank account; or
At any time deemed necessary by the president or three (3) or more members.

The President shall appoint, subject to the approval of the Executive Board, a Financial Review Committee
consisting of not less than three (3) members, who are not authorized signers. Members of this committee shall
not be related by blood or marriage and shall not reside in the same household as the authorized signers. The
President shall appoint the members of the Financial Review Committee at least thirty (30) days before the last
day of the school year.

The Financial Review Committee shall produce a report to present to the first Executive Committee meeting of the
year. This report shall be made readily available electronically to the general membership.

The Treasurer shall present an annual budget at the Executive Committee meeting prior to the last general
meeting of the year for the following fiscal year.

Approval by at least (2/3) of the Executive Committee will allow the proposed budget to be presented to
the general membership.
Once approved by the Executive Committee, the budget will be presented to the general membership of
the organization electronically at least 10 days prior to the vote;
A majority of those members present and voting, or submitting written ballots and voting, is necessary to
approve the budget;
Ten (10) members shall constitute a quorum for the transaction of business in any business in any General
Membership meeting of this organization;
The budget may be amended, within 33.3% of the total budget, with approval by at least (2/3) of the
Executive Committee. The amended budget will be made available electronically to the general
membership.

Financial records shall be maintained at Taylor High School for a period of not less than seven (7) years, with the
exception of taxes and communication with taxing offices, minutes, year-end reports, and audit reports, which are
to remain permanent records.

Article X: Amendments

These by-laws may be amended. The procedure for doing so will be as follows:

The By-Laws Committee will meet as needed to consider proposed changes. The By-Laws Committee will
be comprised of the President, the Secretary and three other Executive Committee members appointed
by the Secretary. The By-Laws Committee will submit these changes in writing to the Executive Board;
Approval by at least two-thirds (2/3) of the Executive Committee will allow the proposed
changes to be presented to the general membership;
Once approved by the Executive Committee, proposed changes will be presented to the general
membership of the organization electronically at least 10 days prior to the vote;
A majority of those members present and voting, or submitting written ballots and voting, is necessary to
facilitate a change;
Ten (10) members shall constitute a quorum for the transaction of business in any business in any
General Membership meeting of this organization;
The change will become effective immediately following the vote.

Article XI: Basic Policies

The organization shall be non-commercial, non-sectarian, non-partisan, and non-profit. The name of the
organization, as well as the names of any members in their official capacities, shall not be used in connection with
a commercial concern or with any partisan interest for any purpose not appropriately related to the promotion of
the Purpose and Principles of Action of the organization.

The organization shall not directly or indirectly participate or intervene in any political campaign. This includes
publishing or distributing statements on behalf of, or in opposition to, any candidate for public office. The
organization shall not devote a substantial part of its activities to attempting to influence legislation by ropaganda
or otherwise.

Article XII: Dissolution

Upon the dissolution of this organization, assets shall be distributed for one or more exempt purposes within the
meaning of Section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax
code, or shall be distributed to the federal government, or to a state or local government, for a public purpose.
