AGREEMENT OF SALE

This Sale Agreement is made and executed on this 16th day of


September 2017 (16.09.2017) by and between:

1) Sri. T. SRINIVAS
S/o. Late V. Thimmaiah

2) S. ASHWINI,
D/O. T. Srinivas
Aged about 28 years,

3) S. MOHAN KUMAR
S/O. T. Srinivas
Aged about 26 years,

4) S. PRATHIBA
D/O. T. Srinivas
Aged about 24 years,

Vendor Nos. 2 3 and 4 are represented by their Father Sri. T. SRINIVAS S/O.
Late V. Thimmaiah, All are residing at No. 947, 12th Cross, Vyalikaval Bangalore
560 003

(Vide GPA dated 24.12.2014, registered as document No. MDL-4-00177/2014-15


and stored CD NO. MDLD 182 in the office of Sub Registrar, Madanayakanahalli,
Bangalore.

Hereinafter called the VENDORS of the One Part (which term shall mean and
include their legal heirs, representative, administrators, successors and assigns)
and in favour of:

Behind Kavery Bakery, Immadihalli main Road,
White field Bangalore- 560066

Hereinafter called the PURCHASER of the Other Part. (Which term shall mean
and include his legal heirs, representative, administrators, successors and
assigns)

NOW THIS AGREEMENT OF SALE WITNESSETH AS FOLLOWS:-

Whereas the Vendors hereby represents that they are the sole and
absolute owners of the Residential Layout known as Chimney Hills View
Layout formed in Lands comprising portion of residentially converted lands
bearing Survey Nos. 26 and 27 (converted vide official Memorandum Bearing
No. ALN (N) (Y) SR 04/2014-15 dated 19.07.2014 and ALN (N) (Y) SR 71 /
2013-14 dated 14.02.2014, issued by the Deputy Commissioner, Bangalore
District, Bangalore situated at Sidedahalli Village, Yeshwanthpur Hobli,
Bangalore North Taluk, together measuring 6 acres 16 guntas, OUT OF WHICH
5 ACRES 8 GUNTAS LAYOUT HAS BEEN MADE and comprising of about 125
sites of various dimensions morefully described in the schedule hereunder and
for the sake of brevity hereinafter referred to as Schedule Property.

WHEREAS the SCHEDULE PROPERTY is one of the Residential Sites


comprised in a private Layout known as CHIMNEY HILLS VIEW LAYOUT, and
whereas the said layout is formed in about 5 Acres 08 Guntas of converted land
bearing Survey Nos. 26 and 27 of Sidedahalli Village, Yeshwanthpura Hobli,
Bangalore North Taluk, Bangalore.

Whereas the Vendors father Sri. V. Thimmaiah S/o. Venkatappa


purchased the land bearing Survey No. 26 measuring 2-00 acres and Survey
No.27 measuring 4-00 acres both situated at Sidedadhalli Village,
Yeshwanthpura Hobli, Bangalore North Taluk, Registered as document No. 5216
/ 1980-81 of Book I, Volume 3351 at pages 154 to 158 in the office of the Sub-
Registrar, Bangalore North Taluk, purchased from Sri.Mohan Ram Kondaiah,
S/o. Late Sampangiramaiah alias Papanna.

The said Sri. V. Thimmaiah, S/o. Venkatappa expired on 06.07.1988 and


his wife Smt. Lakshmamma also expired on05.08.1981 and after the death of V.
Thimmaiah and Smt. Lakshmamma, they are succeeded by their above said
children namely Sri. T. Srinivas and Sri. T. Suresh. After the death of Sri. V.
Thimmaiah, T. Srinivas has got the Mutation in his name vide No.3 /87-88.

Further Sri. T.Srinivas got the said land converted for residential purposes
in respect of Land bearing Survey No. 26 vide Official Memorandum bearing No.
ALN (N) (Y) SR / 04 / 2014-15 dated 19.07.2014 issued by Deputy
Commissioner, Bangalore District, Bangalore, measuring 2 acres and also got
converted the land bearing Survey No. 27 vide official Memorandum bearing No.
ALN (N) (Y) SR / 71/ 2013-14 dated 14.02.2014 issued by Deputy Commissioner
Bangalore District, Bangalore.

Whereas the Vendors have offered to sell the Schedule B Property bearing Site
No 115 free from all encumbrances with right to own Schedule B Property and
the Purchaser has accepted the said offer and agree to purchase the schedule
B Property free from all encumbrances for a sale consideration amount of
Rs.39,60,000/- (Rupees Thirty Nine Lakhs Sixty Thousand Only) and the
Purchaser have agreed to purchase the same.

WHEREAS the Purchaser has paid an advance of Rs. 6,00,000/- (Rupees Six
Lakhs only) by way of cheque No. dated Drawn on BANK in
favor of T Srinivas.

WHEREAS the Purchaser has paid an advance of Rs. 6,00,000/- (Rupees Six
Lakhs only) by way of cheque No. dated Drawn on BANK in
favor of T Suresh.

and agreed to pay remaining balance of sale consideration of Rs.27,60,000/-


(Rupees Twenty Seven Lakhs sixty Thousand only) at the time of
registration within Two (2) months from the date of this agreement.

WHEREAS the VENDORS agree to execute and assured to the


Purchaser that the Sale Deed will be executed in the name of Purchaser or his
nominee/s.

WHEREAS, if the vendor fails to execute the sale deed in favour of


purchaser of his nominee then the vendor shall refund the advance amount and
also pay 20% of the advance amount to the purchaser as liquated damages.

Whereas the Vendors have assured and promised to the purchaser that
the schedule property is free from all kinds of encumbrances, court attachments,
Mortgage, Family Rights, Strident Rights, Minor claims, Maintenance Rights,
Acquisition proceedings and other litigation, if for any reason any dispute arises
in future the vendors have undertaken to get it cleared at their own cost and risk.

Whereas the vendors agrees to handover all the original relevant


documents in respect of schedule property at the time of registration to the
purchaser.

Whereas the Vendors agrees to pay up to date tax, khata extract, khata
certificate before execution of sale deed.

Whereas the Vendors agrees to produce required legal documents for
execution of Sale Deed in favour of purchaser or his nominee at the time of
registration.

Whereas the VENDORS declares that, they have not entered into any agreement
what so ever of sale, with any other person or persons except the purchaser
herein, in respect of the schedule property.

Whereas both the parties hereby agree that if there are any breaches in of
the covenants herein made, then they are at liberty to approach the competent
court for the specific performance of this agreement.

All the expenses, incurring, for the preparation of sale deed such as
purchase of stamp papers, drafting, typing, registration fees and other
miscellaneous fees etc. shall be borne by the purchaser alone.

All that piece and parcel of the Residential Layout known as Chimney
Hills View Layout formed in Lands comprising portion of residentially converted
lands bearing Survey Nos. 26 and 27 (converted vide official Memorandum
Bearing No. ALN (N) (Y) SR 04/2014-15 dated 19.07.2014 and ALN (N) (Y) SR
71 / 2013-14 dated 14.02.2014, issued by the Deputy Commissioner,
Bangalore District, Bangalore situated at Sidedahalli Village, Yeshwanthpur
Hobli, Bangalore North Taluk, together measuring 6 acres 16 guntas, OUT OF
WHICH 5 ACRES 8 GUNTAS LAYOUT HAS BEEN MADE and comprising of
about 125 sites and bounded by .

East by : Land bearing Survey No. 31 (Navy Layout)

West by : Remaining 2 Acres of Land in Survey No.26 and


Thereafter 4 acres of land in Survey No.25

North by : Remaining portion of Land together measuring 1

retained by T. Srinivas and therafter Survey Nos. 11
