ARTICLE 2: QUALITY & PACKING
Quality: Brand new.
Packing: Packing All of the goods by standard export packing.
Origin : Slovenia.
ARTICLE 3: TERMS OF DELIVERY
Time of delivery : Before 15. Sept.,2016
Partial shipment: Not allowed
Transhipment: Allowed
Shipment advice: The Seller will inform to the Buyer 05 days prior shipment advising the readiness of
the Goods for shipment.

ARTICLE 4: TERMS OF PAYMENT
The 100% value of the Contract shall be paid by USD by TTR at 30 days after the date receiving the
goods, through the buyers advive bank in favour of:

* The Seller shall transfer shipping documents to the Buyer at the frontier as follows:
+ Packing list in 02 originals
+ Signed Commercial Invoice in 02 originals
ARTICLE 5: FORCE MAJEURE
Circumstances including fire, flood, earthquake, natural disasters, limitation of quota from
Government are to be understood as force majeure. If the shipment of the Contracted Goods is
prevented or delayed in whole or in part due to force majeure, the Seller shall not be liable for non-
shipment or late shipment of the goods of this Contract. However, the Seller shall notify the Buyer by
cable, telex or Fax and furnish the letter within 15 days by registered airmail with a Certificate issued
by the China Council for the Promotion of International Trade or its subordinate organization attesting
such events.
ARTICLE 6: CLAIM
Within 30 days after the arrival of the Goods at destination, should the quality, specification, quantity
or weight be found not in conformity with the contract except those claim for which the insurance
company or the owners of the vessel are liable, the Buyers shall on the strength of the inspection
certificate issued by the recognized public surveyors agreed to by the Seller, have the right to lodge a
claim against the Seller. The Seller shall within 20 days after receipt of the claim, send their reply to
the Buyer together with suggestion for settlement.
ARTICLE 7: ARBITRATION
All disputes arising out of the performance of or relating to this Contract shall be settled amicably
through negotiation. In case no settlement can be reached through negotiation, the case shall then be
submitted to the Singapore International Arbitration Commission for arbitration in accordance with its
rulers of arbitration. The arbitration award is final and binding upon both parties. Arbitration fee shall
be borne by the losing party.
ARTICLE 8: OTHER CONDITIONS
This Contract is singed by fax and made in English in 04 originals, 02 originals for the buyer and 02
originals for the seller.
This Contract comes into force from signing date, any change and/ or amendment to this Contract shall
be writing and subject to agreement by both parties.
