AGREEMENT FOR HIRE OF EQUIPMENT

This contract is made on thisday of 2017 between SUNSHINE MINING LIMITED, (herein after
referred as TH Owner) and MAZOKA RESOURCES, a (herein after as hirer).

Whereas SUNSHINE MINING LIMITED is willing to provide the trucks on hire and the hirer is willing to
take the same vehicle, the parties hereto, therefore, agreed to be bound according to the conditions
hereunder.

This agreement will remain in force until terminated by written notice given by either party, thirty
(30) days prior to the intended date of termination.

The vehicle details and rates payable are specified as under.

In the names of SUNSHINE MINING LTD and the owner confirms at the signing of this agreement
having got all the necessary government papers allowing this work to be undertaken.

TERMS AND CONDITIONS

1. CALCULATION OF CHARGES
The vehicle is scheduled to work 12 hours/day, 24 days a month.
The minimum billing shall be 24 days.
2. YAYMENT TERMS
 All accounts shall be paid within 10 days of invoice date
Punctual payment of hire charges shall be the essence of this hire Agreement and the hirer
shall be breach of this agreement if any invoice shall remain unpaid for more than seven days
after falling due.
3. NOTIFICATION OF ACCIDENTS
It is the duty of the hirer to notify the Owner immediately via telephone if the vehicle is
involved in an accident result in damage to property or injury to any person and confirm this
in writing within 24 hours.
4. NOTIFICATION OF QUERIES
Any query regarding an invoice must be communicated in writing within three days of invoice
date. Any query not notified in writing this period will not be entertained.

5. DELIVERY AND MAINTENANCE INSPECTION REPORTS

The hirer is responsible for delivery and return of the vehicle to and from site, its safe keeping
and usage in accordance with the manufacturers recommendations.

GENERAL (OWNERS OBLIGATIONS)

SUNSHINE MINING LIMITED will provide vehicles in good condition;

SUNSHINE MINING LIMITED shall provide a competent driver

SUNSHINE MINING LIMITED will arrange for comprehensive insurance and any other statutory
obligation pertaining to the vehicle

SUNSHINE MINING LIMITED will carry out all periodiodic service to keep the vehicle in good working
condition, at owner cost.

SUNSHINE MINING LIMITED shall be responsible for replacement of tyres under normal wear and
tear. However, damage to tyres caused by bad road conditions in the mine shall be paid by the hirer.

SUNSHINE MINING LIMITED will not charge the hirer for downtime caused by a mechanical
breakdown of the vehicle.

Hirers Obligations

MAZOKA shall pay one months vehicle rental in advance

MAZOKA shall provide the fuel for operation of the vehicle

MAZOKA shall provide lodging, meals and a work permit for the driver

MAZOKA shall allow the owner to inspect the vehicle at any time

MAZOKA is responsible for daily check on vehicle and necessary top ups

MAZOKA shall fix punctures and be responsible for damage to tires occasioned by to abnormal site
conditions.
Force Majeure

Either party shall not be held responsible under force majeure circumstances

Arbitration

Any dispute arising out of the contract shall be resolved by mutual agreement or through the courts
of United Republic of Tanzania
