EXCLUSIVE BUSINESS FRANCHISE AGREEMENT

This Agreement is made on this the _____ day of ________ in the year _________at ________________, New
Delhi, India by and between:

M/s. ACHIEVERS POINT, a Company established & registered with local authorities & as per the
government norms under the shops & establishments Act, and having its office at F-18, First Floor,
Mc Donald s Lane, South Ex Part ), New Delhi-110049, represented by its Managing Director-
Shyam Bahadur, (ereinafter referred to as ACHIEVERS POINT , which expression shall, unless
repugnant to the context or meaning thereof, include the successors and assigns) of the First Part;
AND

M/s.____________________________________________incorporated under the shops & establishments Act,


and having its registered office at
_________________________________________________________________________________________________________________
______________________________________________________________________ represented by its
Director________________________________________ (hereinafter referred to as the ACHIEVERS POINT
BUS)NESS FRANC()SEE , which expression shall, unless repugnant to the context or meaning
thereof, include the successors and permitted assigns) of the Second Part.

Article 1 Introduction
1.1 Achievers Point

1.1.1 Achievers Point has through the investment of considerable time and money developed a
unique and distinctive system of high quality Overseas Education Consultancy operating in India.

1.1.2 As an organization ACHIEVERS POINT is committed to serve the educational sector and
the nation by making continuous investment towards helping the students get quality and diverse
educational opportunities.

1.1.3 The Company operates with a strong financial backbone and is committed to making a
profitable and financially viable organization as well as an ethical business.

1.1.4 ACHIEVERS POINT is a leading consultant in the area of promoting overseas education in
various countries across the world with an official agreement with many institutions / universities
/ colleges.

1.2 Franchisee's Desire to be Part of the system.


1.21 FRANCHISEE desires to be part of Achievers Point and to establish, own and operate a
Achievers Point Office at (ADDRESS), subject to and in accordance with all of the terms and
conditions of this AGREEMENT, and in adherence and conformity to the Achievers Point
standards.

1.3 Achievers Point Desire to Grant (name of franchisee)

1.31 ACHIEVERS POINT desires to grant (FRANCHISEE) a franchise to establish and operate a
ACHIEVERS POINT OFFICE at (ADDRESS) subject to the terms and conditions of this
AGREEMENT, and conditioned upon (FRANCHISEE'S) continual adherence and conformity to the
Achievers Point Standards.

1.4 Agreement of the Parties.

1.41 Consistent with these introductory Sections, and in consideration of the mutual promises and
covenants contained in this AGREEMENT, Achievers Point and (FRANCHISEE) agree to be bound
by the terms of this AGREEMENT

Article 2 Certain Definitions

For the purposes of this AGREEMENT, the following terms shall have the following meanings:

2.1 Achievers Point

"ACHIEVERS POINT means the trademark and brand of Achievers Point

2.2 Notice.

"NOTICE" means a communication satisfying the requirements of Article 20.

2.3 Franchise office

FRANC()SE OFF)CE established and operated by FRANC()SEE under the terms of this
AGREEMENT. For the purposes of determining compliance with the ACHIEVERS POINT
STANDARDS, FRANCHISE also includes any facility, whether or not a part of the OFFICE PREMISIS,
where ACHIEVERS POINT permits FRANCHISEE to promote activities under the ACHIEVERS
POINT name.

2.4 Whereas:

2.5.1 The Franchise represents that it is engaged in the business of coaching, online tutoring,
editing, counseling, application processing and recruiting prospective students to overseas
universities abroad

2.4.2 The Franchise further represents to ACHIEVERS POINT that it possesses requisite
infrastructure, manpower and adequate financial resources to fulfill all its obligations set out in
this Agreement and is in a position to effectively promote, market and develop the business of
ACHIEVERS POINT.

2.4.3 Achievers Point shall send Admission letter with the Visa Approval and all the necessary
documents to the agent/franchisee for student passport procedures and departure.

2.4.4 Based on the said representation of the Franchise, Achievers Point agrees to appoint the
Franchisee to promote market and develop the business of Achievers Point s Services.

2.4.5 The Franchisee undertakes to abide by the terms and conditions of this Agreement and as
amended and in force from time to time and understands that any breach of the terms of this
agreement may constitute a material breach and shall entitle ACHIEVERS POINT to terminate /
discontinue services, with immediate effect, at its sole discretion.

ARTICLE 3 FRANCHISE OFFICES

FRANC()SE OFF)CE established and operated by FRANC()SEE under the terms of this
AGREEMENT. For the purposes of determining compliance with the ACHIEVERS POINT
standard, FRANCHISE also includes any facility, whether or not a part of the OFFICE PREMISES,
where ACHIEVERS POINT permits FRANCHISEE to promote activities under the ACHIEVERS
POINT name.

3.1 Site Selection, office construction, and exclusive territory


4.1.1 The terms and conditions of Exhibits A. B, C, and D to this AGREEMENT (respectively
"EXHIBIT A" EXHIBIT B" "EXHIBIT C" and "EXHIBIT D") form a part of this AGREEMENT, and are
incorporated into this AGREEMENT to the same extent as if fully set forth under this Article 3.

4.2 Office Design and Construction.

4.2.1 FRANCHISEE will adhere to ACHIEVERS POINT procedures and requirements for the
design and construction of the office

4.2.2 In the case of a NEW OFFICE, FRANCHISE will diligently construct the OFFICE at
(ADDRESS), if and after ACHIEVERS POINT designates the OFFICE PREMISES in accordance with
Company guidelines, approval of the construction shall be as per Achievers Point guidelines.

4.2.3 FRANCHISEE shall not commence (or recommence) operations at the OFFICE unless and
until ACHIEVERS POINT determines that the OFFICE reasonably conforms to the plans and
specifications approved by ACHIEVERS POINT

4.3 Exclusive territory.

4.3.1 The parties acknowledge and agree that the EXCLUSIVE TERRITORY, if any, will be
determined by ACHIEVERS POINT

4.3.2 In the case of a NEW OFFICE, ACHIEVERS POINT will provide FRANCHISEE with written
information sufficient to determine the EXCLUSIVE TERRITORY, if any, using a document or some
other form of written communication ACHIEVERS POINT considers appropriate, when
ACHIEVERS POINT designates the SHOP PREMISES.

ARTICLE 4 GRANT
4.1 The "FRANCHISE."

4.1.1 Subject to the provisions of this AGREEMENT, ACHIEVERS POINT hereby grants
FRANCHISEE the personal, limited right and license (the "FRANCHISE") to, during the TERM,
operate the OFFICE, at (ADDRESS) in compliance with the ACHIEVERS POINT STANDARDS.
4.2 No Right to Relocate, or Conduct operations Away from the office

4.2.1 This AGREEMENT does not grant FRANCHISEE any right to relocate the OFFICE. Without
limiting the foregoing, this AGREEMENT does not grant FRANCHISEE any right to engage in
activities other than that specified by the terms of this agreement.

4.3 Commencement date.

4.3.1 The COMMENCEMENT DATE will be the day the OFFICE first opens for business.

4.4 Commencement of Operations.

4.4.1 FRANCHISEE shall exert its best efforts to open the OFFICE on or before the day that is
exactly (PERIOD) from the date of this AGREEMENT (appearing on the top of the COVER SHEET)
(the "OUTSIDE OPENING DATE").

4.5 Expiration date.

The EXPIRATION DATE is the day immediately before the 3rd anniversary of:

(a) The COMMENCEMENT DATE; or

(b) The OUTSIDE OPENING DATE; whichever is earlier.

4.6 Renewal Opportunity.

4.6.1 FRANCHISEE shall have the opportunity to continue the operation of the OFFICE during a
second (YEARS) term (the "RENEWAL TERM"), subject to and conditioned upon each and every
one of the following provisions:

4.7 Operation in Compliance with ACHIEVERS POINT Requirements.

4.7.1 ACHIEVERS POINT shall have no obligation to issue a RENEWAL AGREEMENT to


FRANCHISEE, unless FRANCHISEE meets each and every one of the following conditions, each of
which FRANCHISEE agrees is reasonable.
4.7.2 FRANCHISEE shall have continuously been, during the last (YEARS) of the TERM, current in
its financial obligations to ACHIEVERS POINT, under this AGREEMENT, and under any other
agreement existing between ACHIEVERS POINT and FRANCHISEE.

4.7.3 FRANCHISEE shall have continuously, during the last (YEARS) of the TERM, operated the
OFFICE, as well as any other ACHIEVERS POINT OFFICE in which FRANCHISEE has an interest,
in accordance with ACHIEVERS POINT operational requirements; and, in particular, during such
time period shall have received only passing scores during any operational audit or inspection,
irrespective of whether a non-passing score resulted in a NOTICE of default, and irrespective of
whether deficiencies identified were timely corrected.

4.7.4 FRANCHISEE shall have, during the last (years) of the TERM, consistently operated the
OFFICE in accordance with each of the terms of this AGREEMENT and the STANDARD
OPERATIONS MANUAL, and, during such period, shall not have been declared to be in default of
any of the terms of this AGREEMENT, or any other franchise agreement existing between
ACHIEVERS POINT and FRANCHISEE.

4.7.5 FRANCHISEE shall have, during the last (years) of the TERM, consistently participated in all
marketing promotions conducted by ACHIEVERS POINT.

4.7.6 FRANCHISEE shall meet ACHIEVERS POINT then current financial requirements for the
grant of a RENEWAL TERM, which may require that FRANCHISEE demonstrate the financial
ability to continue to operate the OFFICE, and to timely remodel the OFFICE to the extent required
by ACHIEVERS POINT

4.7.7 If required by ACHIEVERS POINT, then FRANCHISEE shall have, during the last year of
the TERM, caused its DESIGNATED MANAGER to attend ACHIEVERS POINT training program,
irrespective of any prior training and experience.

4.7.8 If required by ACHIEVERS POINT, then FRANCHISEE shall have, during the last year of
the TERM, completely remodeled the OFFICE in accordance with ACHIEVERS POINT procedures
to bring the OFFICE into conformity with ACHIEVERS POINT then current design and
operational requirements.

4.8 Renewal agreement Execution.

4.8.1 If ACHIEVERS POINT issues a RENEWAL AGREEMENT to FRANCHISEE, then


FRANCHISEE must timely execute that RENEWAL AGREEMENT in accordance with ACHIEVERS
POINT then current requirements. FRANCHISEE will be required to pay an initial franchise fee
to enter into the RENEWAL AGREEMENT.
4.9 Expiration date.

4.9.1 The EXPIRATION DATE is the day immediately before the 3rd anniversary of the
COMMENCEMENT DATE.

ARTICLE 5

FRANCHISE OBLIGATION
5.1 Business obligation:

5.1.1 It shall be the duty of the franchise to supply information about ACHIEVERS POINT and
the Colleges and Universities represented by ACHIEVERS POINT and to assist students wishing
to join the universities and colleges represented by ACHIEVERS POINT.

5.1.2 The franchise hereby agrees and undertakes to generate a minimum business / achieve
yearly target set by ACHIEVERS POINT for the franchise.

5.1.3 FRANCHISEE covenants and agrees that FRANCHISEE shall participate in those
promotions and marketing programs established from time to time by ACHIEVERS POINT in
their respective cities.

5.2 Sales obligation:

5.2.1 The Franchise agrees and undertakes to provide, within the Territory, well qualified,
competent and adequately trained manpower for the development and promotion of the Services,
to the satisfaction of ACHIEVERS POINT.

5.3 Communication and Service to the Interested Students:

5.3.1 The Franchise shall communicate to the Interested Students the details regarding the
Services available from ACHIEVERS POINT as per the terms and conditions. The Franchise
agrees and understands that all such Interested Students will be referred directly to ACHIEVERS
POINT
5.4 Franchisee agrees -

5.4.1 Not to bind Achievers Point or otherwise make any commitment on behalf of ACHIEVERS
POINT for provision of the Services

5.4.2 Not give or make any warranty, undertaking, promise, representation or understanding
with regard to the Services to any person

5.4.3 Not incur any liability on behalf of ACHIEVERS POINT;

5.4.4 Not in any way pledge or purport to pledge ACHIEVERS POINT S credit in any manner,
whatsoever; and

5.5 Business Leads:

5.5.1 The Franchise shall be responsible to duly forward to ACHIEVERS POINT any Business
Leads within the territory together with requisite details, as desired by ACHIEVERS POINT The
Franchise understands that there will be periodic reviews of these Business Leads and unless
there are realistic developments in the same, ACHIEVERS POINT will reserve payment of
commission to the Franchise.

5.5.2 The Franchise shall keep ACHIEVERS POINT fully informed of all the relevant
developments in the market which might affect the institutions represented by the ACHIEVERS
POINT and be prepared to act for such matter as directed by ACHIEVERS POINT.

5.5.3 The Franchise will market Achievers Point s services to the students, and the full
marketing cost will be borne by the Franchise.

5.5.4 The Franchise shall assist the student in preparing for exams, filing the applications,
writing the essays and finally in procuring the visa.

5.5.5 The Franchise shall collect the tuition fees from all students in form of Bank Draft in the
name of the University / College where the student intends to go and shall not receive any cash for
tuition fees whatsoever from students

5.5.6 The Franchise shall send the Bank Draft to ACHIEVERS POINT which would send a
Receipt or Acknowledgement for the same on its letter head to the Franchise.

5.5.7 The Franchise would not directly contact the Universities represented by ACHIEVERS
POINT for Representation or any other issues.

5.6 The AGENT / FRANCHISEE must tell prospective students and take undertaking that:
5.6.1 The contract stands terminated if Achievers Point India becomes aware that the AGENT /
FRANCHISEE is engaging in false, misleading or deceptive conduct or otherwise contravening
Achievers Point India office obligations under the Code

5.6.2 If the AGENT / FRANCHISEE fails to dislocates, Achievers Point India will immediately
withdraw the AGENT / FRANC()SEE S accreditation, terminate this Agreement and stop accepting
students from the AGENT / FRANCHISEE.

5.6.3 Act unethically in performing the Services. unethical behaviour includes discounting of
tuition Fees, aiding and abetting in the submission of fraudulent documents for visa purposes,
Charging fees for application forms or brochures or misleading or deceiving prospective in any
way.

5.6.4 Engage in any dishonest practices, including suggesting to prospective students that they
can come to university and college on a student visa with a primary purpose other than full- time
study.

5.6.5 Facilitate applications for prospective students who do not comply with visa requirements.

5.6.6 This Agreement will lapse if there is no activity by way of achievement of targets allocated
by the agent/franchisee to refer overseas students to the ACHIEVERS POINT India within the
first year of the date of signing.

ARTICLE 6 ACHIEVERS POINT Obligations


Except as explicitly set forth in this Article, or explicitly contemplated by a particular provision of
this AGREEMENT, ACHIEVERS POINT has no obligations to FRANCHISEE under this
AGREEMENT.

6.1 Training.

6.1.1 Before the initial opening of the OFFICE, ACHIEVERS POINT shall, at no charge to
FRANCHISEE, provide initial training for the DESIGNATED STAFF.

6.1.2 If required ACHIEVERS POINT shall provide technical training to the personnel employed
by the Franchise.

6.1.3 Additional training shall be provided to staff of FRANCHISE as is deemed fit by ACHIEVERS
POINT
6.1.4 Achievers Point shall periodically release adverts at cost basis per franchise.

6.1.5 Achievers Point shall give input for design of interiors so as to bring the Franchise up to
ACHIEVERS POINT standards.

6.2 Marketing

6.2.1 If required ACHIEVERS POINT shall provide Marketing training to the personnel
employed by the Franchise

6.2.2 In connection with the initial Promotion of the OFFICE, or necessary brand building
activities ACHIEVERS POINT shall, at no charge, provide FRANCHISEE standard support
provided that expenses for such support be born solely by the FRANCHISEE

6.2.3 If required ACHIEVERS POINT shall provide technical training to the personnel employed
by the Franchise.

6.3 Final Inspection.

6.3.1 At a mutually convenient time agreed upon sufficiently in advance of the initial opening of
the OFFICE, ACHIEVERS POINT shall, at no charge to FRANCHISEE, inspect the OFFICE to
determine that it reasonably conforms to the plans and specifications approved by ACHIEVERS
POINT.

6.4 Opening Assistance.

6.4.1 Before and in connection with the initial opening of the OFFICE, ACHIEVERS POINT shall,
at no charge, provide FRANCHISEE with such pre-opening and opening assistance and guidance as
ACHIEVERS POINT deems appropriate. If FRANCHISEE is a NEW FRANCHISEE, then the
assistance provided by ACHIEVERS POINT will include the physical presence of one or more
ACHIEVERS POINT representatives for total of at least (NO) person-days (based on an 8-hour
work day) before, during, and/or just after the OFFICE first opens for business.

6.5 Product Information:

6.5.1 ACHIEVERS POINT shall provide information about the courses, fees and the institutions
generally, together with necessary Forms and materials for application.

6.5.2 It will be the duty of the Franchise to seek, to maintain and increase the number of students
attending the institutions represented by ACHIEVERS POINT and to represent the best interests
of the ACHIEVERS POINT in the market.

6.5.3 ACHIEVERS POINT shall, on best effort basis, provide designs of promotional materials
like brochures, collateral s and tariffs to the Franchise for the effective promotion of the Service/s,
and provide intimation to the Franchise, in the event of any change(s) / revision(s) / updation(s) /
alteration(s), from time to time in either Service/s or Tariffs on cost basis.

6.6 Ongoing support

6.6.1 During the TERM. ACHIEVERS POINT will designate a source from which FRANCHISEE
shall SEEK GUIDANCE and will designate or approve sources for other necessary guidance
required by FRANCHISEE in connection with the operation of the office.

6.7 Ongoing Advice and Assistance.

6.7.1 During the TERM, ACHIEVERS POINT shall, at no charge, from time to time provide
FRANCHISEE with such advisory assistance, information, techniques, data, and instructional
materials concerning the operations, marketing programs applicable to the SYSTEM, local
marketing of the office, and adherence to the SYSTEM STANDARDS as ACHIEVERS POINT deems
advisable.

ARTICLE 7

7.1 Initial fees


FRANCHISEE shall pay an initial franchise fee to ACHIEVERS POINT, for the right to enter into
this AGREEMENT and in consideration of the FRANCHISE, in an amount determined as follows.

7.2 University Reference fees


7.2.1 FRANCHISEE shall be getting 70% of the revenue generated as reference fee, by the
Achievers Point. The reference fee revenue here defined as the cash generated by referring /
filing applications of the students for admission to the but not limited to accepting universities,
and where Achievers Point has corporate tie ups. The payments would be made in 60 days
period after the amount gets transferred into the Achievers Point s account

7.2A Revenue Sharing and Fee collection

7.2A.1 FRANCHISEE shall be liable of sharing all kind of Tuition fee, Counselling fee and
examination revenue in the ratio of 5: 5, whereas 5% being Franchisee s share and 5% being
Achievers Point s share. The fee revenue here defined as but not limited to Tuition fee,
Counseling fee and examination fee.

All kind of fees, collected in the form of cash, demand draft, cheque, credit / debit card, electronic
transfer or through any other form of payment would be deposited in the account opened at the
franchisee location under the name of Achievers Point s entity

7.3 Relationship

7.3.1 The Franchisee acknowledges and at all times agrees to act for the limited and exclusive
purpose of the Agreement. The Franchise and ACHIEVERS POINT are independent parties.
Nothing in this agreement will be construed to make either party an employee, franchisee, joint
venture or legal representative of the other party.

7.3.2 The Franchise shall have no authority to bind ACHIEVERS POINT in any respect,
whatsoever and shall not hold itself out as owned by or associated with ACHIEVERS POINT
other than as Independent Franchise of ACHIEVERS POINT acting in accordance with the terms
and conditions under this Agreement.

7.3.3 None of the employees of the Franchise shall be construed or deemed to be the employees
of ACHIEVERS POINT at any time and the Franchise shall indemnify ACHIEVERS POINT
against any such direct or indirect claims.

7.3.4 The Franchise or its employee or personnel shall not do anything, in law or otherwise, to
claim a relationship of employer and employee or any relationship similar thereto or any
monetary or other benefits or claims, against ACHIEVERS POINT.

7.4 Term and termination of the agreement

The Term of this agreement shall be for a period of three (3) year commencing from the Effective
Date (as detailed above) which may be renewed at the end of three year for further periods, by
ACHIEVERS POINT in writing, subject to the Franchise s achieving the quarterly targets and
yearly targets, set by ACHIEVERS POINT for the Franchise

7.5 ACHIEVERS POINT shall have the right to terminate this agreement forthwith in the
event:

7.5.1 If the Franchise commits a Material Breach of the obligation assumed on his part and fails
to rectify the same within reasonable period.

7.5.2 If the Franchisee fails to achieve the minimum target set by ACHIEVERS POINT for two
consecutive quarters, for any reason, whatsoever.
7.5.3 If the Franchise commits any act detrimental to the interest, goodwill, of ACHIEVERS
POINT or to the operations in the sole discretion of ACHIEVERS POINT.

7.5.4 Either Party may at its discretion terminate this Agreement if the non terminating Party
is subject to any action or proceedings, whether administrative or judicial in respect of insolvency,
winding up, dissolution or bankruptcy.

7.5.5 ACHIEVERS POINT may terminate this agreement at any time by giving one (1) month
prior notice in writing to the Franchise without assigning any reasons for the termination.

7.6 Effect of termination / expiration

7.6.1 Upon the termination / expiry of the agreement for any reason whatsoever the Franchise
shall immediately cease to be an Franchise of ACHIEVERS POINT and shall return all amounts
collected from the Student in his/her possession, to ACHIEVERS POINT, if ACHIEVERS POINT
is still processing his / her application

7.6.2 Upon termination / expiry of this Agreement, the Franchisee shall immediately return /
destroy as and when directed by ACHIEVERS POINT, all / any intellectual property including
Confidential information and any copies thereof owned by ACHIEVERS POINT, in the Franchise s
possession..

7.6.3 Upon the termination / expiry of the agreement and for a period of three (3) months after
its termination / expiry for any reason whatsoever the Franchise shall not represent any
competitor/agent/ franchisee from the same field

7.6.4 Act or deal in any manner or enter into any arrangement with any third party involved in
provisioning of similar Services as contemplated under this agreement.

7.6.5 Upon the termination / expiry of this Agreement, the Franchise shall hand over to
ACHIEVERS POINT all the documents records and accounts of all the existing transactions of the
students.

Article 8

8.1 Confidentiality and prevention of unauthorised use

8.1.1 The Franchise shall keep strictly confidential all information (i.e. Confidential information,
as detailed above) and details including but not limited to accounts, business plans, quarterly
analysis reports, data, details, student lists, manuals and all other documents disclosed to the
Franchise in the course of the implementation of this agreement, except to its employees, as may
be required for the purpose of the business and acknowledges that any unauthorized use may
cause irreparable damage to ACHIEVERS POINT and accepts full responsibility to prevent any
such unauthorized use or disclosure. The Franchise shall promptly notify ACHIEVERS POINT of
any unauthorized use and take all appropriate steps that are necessary to recover the confidential
information of ACHIEVERS POINT. The Franchise will not copy or translate the information, data
including student data, development materials and the delivery material without ACHIEVERS
POINT s prior written approval.

8.2 Indemnity and enforcement of rights

8.2.1 The Franchise shall indemnify ACHIEVERS POINT and keep ACHIEVERS POINT at all
times fully indemnified from and against all actions, proceedings, claims, demands, cost, wastes,
and damages however arising, directly or indirectly,

8.2.2 Any breach or non-performance by the Franchise of any of its undertaking, representations
and warranties and / or its obligations under the agreement.

8.2.3 Arising due to the failure of the Franchise to provide the collections received from the
student in ACHIEVERS POINT s name to ACHIEVERS POINT within one (1) working day of
receipt of the same.

8.3 Arbitration

8.3.1 Any dispute may be referred to a panel of three Arbitrators mutually agreed upon. The
arbitration proceedings shall be held under the provisions of the Arbitration and Conciliation Act,
or any of its subsequent amendments and the place of arbitration shall be in New Delhi. The
procedural law of the arbitration shall be Indian law. The award of the Arbitrator shall be final,
conclusive and binding upon the Parties, and the provisions of the Indian Arbitration and
Conciliation Act, shall apply and the Agreement shall be subject to the exclusive jurisdiction of the
courts at New Delhi.

8.4 Miscellaneous

8.4.1 Neither Party shall be held responsible to the other Party for its temporary or permanent
inability to perform its obligations under this Agreement, if such incapacity is caused by the
occurrence of a Force Majeure Event. The Parties agree that their mutual obligations shall be in
abeyance during the occurrence of a Force Majeure Event.
8.4.2 Nothing contained in this clause will prevent ACHIEVERS POINT from seeking interim
injunctive relief against the Franchise or filing an action against the Franchise to collect unpaid
and past due amounts in the courts having jurisdiction over the other party.
