CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:

This contract entered into by and between:
REYNALDO C. PAUIG, owner of FOODGEAR ENTERPRISES, Filipino, of legal
age, and with office address at Maguyam Road, Silang, Cavite, hereinafter referred to as
SELLER;
and
______________________________________________, a corporation duly established
under the laws of the Philippines, and with office address at
___________________________________________, represented by its President/CEO,
______________, hereinafter referred to as the BUYER (In case buyer is a Corporation);
________________________________, Filipino, of legal age, and with office address at
________________________________________________________,hereinafter referred
to as SELLER (In case buyer is Individual);
Witnesseth:
Whereas, the parties agreed to sell and buy the machine hereafter described under the following
terms and conditions:

2. TERMS OF PAYMENT:

Amount Remarks
Downpayment Php 200,000.00 To be paid upon signing of
this Contract
Balance Php 280,000.00 To be paid upon delivery

3. WARRANTY:

The aforesaid machine is under warranty on parts and free service for a period of one (1)
year, normal wear and tear excluded and subject to the limitations hereunder provided.

4. OTHER TERMS:

(i) The machine shall be delivered to the BUYER not later than __________ [ 45 ] davs
from payment in full of the required downpayment. If delivery is by sea, delivery
shall be made through CAPEX CARGO and shall be free until port of destination.

(ii) At least five (5) days prior to delivery of the machine, the SELLER shall notify the
BUYER of the intended delivery date. Not later than two (2) days from receipt of
said notice, the BUYER shall confirm the delivery date and submit at least two (2)
names of individuals who shall be trained by the SELLER in the use and
maintenance of the machine upon delivery thereof.

(iii) Upon delivery of the machine, unless waived, the SELLER shall install the unit and
immediately proceed with the training of at least one (1) of the BUYER's employee
or technician.

(iv) Upon delivery, payment of the balance shall be paid in full.

(v) Warranty shall not cover and/or apply in the following

a. Damage due to causes attributable to the error, mistake or negligence in the use of
the machine by the SELLER or its representatives.
 b. Damage due to force majeure.
c. Damage due to faulty and/or poor maintenance of the machine by the SELLER or
its representatives.
d. Use of parts not sourced from the SELLER.
e. Modification, alteration or conversion of the machine in any manner.
f. Use of the machine for purposes other than for which it is designed for.

(vi) Free service on the machine shall be effective only in the areas within Cavite and/or
Manila. In all other areas, the BUYER shall pay for the actual travel cost and the
daily allowance of maintenance technician.

5. BREACHANDVENUE:

Failure of any party to insist upon the strict performance of any of the terms, conditions and
covenants hereof shall not be deemed as relinquishment or waiver of any right or remedy that
said party may have, nor shall it be construed as a waiver of any subsequent breach or default
of the terms and conditions herein stipulated. No waiver shall be deemed to have been made
unless expressed in writing and signed by the parties.

This Contract supersedes and renders void any and all agreements and undertakings, oral
and/or written, previously entered by the parties. No modification, alteration, change or
amendment to this Agreement shall be valid and binding between the parties except by
instrument in writing duly signed by the parties hereto.

All actions for breach under this agreement shall be brought before the proper court of Silang,
Cavite to the exclusion of all other courts.
