1. Opening of the AGM %

Reg Kerr-Bell, TMO Chair, welcomed TMO members to the214th TMO AGM, and

introduced himself as the TMO " Chair. 392 apologies

members for the meeting. The meeting was announced as quorate. Before starting the

business of the meeting, the Chair /provided the meeting with his reflections on the last
year. The Chair stated that .

TMO, and that a lot of issues that had " faced the company in +##<
recent years were the result

of a lack of engagement with residents, from resident associations / to

consultation, especially with leaseholders. The company had been founded on resident
involvement, and putting residents % ? centre stage of the company so they could

participate in all aspects of the companys operations. He stated that he had risen
through his residents association to become .Ea member of the Board, but was aware that
this form of resident involvement was being dismantled, and in danger of becoming

almost invisible. 08

saved on the redecorations programme by not doing works that were " not needed at this
time. Savings on the procurement of contracts were being addressed by the
management team, and the Board was committed to all these measures. Finally,

1. Opening of the AGM

Reg Kerr-Bell, TMO Chair, welcomed TMO members to the 14th TMO AGM, and
introduced himself as the TMO Chair. 392 apologies had been received from TMO
members for the meeting. The meeting was announced as quorate. Before starting the
business of the meeting, the Chair provided the meeting with his reflections on the last
year. The Chair stated that the involvement of residents was pivotal to the growth of the
TMO, and that a lot of issues that had faced the company in recent years were the result
of a lack of engagement with residents, from resident associations to pre-contract
consultation, especially with leaseholders. The company had been founded on resident
involvement, and putting residents centre stage of the company so they could
participate in all aspects of the companys operations. He stated that he had risen
through his residents association to become a member of the Board, but was aware that
this form of resident involvement was being dismantled, and in danger of becoming
almost invisible. Steps being taken to address this issue included the Resident
Engagement Committee which was being established. The Board would like to see
residents become more involved in the organisation, and wanted to reinvigorate resident
involvement. When the committee was fully established, there would be an opportunity
for members to get involved in issues that they felt excluded from at present.

On Decent Homes and Value for Money, the Chair stated that over 1m had been
saved on the redecorations programme by not doing works that were not needed at this
time. Savings on the procurement of contracts were being addressed by the
management team, and the Board was committed to all these measures. Finally,

for it to happen, and the TMO would be successful with members support.

constitutional crisis caused in 2008 by delaying the Board member elections, and that a

CONDUCT OF MEMBERS AND PROCEEDINGS AT AGM

Members are reminded of Sections 9 and 10 of the Constitution which state:

M
The business to be transacted at the AGM shall be that specified in the notice convening the
meeting and no other business shall be transacted.

A Member shall address the Chair of the meeting speaking strictly on the question under
debate and comply with the orders of the Chair of the meeting;

A member shall not impute motives to or make reflections of a personal character upon any
other Member or Members;

No Member shall interrupt another Member;

Whenever the Chair of the meeting speaks or calls for order during a debate and Member
then speaking, or offering to speak, shall be silent until the Chair of the meeting has been
heard and invites the Member to resume speaking;

The Chair of the meeting shall call a Member to order for and breach of these rules on
conduct and may direct such Member, if speaking, to discontinue his speech. In the event of
a grave disorder or of a persistent disregard of the authority of the Chair, the Chair may
direct and Member or Members causing such disorder or disregarding such authority to
retire for the remainder of the meeting or for any lesser period or be ejected from the
meeting.
