AGREEMENT

THIS AGREEMENT made on the 27th May 2017 BY AND BETWEEN

XELESS COMPANY

hereinafter called the "Owner"

AND

SHAR Bureau for Engineering Consultancy

hereinafter called the "Contractor"

ARTICLE A-1 THE WORK

The Contractor shall:

(a) perform all the structural design required by the Contract Documents for
steel structure (Warehouse). Architectural drawings are provided by
owner which depict three bays of (40 feet+12feet+40feet) in
longitudinal direction and (12fee+12feet) in transverse direction). The
building consists of one floor in two different elevation and steel roof.

(b) do and fulfil everything indicated by this Agreement, such as calculation,

computer-based program processing and full detailed drawings.

(c) commence the Work by 28th May 2017 and substantially perform the Work
of this Contract as certified by the structural designer by the 5th June 2017
and then certified by Engineering Syndicate of Kurdistan.

ARTICLE A-2 CONTRACT DOCUMENTS

The following is an exact list of the Contract Documents: (SEE TABLE OF

CONTENTS FOR LIST OF DOCUMENTS AND cCERTIFICATES). See Attached

ARTICLE A-3 CONTRACT PRICE

THE CONTRACT PRICE IS $3000 (three thousand US dollars). This funds

which price shall be subject to adjustments as may be required in accordance
with the General Conditions of the Contract.

ARTICLE A-4 PAYMENT

(a) the Owner shall:

(1) make advanced payments (%50) to the Contractor on account of

the Contract Price. The amounts of such payments shall be paid
when contract is signed

(2) upon Total Performance of the Work as certified by the owner pay
to the contractor any unpaid balance of the Contract Price.
Unpaid balance of contract amount must be paid when drawings are
approved by owner.

(b) If the Owner fails to make payments to the Contractor as they become due
under the terms of this Contract or in any award by a court, interest at the
rate and in the manner specified in Iraqi legislation.
