PRIVATE AGREEMENT

In Athens on this day of May 11 2017 between on the first part Christos Triantis, son of Georgios, with TIN EL115565023
and registered office in Athens, no. 89 Asklip iou street, hereinafter called "the Enterprise"; and on the second part Leonidas
Alexander Perez , hereinafter called "the Artist";

the following were agreed and jo intly accepted:

a. The Enterprise is a personal business specializing in musical production, pro motion, d istribution and recording.

b. The Artist performs his own co mpositions under the name Leo Alex

1. SCOPE OF CONTRACT

The scope of this contract involves the granting of exclusive rights by the Artist to the Enterprise for five (5) years, for the
following unpublished compositions (hereinafter called "Recordings"), in view of their circulat ion and distribution globally, via
any currently known or as yet unknown audio media (e.g. co mpact disks - vinyl albums - magnetic tapes - cassettes, etc.), as well
as the distribution thereof in digital format (e.g. mp 3, Wav, Flac, etc.).

2. TITLE

Following an agreement between the Enterprise and the Artist, the above Recordings shall be circu lated u nder the title

3. PRODUCTION

A. The Artist shall be responsible for delivering the above musical wor ks to the Enterprise by 15/5/ 2017

B. . In the event that the above Recordings require further mastering, the relevant cost shall be charged to the Enterprise.

4. ARTISTIC CONTENT.

The Enterprise shall be responsible for the design and editing of the artistic content of the Recording,

5. LICENS E TO US E NAME AND LOGO

The Artist hereby permits the Enterprise to use the logo, the name Leo Alex and photographic material belonging to the Artist, in
order to promote and advertise the Recording.

6. CIRCULATION OF RECORDING

The Enterprise shall circulate and distribute the above Recordings in digital down load format by 21/ 07/ 2017
7. DISTRIB UTION

The Enterprise shall make every effort to ensure secure distribution of the Recording globally, via one or more distribution
companies, including the Enterprise's website, retail and wholesale co mpanies, cinema co mpanies or any other type of b usiness.

8. FEE - PERCENTAGES

The following is agreed to be the Artist's fee for the rights to use the Recordings, hereby granted to the Enterprise:

A. Sixty (60) percent of the sale price for each digital download sold by the Enterprise, that includes the A rtist's Recordings.

The Enterprise shall inform the Artist with respect to sales numbers, and the corresponding fee, on a monthly basis. The
Artist's fee, calculated as per the above, shall be paid at the end of each semester, on the basis of the relevant accounting
calculations.

It is expressly agreed that the above fee-percentages shall be paid to the Artist after the deduction of any taxes and/or duties
payable by the Artist and settled by the Enterprise.

9. CLOTHING - ADVERTIS ING MATERIAL

The Artist hereby permits the Enterprise to use the aforementioned details of article # 5 of this contract for the production of
advertising material and clothing, in view of pro moting the Recording. For each item of clothing or promotional product beari ng
all of the aforement ioned details of article # 5, sold by the Enterprise, the Artist shall be entitled to Twenty percent (20%) of the
profits on the basis of the sale price.

10. THIRD PARTY RIGHTS

The Enterprise may transfer all rights arising fro m this con tract to third parties in Europe or abroad, under any terms and
conditions, for the purpose of reproduction and exploitation of the Recordings in question, on condition that the Artist's rights are
not affected and that the Enterprise shall always be liable to the Artist for faithful execution of the terms of th is contract.

11. RIGHT TO AUDIT

The Artist or a representative of the Artist reserves the right to audit the Enterprise's accounting information as regards t he
Recordings in question, subject to at least 10 days' prior written notice

12. COMPLIANCE

The Artist shall receive any in formation regarding the sales of his recordings exclusively fro m the Enterprise.

Throughout the term of this agreement, the Artist may not record or repeat the performance of the Recordings described herein, in
view of their reproduction by any third party on any audio or audiovisual med iu m, whether known o r currently unknown.

13. GOOD FAITH CLAUS E

The Artist and the Enterprise shall execute their obligat ions arising fro m this agreement in good faith and according to good
transactional ethics.
14. JURISDICTION / APPLICAB LE LAW

The courts of law of Athens shall be competent to resolve any dispute arising from the imp lementation or construance of this
agreement.

This private agreement is signed as follows by the contracting parties, in three identical copies; each party shall receive o ne copy
and the third copy shall be submitted to the competent Tax Authority.
