Philippines, hereinafter referred to as the "VENDORs";

VVH Realty Corporation, a corporation duly organized and

existing under the laws of the Republic of the Philippines with
postal address at Suite 806 8th Floor Glove Telecom Plaza,

Mandaluyong City, represented by its Chairman, ATTY.
HILARIO P. VALDEZ, of legal
Ma. Greta E. age, Filipino, married to Ma.

Charity V. Valdez, and with postal address at Brgy. 21, San
Agustin, San Nicolas Ilocos Norte, Philippines, hereinafter
referred to as the "VENDEE";

WITNESSETH:

WHEREAS, the VENDORs are the true and registered co-owners of a parcel of land
designated as Lot No. 2572-D of Plan No. PSD-01-086881 covered by Transfer Certificate
of Title No. 022-2013000232, situated in Brgy. San Francisco (Suyo Before), Philippines,
more particularly described as follows:

WHEREAS, the VENDOR desires to sell their aliquot portion of Six Hundred
Eleven point Eighty Five (611.85) square meters and the VENDEE agrees to buy the
aforementioned portion of land, including all the improvements found and standing thereon.

NOW, THEREFORE, for and in consideration of the sum of

Philippine Currency, receipt of which is hereby acknowledged by the VENDOR to their full
and complete satisfaction, the VENDORs do hereby SELL, TRANSFER and CONVEY the
undivided portion of 611.85 square meters from the above-described parcel of land,
including all the improvements found and standing thereon, unto the VENDEE, his heirs,
successors and assigns, absolutely and free from all liens and/or encumbrances.

The VENDORS hereby undertake that they, their heirs, successors and assigns shall
warrant and defend the title to the real property subject of this Deed against all claims of all
persons or entities. The VENDORS also guarantees the right of the VENDEE to take
possession of the property subject of this agreement upon the signing and execution of this
agreement and will defend the latter against all judicial or administrative actions for eviction.

This Agreement shall be valid and binding not only on the parties herein but also on
their heirs, agents, representatives, successors and assigns.

Francisco, San Nicolas Ilocos Norte signed by the herein VENDORs together with their
instrumental witnesses in favor of VVH Realty Corporation. That the VENDORs hereto are
Filipino citizens and the Corporation is fully owned by Filipino citizen.
