Achievable timescales and deadlines

We had originally set timescales and deadlines in order for our creative project to work
effectively. We agreed on all together and ensured that all of them stood up to the SMART
test. Although we have had some setbacks, we have tried our best to stick to our deadlines to
ensure all goes as planned.

Fallen Sound & Jakub Pesek Contract

This contract between FALLEN SOUND RECORDS (will now be referred to as the
"Agreement") executed and valid beginning March 3 , 2016, by and between JAKUB

PESEK (the "Artist") and FALLEN SOUND RECORDS ("Company"):

IT IS HEREBY UNDERSTOOD
a. Company is an organization, which specializes in the management, recording, recording
distribution and representation of musical artists;
b. Company is familiar with the musical abilities of Artist and has the expertise, ability,
industry contacts and resources to assist Artist in the furtherance of his/her career.
c. Artist performs under the name "Jakub Pesek";
d. Company and Artist wish to enter into this Agreement to provide for the production and
distribution of the Recording.
IT IS, THEREFORE, AGREED AS FOLLOWS:
A. TERM. The effectiveness of this Agreement shall commence with its execution by all of
the parties, and shall continue thereafter for a period of ONE years.
B. PRODUCTION OF RECORDING. The Recording shall be produced in the following
manner:
1. PRODUCTION. Company agrees to produce one master recording consisting of songs
written and performed by Artist (hereinafter referred to as the "Songs". The resulting
recording (hereinafter referred to as the "Recording") shall be one single to be released
lasting no longer than five minutes, and shall be of a quality which is equal to master
recordings normally produced for commercial distribution.
2. CONTRIBUTION BY ARTIST. Artist agrees to full cooperate with the Company, in
good faith, in the production of the Recording. This means that the artist must
3. COSTS. Company shall be responsible for all costs incurred in the production of the
Recording, including the prepayment of all travel, hotel and meal costs incurred by Artist in
attending the recording session. Company may recover such receipted expenses pursuant to
the production of master recordings or the advancement of the Artist's career.
4. ARTISTIC CONTROL. Both parties will work together so will have equal bargaining
power and equal opportunities of input.
5. DATES AND LOCATION OF RECORDING SESSIONS. The recording sessions
necessary to produce the Recording shall take place in Perth College in the Goodlyburn
building, commencing on March 14, 2017 and ending on March 14, 2017.
6. ADDITIONAL MUSICIANS. Company shall provide and compensate sufficient and
competent musicians from the music department of Perth College UHI to properly perform
the Songs.
7. TITLE. The title of the Recording shall be chosen by the Artist and confirmed by the
Company.
8. COMPLETION AND RELEASE. The Recording shall be completed and prepared for
release on or before April 10, 2017. The Company and the Artist will do their best to achieve
this deadline as it is a necessity.-
9. BREACH OF CONTRACT If either of the parties fail to carry out a part of the contract
in some way this contract will be breached.
10. LICENSE FOR USE OF NAME AND IMAGE. Artist shall grant to the Company the
exclusive license to use the name "JAKUB PESEK" and the Artist's photographic image, in
the promotion and distribution of the Recording.
11. COPYRIGHT. Upon Artist's assignment of the Songs pursuant to Section C. herein,
Company shall proceed to obtain and secure a copyright for each of the said Songs. Each
such copyright shall belong to the Company.
12. DISTRIBUTION (RELEASE) Commencing with the completion of the Recording and
continuing for the term of this Agreement, Company will diligently use its best efforts to
secure distribution of the Recording throughout the world, through one or more major
distribution companies (including record companies, film companies, or any other company).
Any such contract entered into between Company and any such record distribution company
shall be subject to the terms of this Agreement.
13. ROYALTIES. In accordance with the rights granted by Artist to Company, Company
intends to contract with a record distribution company (PPL for example) for distribution of
the Recording. Company will be entitled to receive royalties or licensing fees ("Royalties") as
a result of such contract. In the event that Royalties are insufficient to complete such
reimbursement, Artist shall not be liable for such costs. The remainder of such Royalties, if
any, shall be allocated and distributed between Company and Artist, in the following
proportion:
50 % Percent to Company
50 % Percent to Artist
Royalties due Artist hereunder shall be delivered by Company to Artist through PayPal within
fifteen working days from the Company's receipt.
14. ADDITIONAL PERSONAL SERVICES. For the term of this Agreement, Artist will
perform or attend a show or gig to promote the release of the Recording. Company shall
schedule and arrange such performances, but Artist shall have the right of prior approval of
the location, date and time of each such performance. Artist can also suggest such
performances. The total number of performances during the term of this Agreement is
completely the choice of the Artist. Company shall be responsible for travel, accommodation
and meal costs incurred by Artist in attending each such performance, unless the performance
is in close proximity to the Artists place of residence. Artist shall be paid one-half (1/2) of
the net revenues received by Company for such performances. Such compensation shall be
received by Artist within fifteen (15) days via PayPal from Company's receipt.
15. ASSIGNMENT BY ARTIST. The rights and obligations of Artist existing here are
personal and unique, and shall not be assigned without prior written consent of Company,
16. MISCELLANEOUS.
a) BINDING EFFECT. This Agreement shall be binding upon the successors and assigns of
the parties.
b) COVENANT OF GOOD FAITH AND FAIR DEALING. Company and Artist agree to
perform their obligations under this Agreement, in all respects, in good faith.

THE PARTIES AGREE to the terms and obligations and so execute on the day and date
first above mentioned.

Fallen Sound Records

We (the Record Label) will be maintaining our accounts through the use of
a PayPal account and a joint Bank of Scotland account. FINANCIAL PLAN
AND COST PARAMETRE ATTATCHED. We feel it will be best to keep hard
copies of our accounts as well as digital files in case something were to
happen to either. Keeping records of our accounts is an obligation by law
and failure to present such records could result in severe consequences.
The records are also a great way of keeping track on how the label is doing
if it is struggling in certain areas or excelling in others.
( Hypothetical ) The Label has been registered as a limited company with
Her Majestys Revenue & Customs (HMRC) and the directors are as follows:
Brandyn Duthie, Kaia Garrity, Caitlin Tolley and Scott Young. So this would
be a partnership as it would be between the four of us.
Health & Safety One, if not the only, of the health and safety issues we
may face is when the band goes into the recording studio. It will be the
recording studios obligation to carry out a risk assessment.
Other Legal Implications Jakub is not from the UK so we would have to
look into proof of UK citizenship Visas for example.
