Dear Sai Laxmi Prasanna

It gives me great pleasure to offer you the position of Trainee Software Engineer (Level 1) at our Hyderabad Facility.
The position will be based in Jubilee Hills, Hyderabad. Please note that the employment terms contained in this letter
are subject to the Company policy conditions. Upon receipt of this document you agree that the said document is
proprietary information of Millennium Group Of Companies and also agree that this document in any form (parts
or whole) will not be shared with anyone outside your immediate family. Millennium Group Of Companies may at
its sole discretion take any action on learning about any disclosure of this document (parts or whole). The actions
may include recovery of any losses incurred by Millennium Group Of Companies due to your failure to maintain
confidentiality of the contents this letter.

1. PERIOD OF VALIDITY:
This offer is valid till 23.59 hrs on Thursday, 01st July 2016. Please sign, email or fax a signed copy of this offer prior
to the expiration of the period of validity.
2. APPOINTMENT:
a. Your date of appointment is effective from the date of joining which shall be no later than 1st July 2015.
b. You will be liable to be transferred in such capacity as the Company may from time to time determine to any other
location, department, function, establishment, or branch of the Company or subsidiary, associate or affiliate
Company. In such case you will be governed by the terms and conditions of service applicable to the new assignment.
c. You will be deemed to be on probation in the services of the Company until confirmed in writing. The initial period
of probation is six months from the date of your joining. This period of probation may be extended by the
management at its discretion. During this period your salary will be Rupees Twelve Thousands only.
d. You also need to sign Terms of Employment document annexed hereto.
3. COMPENSATION:
a. Your compensation package is set out in Schedule. It will be reviewed annually based upon your performance.
b. Changes in your compensation are discretionary and will be subject to and on the basis of effective performance
and results during the period and other relevant criteria.
c. Your individual compensation is a confidential matter and you are expected to discuss the same only with your
manager(s) and concerned members of the HR team. You are advised not to compare salaries amongst colleagues
as any grievance raised based on that may not be entertained.
d. If you leave or are terminated within the first 15 working days of employment, there will be no compensation for
time worked.
4. RESPONSIBILITIES:
a. In view of your position and office, you must effectively, diligently and to the best of your ability perform all
responsibilities and ensure results. You will be expected to work extra hours to achieve the above whenever the job
so requires. In this connection, you are advised not to engage in activities that have or will have an adverse impact
on the reputation / image and business of Millennium Group Of Companies, whether directly or indirectly.

5. GENERAL:
a. We trust that you have not provided us with any false declaration or willfully suppressed any material information.
If you have, you will be liable for removal from service without notice.

TERMS OF EMPLOYMENT:
Your employment at Millennium Group Of Companies will be governed by the company. Policies as modified from
time to time. Copy of the present policy will be made available to you on your joining. In particular and without
prejudice to the foregoing statement, some of the more significant terms and conditions that govern your
employment, subject to modifications from time to time, are detailed below.
1) Hours of Work :
1.1. A working days and working hours shall be as per applicable laws. You may be required to work on a shift. Shifts
may be scheduled across 24 hours a day, 7 days a week and 365 days a year, subject to applicable laws. The shift
timings may change from time to time which you will be notified in advance.
1.2. Employees at the client site shall follow the working hours as applicable at client site.
1.3. Your work day may comprise of two or more separate blocks of time in given day instead of a single block of
time depending upon the need of client/customer to whom you are supporting at that time.
2) Place of Employment:
2.1. During your employment with Millennium Group Of Companies, you will be liable to be transferred or deputed
to any of the offices, departments of Millennium Group Of Companies or its Associates, Subsidiaries or Group
Companies, whether in India or abroad.
2.2. In the event of transfer or deputation of your services your salary and other benefits will be determined in
accordance with company Policies prevalent at that time.
3) Travel: You may be required to travel, whether in India or overseas, in connection with office work at short notice.
You will be require to execute the Foreign Travel Bond with Millennium Group Of Companies.
4) Salary and Benefits:
4.1. Salary shall be reviewed on an annual basis depending on the date of joining and you shall be notified of the
amount of your salary entitlement for the succeeding year, depending upon your performance during the year.
4.2 The salary shall be payable on monthly basis in arrears typically by the 10th working day on each calendar month.
4.3 By accepting this offer you authorize the Company to deduct from your remuneration on termination of
employment (including salary, salary in lieu of notice, training fee, holiday pay and sick pay, etc.) all debts owed by
you to the Company or any of its group companies or any fine imposed by the Company as a discretionary penalty
pursuant to the Companys disciplinary procedure.
4.4 Your compensation package is set out in Schedule I. It will be reviewed annually based upon your performance.
4.5 Your individual compensation is a confidential matter and you are expected to discuss the same only with your
manager(s) and concerned members of the HR team. You are advised not to compare salaries amongst colleagues
as any grievance raised based on that may not be entertained. Failure to follow this may lead to termination.
5) Career Advance Program:

Technologies which will be useful for the further projects. Millennium Group Of Companies is the sole discretion of
designing the program schedule and technologies depending on the project assigned to you.

6) Termination:
6.1. Your employment with Millennium Group Of Companies is subject to termination on:
6.1.1. Level 1 Two months prior notice from your side
The Notice Period for termination in respect of all employees from Millennium Group Of Companies shall be as per
applicable laws.
6.2. Millennium Group Of Companies reserves the right to, at its sole discretion, substitute the notice period by
paying you salary in lieu of the notice period a sum equal to the amount or pro-rated amount of salary which would
have accrued to you during the period or remaining period of notice
6.3. Millennium Group Of Companies shall have the right to terminate your employment immediately without notice
or payment in lieu of notice if:
6.3.1. You neglect, refuse, fail or for any reason become unable to perform any of your duties under this agreement
or comply with Millennium Group Of Companies.
6.3.3. You commit any breach of any of your duties or obligations under this agreement or the policies of the
company.
6.3.4. There is a discrepancy in the copies of the documents/certificates given by you as a proof in support of the
information provided by you. In the event of termination under Clause 7.4.2, you shall not be entitled to any benefits
whatsoever.
6.3.5 Unauthorized absence beyond a period of seven (7) consecutive days.
6.3.6 Inability to perform you duties beyond a period of thirty (30) days, whether on medical grounds or on any other
ground.
6.3.7 Physical or mental incapacitation to perform your duties. 7.3.8 Any misrepresentation by you to the Company,
whether made orally or in writing and whether expressly or by conduct, and whether at the time of appointment or
prior or subsequent thereto.
6.3.9 Your performance is continuously measured as below expectation for a period of two weeks, despite due
training.
6.3.10 notwithstanding anything contained in above clause the company reserves the right to terminate your
employment without giving any notice period or pay in lieu thereof if you are in breach of the sub-clause mentioned
above.
6.4 After notice of termination, you shall cooperate with the company as reasonably requested by the Company, to
effect a transition of your responsibilities and ensure that the company is aware of all matters being handled by you.
6.5 The Company reserves the right during any period of notice to exclude you from the premises of the company
or to require you to carry out specified duties at premises other than those referred to in paragraph mentioned
above or to carry out no duties and to instruct you not to communicate with clients, employees, agents or
representatives of the Company until your employment has been terminated. You will not be entitled to engage in
any other employment, work or business during the notice period.

7) Mode of Communication:

For any service of notice or communications of any kind, you will be informed by email or ordinary post at the
address given by you at the time of your employment or such other address as may be intimated by you to the
management thereafter.

8) Confidentiality:

8.1. You agree at all times during the term of your employment and thereafter (Without limit of time);
8.1.1. To hold the Confidential Information in strictest confidence, and not to use or attempt to use the same, except
for the benefit of Millennium Group Of Companies, and Not to disclose or divulge the Confidential Information to
any person or entity without written authorization of Millennium Group Of Companies .

9) Intellectual Property:

9.1.1. You agree that any proprietary rights whatsoever, including but not limited to, patents, copyright and design
rights as a result of the development of and/or the application of all work produced by you during or as a
consequence of your employment, whether alone or in conjunction with others and whether during normal working
hours or not, including but not limited to any invention, design, discovery or improvement, computer program,
documentation, confidential information, copyright
work or other material which you conceive, discover or create during or in consequence of this employment with
Millennium Group Of Companies shall belong to Millennium Group Of Companies ab
solely. Pursuant to its exclusive proprietary rights, the company shall have the sole and exclusive right to use, modify
or adapt the Inventions, information, materials, products or deliverables developed by you during the performance
of your services as an employee of the Millennium Group Of Companies.

10) General:

10.1 You will be bound by the Code of Conduct of the Company all other rules, regulations, instruction, policies and
orders issued by the Company from time to time.
10.2You shall inform the company as soon as possible about any change in your residential address.
10.3 Participation in the Company Provident Fund Scheme as per the rules and policies applicable to your category
of employees.
10.4 The company is not liable to provide any vehicle for carrying out your assigned tasks and you will be expected
to arrange your own means of conveyance or utilize public transport.
10.5 You will be subjected to Security Check of your belongings while entering and leaving the premise, if found
necessary.

I have read the policies for New Employee and fully understand and accept the terms and conditions contained
within. I have read the Code of Conduct, Career Advance Program, Fee and Fee Non Refund policy and fully
understand and accept the terms and conditions within.

I fully understand and accept that the technologies may change at any time without notice, and new findings,
inventions achieved will become the property of Millennium Group Of Companies.
