KNOW AL MEN BY THESE PRESENTS:

That I, ABEGAIL P. GUARDIAN, Filipino, of legal age, single,

and a resident of 2482 Park Avenue, Pasay City, Philippines, do hereby
nominate, constitute and appoint FREDERICK C. BARCELON, who is also
of legal age, Filipino, single, and a resident of 16 th Floor, Symphony Towers,
Sgt. Esguerra Avenue, corner Timog Avenue, Quezon City, Philippines, with
right of substitution and revocation, to represent and vote all shares
registered in my name or owned by me and/or such shares as I am
authorized to represent and vote in my own capacity as administrator,
executor or attorney-in-fact, in any shareholders meeting of Philippine
Long Distance Telephone Company (PLDT Inc.) and all adjournments and
postponements thereof.

Hereby giving and granting unto FREDERICK C. BARCELON full

power and authority whatsoever requisite or necessary or proper to be
done in or about the premises, as fully to all intents and purposes as I
might or could lawfully do if personally present, and hereby ratifying and
confirming all that FREDERICK C. BARCELON shall do or cause to be
done under and by virtue of these presents.

This proxy revokes all proxies which I may have previously executed
in favor of a person or persons other than the person named above. This
proxy shall be effective for five (5) years from the date hereof, or until
withdrawn by me through notice in writing, or superseded by subsequent
proxy delivered to the Secretary at least ten (10) days before the annual
stockholders meeting or any adjournments and postponements thereof,
but shall cease to apply in instances where I personally attend the meeting.
