AFFIDAVIT

I, ARMANDO P. GARCIA, of legal age, married, Filipino, and a resident of Davao City
after having been sworn to in accordance with law, do hereby depose and say that:

1. I am the Corporate Treasurer of MINDANAO DAVAO

KITEBOARDING CLUB INC. (The Corporation) and its authorized
representative.

2. By this affidavit, I hereby state for the record that the Corporation has
ceased operations and can no longer continue in existence due to the lack
of technical personnel.

3. In line with the process of delisting the Corporation from the Securities
and Exchange Commission, the Corporation has also applied for
cancellation/cessation of registration with the Bureau of Internal
Revenue.

4. Moreover, the other members of the Board of Directors of the

Corporation have moved away and are no longer interested in
participating in the affairs of the Corporation. Hence, it is only I, as the
Corporate Treasurer who has remained to process the winding up and
eventual dissolution of the Corporation.

5. I am stating all of the above for the reason of establishing my undertaking

rather than to perpetuate any fraudulent intent nor to the commission of
the same and forever discharge any person, public or private, natural or
juridical from any liability that may arise from this.

6. I am executing this affidavit to attest to the truth of all the foregoing and
to apprise the Bureau of Internal Revenue and any other governmental
agency and/or instrumentality of such facts as abovementioned, as well as
any person, natural or juridical, public or private, and for whatever other
legal purposes this affidavit may serve.

IN WITNESS WHEREOF, I have hereunto set my hand this April 4, 2017, at Davao
