OVHS&E Leaders React to Questions Surrounding the Sale of
OVMC-EORH

(Wheeling, WV) - The Board of Trustees of Ohio Valley Health Services and Education
Corporation (OVHS&E), parent company of Ohio Valley Medical Center and East Ohio
Regional Hospital, has been diligently seeking a capital partner for the past several years. In
January, OVHS&E announced they found that partner in California-based Alecto Healthcare
Services, which acquired Fairmont Regional Medical Center in Marion County, WV in 2014.
Alecto reinvested in the facility, which resulted in its becoming the only West Virginia hospital
to be named as a top performer in key quality measures for five years in a row.

Kris Molnar, Chairperson of the Board of Trustees commented on the exhaustive process saying,
Our Board and Executive Committee of the Board has completed an extremely thorough study
leading to the sale to Alecto. Molnar continued, I am extremely proud of the enormous
amount of time and research put forth by our Executive Committee and our consultants to come
to our selection of Alecto. The approval of this partnership with Alecto came after they
committed to preserving the services we currently provide and job security for the more than
1,500 people we employ system wide. We were also impressed with the success Alecto has had
in owning Fairmont Regional Medical Center.

Molnar added, I am aware that Wheeling Hospital stated that there was a far more substantial
and rewarding offer made, but I can assure all concerned that our decision to go with Alecto was
done so using high quality consultants and good data analysis in consideration of what was best
for our community, patients, physicians, medical staff, and employees.

Alecto Healthcare has also committed to investing as much as $20 million dollars into
improvements of the hospitals within the next five years. This includes new equipment and
updated infrastructure while continuing to provide quality healthcare and excellent services that
the community has grown to expect.

Mike Caruso, president and chief executive officer for OVHS&E, reacted to the selection of
Alecto saying, It is an honor for OVMC-EORH to provide excellent healthcare services to the
communities we serve. With that honor comes an obligation to explore and identify ways to
enhance those services. Caruso continued, Within the past year we decided to explore
opportunities that could augment our system via a sale or partnership transaction. Following a
market search conducted by a pre-eminent healthcare investment bank, which involved more
than 30 potential suitors, we identified only one viable and committed partner who would
consummate a transaction that would both maintain and enhance the services we provide- that
was Alecto Healthcare Services.

Ohio Valley Medical Center, located in Wheeling, W. Va., and East Ohio Regional Hospital,
located in Martins Ferry, Ohio, are a 340-bed combined organization with more than 1,500
employees providing the areas only comprehensive orthopedic centers of excellence, behavioral,
and mental health services and board-certified emergency services on both sides of the Ohio
River.
