EMPLOYMENT AGREEMENT

THIS AGREEMENT made as of the 4th day of March, 2017, between CHINA
RAILWAY FIRST GROUP, (hereinafter called the "Employer"); Islamabad Head Office,
and having its principal place of business at China and Ms. Tehseen Majeed
Chaudhury (the "Employee").

Whereas the Employer desires to obtain the benefit of the services of the Employee for
the position Deputy Manager Contracts, and the Employee desires to render such
services on the terms and conditions set forth.

IN CONSIDERATION of the promises and to good and valuable consideration (the


sufficiency and receipt of which are hereby acknowledged) the parties agree as follows:

1. EMPLOYMENT

The Employee agrees that she will at all times faithfully, industriously, and to the
best of her skill, ability, experience and talents, perform all of the duties
required of her position. In carrying out these duties and responsibilities, the
Employee shall comply with all Employer policies, procedures, rules and
regulations, both written and oral, as are announced by the Employer from time
to time. It is also understood and agreed to by the Employee that her
assignment, duties and responsibilities and reporting arrangements shall be
taken in Law & Contracts Department by the Employer.

2. POSITION TITLE

The Position Title of the job will be Deputy Manager Contracts.

3. RESPONSIBILITIES

As a Dy. Manager contracts, the Employee is required to perform the following


duties and undertake the following responsibilities in a professional manner.

Contract Administration on FIDIC/EPC/turnkey form of civil works.


To provide contractual assistance to all Project Managers on various construction
projects running in Pakistan.
To provide contractual assistance to Site staff on Design of specimens based on
FIDIC standards for various reports and forms/ Performas.
Project contractual correspondence for complete project.
To Work closely and assist Legal Counsel for CRFG International on Projects
Facilitation to all departments of CRFG with regard to agreements and any other
construct related activities.
Day to day daily contractual tasks
To provide Services for legal & commercial deviations while tendering/bid
submissions.
Other duties as may arise from time to time and as may be assigned to the
employee by the Employer.

4. COMPENSATION

a) Employer shall include bonus and other benefits as per on company


regulations.
b) Employee shall be paid a site visit @Rs.2000 per day along with vehicle
and food
c) The salary mentioned in document shall be reviewed on an annual basis.
d) All reasonable expenses arising out of employment shall be reimbursed
assuming same have been authorized prior to being incurred
and with the provision of appropriate receipts.

5. ANNUAL LEAVE & OTHER HOLIDAYS

a) The Employee will be entitled to public holidays in Pakistan as notified by


the Government of Pakistan from time to time, and shall also entitles to
such other holidays as decided in writing by the Employer.
b) Employee is entitled to avail paid leaves on account of 14 casual for
sudden illness or any other urgent purpose , 16 sick/medical leave subject to
medical certificate under factories act 1935 of Pakistan .
c) In addition to the above, the Employee will be entitled to a total of Twenty
(20) days annual leave, 50% of which would be en-cashable and 50%
shall be mandatory.

6. MEDICAL / HEALTH

The Employer shall at its expense provide the Employee with the Health Plan
that is currently in place or as may be in place from time to time.

6. CONTRACT PERIOD

It is understood and agreed that this contract of employment shall constitute a


period of 1 year during which period the Employer may extend after the
completion of one year
7. PERFORMANCE REVIEWS

The Employee will be provided with a written performance appraisal at least


once per year and said appraisal will be reviewed at which time all aspects of
the assessment can be fully discussed.

8. CONCLUSION OF CONTRAC SERVICES

a) The Employee may at any time resign this agreement and her
employment by giving not less than one month with advance written
notice to the Employer.
b) The Employer may relieve the employee from this Agreement by giving
one month notice in advance.
c) The employee agrees to return any property of ___________________________
at the time of agreement conclusion.
d) The Employer may terminate the agreement if the Employee
i) fails to perform the duties in accordance with the required targets
and standards given by the Employer.
ii) commit any serious or persistent breach of any of the provisions
herein contained.
iii) commit any misconduct or wilful neglect in the discharge of her
duties.
iv) Become unsound mind; or
v) Be convicted of any criminal offence other than an offence which in
our reasonable opinion does not affect our position.

Notwithstanding any other provision of this Agreement, either of the


Parties may terminated this Agreement on One-Months notice or on the
payment of one-month salary in lieu thereof.

9. EMOULMENTS & BENEFITS

The Employer will pay the employee after deduction of tax, a monthly amount of
Rs. PKR. 100,000 (PKR One Hundred Thousand Only), excluding the Conveyance
Allowance i.e PKR. 18,000/= (PKR Fifteen Thousand Only). The Employer shall
pay gross amount of Rs.118,000 p.m after deduction of tax .The Employer shall
apply a 30% yearly incremental in salary after the completion of the one year
Period.

10. EXCLUSION OF OTHER OCCUPATIONS

The Employee will not, without the prior written consent of the Employer directly
or indirectly engage herself or show any interest in any capacity in accepting
any other full-time or Part-time paid or unpaid job, assignment, commitment or
occupation whatsoever during the Employment with the Employer.

11. CONFIDENTIALITY & NON DISCLOSURE

The Employee will not, except as expressly authorized by the Employer or


required by the applicable law or the court of competent jurisdiction, reveal to
any person or persons any of the information in regard to the management,
operations, dealing or any information concerning the organization, business
finances, transactions or The Employers or its subsidiaries which may come to
the knowledge of the Employee during the employment or not such any
information is expressly categorised and confidential and shall maintain
complete secrecy regarding all information entrusted to the Employee, and shall
not divulge such information to anyone or use or attempt to use any such
information in any manner which may directly or indirectly injure or cause loss to
the Employer, or its business, its goodwill or its management. The employee and
the employer shall respect all the laws prevailing in Pakistan.
