IPOs remain rare amid low investor confidence, with most capital markets activity currently focused on debt
rather than equity. Securitisation has become more attractive following the recent implementation of the
Securitisation Act and the SPAV (Special Purpose Asset Vehicles) Act.

Romulo Mabanta Buenaventura Sayoc & de los Angeles acted for both JG Summit, as issuer, and JP Morgan,
as sole adviser, bookrunner and underwriter, on a US$300m bond offering. Other clients include UBS Warburg,
ING, Schroder Salomon Smith Barney, Deutsche Bank and Citigroup Financial. Partner Cynthia Del Castillo is
well known. On the equity side, however, the firm (like most) has had a slow year, although an IPO for a major
multinational is now in its initial stages.

Sycip Salazar Hernandez & Gatmaitan advised a wide range of clients such as Goldman Sachs and HSBC on
capital markets transactions. The firm also advised a consortium on the US$1.8bn securitisation of revenues

Picazo Buyco Tan Fider & Santos had a busy year in the capital markets. Highlights include acting for PLDT, the
Filipino telecoms company, on two bond issues of US$100m and US$250m respectively, and representing
Equitable PCI Bank on a US$250m bond issue. Other clients include Metrobank and ABN-Amro. Partners
Estrelita Gacutan, Mark Vergara and Gabriel Dee have good reputations.

Stock Exchange on its de-merger and subsequent IPO, and acted for Rizal Commercial and Banking
Corporation on the issuance of unsecured subordinated notes. Other clients include Caltex (Philippines) and

Covanta Energy Philippine Holdings and Bank Islam (L) Ltd. Francis Lim, the firm's co-managing partner, was

Projects and foreign investment have slowed significantly in the past two years. Similarly, the pace of
privatisation of the National Power Company of the Philippines (NAPCOR), a flagship project for the Filipino
government, has slowed recently. Several major infrastructure-related concession contracts were either subject
to legal investigation or declared invalid in 2002 and 2003. Such setbacks contributed to a deterioration in
confidence from foreign investors. Rail sector transactions and the privatisation of NAPCOR are likely to be
important sources of work for law firms in the coming years.

Fifteen-partner Picazo Buyco Tan Fider & Santos moves into our top tier this year on account of the size and
importance of recent transactions and glowing recommendations from clients. Highlights include advising

International Container Terminal Services on its US$400m sale to Hutchison International Port Holdings of a
controlling interest in ICTSI International Holdings and a cruise port terminal in Mexico. Managing partner and
