spot ‘Agroemert-CSFL SDRAFT-Recore-The AFM Captains Agreement This agreement is made by and between Record and Company (or "Record! in shor), based 280 Davis Drive, Newrnarket, ‘Ontario, Canada, M8N3A6, and American Football Mod Captains (or "The AFM Captains" in short), based 111 Chicago Main Server. With this agreement, The AFM Captains agrees to perform services for Record for the praject tentatively titled 'CSFL'S DRAFT’ on the following terms and conditions. Services and deadlines The services that The AFM Captains will perform for CSF. S DRAFT include: + Not Being Traded. ‘+ Not being used to put another team at a disadvantage. Record needs to approve the work resulting from the services before itis considered complete and payable, and Record will approve or disapprove the work as soon as possible, The AFM Captains is aware that minor adjustments and fixes to the work are also part of the services. The deadline for The AFM Captains to complete the services is March 19th, 2017 When The AFM Captains becomes aware that The AFM Captains is unable to complete the services on the deadline, The [AEM Captains will immediately notify Record. Together, Record and The AFM Captains can agree to set anew deadline or redefine the services to be performed for an existing deadline. If The AFM Captains is unable to complete the services on the deadline and Record and The AFM Captains cannot agree on a new deadline, Record can decide to no longer use The ‘AFM Captains’ services IFRecord does not pay on time, The AFM Captains can delay deadlines with as many days as Record delays the owed payment. If Record wants The AFM Captains to perform services that are not listed above, Record and The AFM Captains ‘an agree to add services to this agreement or sign a new agreement. Compensation Before The AFM Captains performs any services, The AFM Captains will estimate the Hours needed to complete individual tasks of the services and share these estimates with Record, The AFM Captains can begin to work on individual tasks after writen approval by Record. When The AFM Captains becomes aware that the Hours needed to perform a task willbe higher than estimated, The AFM Captains will immediately make a new estimation that in turn needs writen approval by Record. When The AFM Captains completes all individual tasks ofthe services, Record agrees to pay The AFM Captains 200 CAD for every Hour spent within the estimate approved by Record, All amounts in this agreement are excluding VAT (value added tax), The AFM Captains will send invoices to receive payment(s) from Record, alter which Record will make payment by PayPal within 30 days of receiving an invoice, The AFM Captains willbe responsible forall expenses made while performing the services under this agreement, Because The AFM Captains is not an employee of Record, The AFM Captains is not entitled to worker's compensation, retirement, insurance or other benefits afforded to employees of Record, Rights to the work The AFM Captains will remain owner ofthe rights to the work resuking from the services for this agreement. The AFM Captains gives Record the rignts to use and distribute the work as part of CSFL5 DRAFT, including art, images, designs, audio, videos, code, typography, and text. Record can make minor changes to the work if needed. These rights are exclusive, meaning that Record has the rights to use the work for CSFL 5 DRAFT indefinitely, and The AFM Captains or ther companies that The AFM Captains works for do not. If CSFL 5 DRAFT is made for another company or if CSFLS DRAFT is distributed through another company, publisher or platform, Record can give that company the same rights to Use and distribute the work as part of CSFI. 5 DRAFT, Record may not use the work that The AFM Captains delivers to Record in projects other than CSFL 5 ORAFT without writen permission of The AFM Captains, hp docontract. com! 12spot ‘Agroemert-CSFL SDRAFT-Recore-The AFM Captains The AFM Captains will make sure that Record can make full use of the work, which means that The AFM Captains will only deliver work that The AFM Captains made, or work from others It comes with a license that allows the work to be included in CSFL 5 DRAFT. If The AFM Captains delivers work to Record that is claimed to infringe the rights of others, then The AFM Captains will defend Record against these claims, and The AFM Captains 's responsible for all damages Record may suffer. Record agrees to credit The AFM Captains in- and outside of CSF. 5 DRAFT following the industry standard, The AFM Captains can use the work resulting from the services for The AFM Captains's portfolio, but If CSFL 5 ORAFT is stil Unreleased, The AFM Captains needs written permission from Record, Confidential information The AFM Captains agrees not to disclose or use any confidential information of Record or CSFL S DRAFT without Record's, written permission, both during and after the term ofthis agreement, Confidential information is defined as information that Record has nat made public. In case of a disagreement Both Record and The AFM Captains cannot end the agreement without a good reason. In case of a disagreement, Record and The AFM Captains will do their best to respectfully resolve the disagreement. If Record and The AFM Captains cannot find an immediate solution for their disagreement, and Record or The AFM Captains wants to end the agreement, they need to give a seven day deadline to get to a solution. During the time that Record and The AFM Captains try and resolve their disagreement, they cannot stop performing the obligations from this agreement they do not disagree about. I Record and The AFM Captains did their best to resolve the disagreement during these seven days but could not come to 2 solution, this agreement can be ended, and any rights that Record already paid for before the disagreement stay with Record. Record and The AFM Captains can come to an additional agreement about any rights that Record has not yet paid for. The louis of Canada and The U.S.A govern this agreemen’ nd legal disputes can only be resolved in Canada and The U.S.A, Signatures Record and The AFM Captains have both signed every page of this agreement, and each have their own copy of the signed ‘agreement for future reference, This agreement starts on the latest date that Record or The AFM Captains signs.
