DEED OF WAIVER OF RIGHTS AND INTERESTS

KNOW ALL MEN BY THESE PRESENTS:

We, ____________(GINA/DERICK), of legal age, __________(single/married),

with business address at _____________, after having sworn to in accordance
with law, hereby depose and say that:

We are the owners of TRIFORCE GLOBAL SOLUTIONS (Philippines), Inc.,

a company duly registered under the laws of the Republic of the Philippines
with postal address at _________________. We, through TRIFORCE GLOBAL
SOLUTIONS (Philippines), Inc., engaged the employment of Bernardo Agtarap
II, Bernard P. Destreza, Allan Gresly Gaa, Kathy Nicolas and Michael Mijares
under the terms and conditions set forth in their respective employment
contracts. Pursuant with the employment contracts signed by the herein
employees and employer, employees are strictly prohibited to directly and
indirectly participate, engage and/or enter into personal business arrangement
involving the EMPLOYERS products and/or services. Further, the contract
explicitly provides that no information gained by virtue of employment with the
EMPLOYER is disclosed to outsiders unless disclosure is for necessary
business purposes and pursuant to properly approved and written agreements
which shall extend beyond EMPLOYEES employment with EMPLOYER.

We, being the owners and representative of the EMPLOYER, are no longer
interested in pursuing the enforcement of the aforementioned rights provided
under the employment contract and hereby WAIVE AND DISCHARGE all our
rights and interest in the aforementioned contract in favour of the following
undersigned EMPLOYEES.
