ARTICLE I CORPORATE OFFICES
1.1REGISTEREDOFFICE
The registered office of Tesla, Inc. shall be fixed in the corporations certificate of incorporation. References in these bylaws to the
certificateofincorporationshallmeanthecertificateofincorporationofthecorporation,asamendedfromtimetotime,includingthetermsofany
certificateofdesignationsofanyseriesofPreferredStock.
1.2OTHEROFFICES
Thecorporationsboardofdirectorsmayatanytimeestablishotherofficesatanyplaceorplaceswherethecorporationisqualifiedtodo
business.
ARTICLE II MEETINGS OF STOCKHOLDERS
2.1PLACEOFMEETINGS
Meetingsofstockholdersshallbeheldatanyplace,withinoroutsidetheStateofDelaware,designatedbytheboardofdirectors.The
boardofdirectorsmay,initssolediscretion,determinethatameetingofstockholdersshallnotbeheldatanyplace,butmayinsteadbeheldsolely
bymeansofremotecommunicationasauthorizedbySection211(a)(2)oftheGeneralCorporationLawoftheStateofDelaware(theDGCL ).In
theabsenceofanysuchdesignationordetermination,stockholdersmeetingsshallbeheldatthecorporationsprincipalexecutiveoffice.
2.2ANNUALMEETING
Theannualmeetingofstockholdersshallbeheldonsuchdate,atsuchtime,andatsuchplace(ifany)withinorwithouttheStateof
Delawareasshallbedesignatedfromtimetotimebytheboardofdirectorsandstatedinthecorporationsnoticeofthemeeting.Attheannual
meeting,directorsshallbeelectedandanyotherproperbusinessmaybetransacted.
2.3SPECIALMEETING
(i)Aspecialmeetingofthestockholders,otherthanthoserequiredbystatute,maybecalledatanytimeonlyby(A)theboard
ofdirectors,(B)thechairpersonoftheboardofdirectors,(C)thechiefexecutiveofficeror(D)thepresident(intheabsenceofachiefexecutive
officer).Aspecialmeetingofthestockholdersmaynotbecalledbyanyotherpersonorpersons.Theboardofdirectorsmaycancel,postponeor
rescheduleanypreviouslyscheduledspecialmeetingatanytime,beforeorafterthenoticeforsuchmeetinghasbeensenttothestockholders.

(ii)Thenoticeofaspecialmeetingshallincludethepurposeforwhichthemeetingiscalled.Onlysuchbusinessshallbe
conductedataspecialmeetingofstockholdersasshallhavebeenbroughtbeforethemeetingbyoratthedirectionoftheboardofdirectors,the
chairpersonoftheboardofdirectors,thechiefexecutiveofficerorthepresident(intheabsenceofachiefexecutiveofficer).Nothingcontainedin
this Section 2.3(ii) shall be construed as limiting, fixing or affecting the time when a meeting of stockholders called by action of the board of
directorsmaybeheld.
2.4ADVANCENOTICEPROCEDURES
(i)Advance
Notice
of
Stockholder
Business.
Atanannualmeetingofthestockholders,onlysuchbusinessshallbeconducted
asshallhavebeenproperlybroughtbeforethemeeting.Tobeproperlybroughtbeforeanannualmeeting,businessmustbebrought:(A)pursuantto
thecorporationsproxymaterialswithrespecttosuchmeeting,(B)byoratthedirectionoftheboardofdirectors,or(C)byastockholderofthe
corporationwho(1)isastockholderofrecordatthetimeofthegivingofthenoticerequiredbythisSection2.4(i)andontherecorddateforthe
determinationofstockholdersentitledtovoteattheannualmeetingand(2)hastimelycompliedinproperwrittenformwiththenoticeprocedures
setforthinthisSection2.4(i).Inaddition,forbusinesstobeproperlybroughtbeforeanannualmeetingbyastockholder,suchbusinessmustbea
propermatterforstockholderactionpursuanttothesebylawsandapplicablelaw.ExceptforproposalsproperlymadeinaccordancewithRule14a-8
under the Securities and Exchange Act of 1934, and the rules and regulations thereunder (as so amended and inclusive of such rules and
regulations),andincludedinthenoticeofmeetinggivenbyoratthedirectionoftheboardofdirectors,fortheavoidanceofdoubt,clause(C)above
shallbetheexclusivemeansforastockholdertobringbusinessbeforeanannualmeetingofstockholders.
(a) To comply with clause (C) of Section 2.4(i) above, a stockholders notice must set forth all information
required under this Section 2.4(i) and must be timely received by the secretary of the corporation. To be timely, a stockholders notice must be
receivedbythesecretaryattheprincipalexecutiveofficesofthecorporationnotlaterthanthe45thdaynorearlierthanthe75thdaybeforetheoneyearanniversaryofthedateonwhichthecorporationfirstmaileditsproxymaterialsoranoticeofavailabilityofproxymaterials(whicheveris
earlier)fortheprecedingyearsannualmeeting;provided
,however
,thatintheeventthatnoannualmeetingwasheldinthepreviousyearorifthe
dateoftheannualmeetingisadvancedbymorethan30dayspriortoordelayedbymorethan60daysaftertheone-yearanniversaryofthedateof
thepreviousyearsannualmeeting,then,fornoticebythestockholdertobetimely,itmustbesoreceivedbythesecretarynotearlierthantheclose
ofbusinessonthe120thdaypriortosuchannualmeetingandnotlaterthanthecloseofbusinessonthelaterof(i)the90thdaypriortosuchannual
meeting,or(ii)thetenthdayfollowingthedayonwhichPublicAnnouncement(asdefinedbelow)ofthedateofsuchannualmeetingisfirstmade.
Innoeventshallanyadjournmentorpostponementofanannualmeetingortheannouncementthereofcommenceanewtimeperiodforthegiving
ofastockholdersnoticeasdescribedinthisSection2.4(i)(a).Public Announcement shallmeandisclosureinapressreleasereportedbythe
Dow Jones News Service, Associated Press or a comparable national news service or in a document publicly filed by the corporation with the
SecuritiesandExchangeCommissionpursuanttoSection13,14or15(d)oftheSecuritiesExchangeActof1934,asamended,oranysuccessor
thereto(the1934 Act ).
(b)Tobeinproperwrittenform,astockholdersnoticetothesecretarymustsetforthastoeachmatterofbusiness
thestockholderintendstobringbeforetheannualmeeting:(1)abriefdescriptionofthebusinessintendedtobebroughtbeforetheannualmeeting
andthereasonsforconductingsuchbusinessattheannualmeeting,(2)thenameandaddress,astheyappearonthecorporationsbooks,ofthe

2.5NOTICEOFSTOCKHOLDERSMEETINGS
Wheneverstockholdersarerequiredorpermittedtotakeanyactionatameeting,awrittennoticeofthemeetingshallbegivenwhich
shallstatetheplace,ifany,dateandhourofthemeeting,themeansofremotecommunications,ifany,bywhichstockholdersandproxyholders
maybedeemedtobepresentinpersonandvoteatsuchmeeting,therecorddatefordeterminingthestockholdersentitledtovoteatthemeeting,if
suchdateisdifferentfromtherecorddatefordeterminingstockholdersentitledtonoticeofthemeeting,and,inthecaseofaspecialmeeting,the

2.6QUORUM

2.8CONDUCTOFBUSINESS
Thechairpersonofanymeetingofstockholdersshalldeterminetheorderofbusinessandtheprocedureatthemeeting,includingsuch
regulationofthemannerofvotingandtheconductofbusiness.Thechairpersonofanymeetingofstockholdersshallbedesignatedbytheboardof

2.9VOTING

thesebylaws,subjecttoSection217(relatingtovotingrightsoffiduciaries,pledgorsandjointownersofstock)andSection218(relatingtovoting
trustsandothervotingagreements)oftheDGCL.
Exceptasmaybeotherwiseprovidedinthecertificateofincorporationorthesebylaws,eachstockholdershallbeentitledtoonevotefor
eachshareofcapitalstockheldbysuchstockholder.
Except as otherwise required by law, the certificate of incorporation or these bylaws, the affirmative vote of a majority of the voting
power of the shares present in person or represented by proxy at the meeting and entitled to vote on the subject matter shall be the act of the
stockholders.Directorsshallbeelectedbyamajorityofthevotingpowerofthesharespresentinpersonorrepresentedbyproxyatthemeetingand

adoptedbytheboardofdirectorsandwhichrecorddateshallnotbemorethan60norlessthan10daysbeforethedateofsuchmeeting.Iftheboard

In order that the corporation may determine the stockholders entitled to receive payment of any dividend or other distribution or
allotment of any rights or the stockholders entitled to exercise any rights in respect of any change, conversion or exchange of stock, or for the
purpose of any other lawful action, the board of directors may fix a record date, which record date shall not precede the date upon which the
resolutionfixingtherecorddateisadopted,andwhichrecorddateshallbenotmorethan60dayspriortosuchaction.Ifnorecorddateisfixed,the

2.12PROXIES
Eachstockholderentitledtovoteatameetingofstockholdersmayauthorizeanotherpersonorpersonstoactforsuchstockholderby
proxy authorized by an instrument in writing or by a transmission permitted by law filed in accordance with the procedure established for the
meeting, but no such proxy shall be voted or acted upon after three years from its date, unless the proxy provides for a longer period. The
revocabilityofaproxythatstatesonitsfacethatitisirrevocableshallbegovernedbytheprovisionsofSection212oftheDGCL.Awrittenproxy
maybeintheformofatelegram,cablegram,orothermeansofelectronictransmissionwhichsetsforthorissubmittedwithinformationfromwhich
itcanbedeterminedthatthetelegram,cablegram,orothermeansofelectronictransmissionwasauthorizedbytheperson.
2.13LISTOFSTOCKHOLDERSENTITLEDTOVOTE
The officer who has charge of the stock ledger of the corporation shall prepare and make, at least 10 days before every meeting of
stockholders, a complete list of the stockholders entitled to vote at the meeting; provided,
however,
if the record date for determining the
stockholdersentitledtovoteislessthan10daysbeforethemeetingdate,thelistshallreflectthestockholdersentitledtovoteasofthetenthday
beforethemeetingdate.Thestockholderlistshallbearrangedinalphabeticalorderandshowtheaddressofeachstockholderandthenumberof
shares registered in the name of each stockholder. The corporation shall not be required to include electronic mail addresses or other electronic
contactinformationonsuchlist.Suchlistshallbeopentotheexaminationofanystockholderforanypurposegermanetothemeetingforaperiod
ofatleast10dayspriortothemeeting(i)onareasonablyaccessibleelectronicnetwork,providedthattheinformationrequiredtogainaccessto
suchlistisprovidedwiththenoticeofthemeeting,or(ii)duringordinarybusinesshours,atthecorporationsprincipalplaceofbusiness.Inthe
eventthatthecorporationdeterminestomakethelistavailableonanelectronicnetwork,thecorporationmaytakereasonablestepstoensurethat
suchinformationisavailableonlytostockholdersofthecorporation.Ifthemeetingistobeheldataplace,thenthelistshallbeproducedandkept
atthetimeandplaceofthemeetingduringthewholetimethereof,andmaybeexaminedbyanystockholderwhoispresent.Ifthe

meetingistobeheldsolelybymeansofremotecommunication,thenthelistshallalsobeopentotheexaminationofanystockholderduringthe
wholetimeofthemeetingonareasonablyaccessibleelectronicnetwork,andtheinformationrequiredtoaccesssuchlistshallbeprovidedwiththe
notice of the meeting. Such list shall presumptively determine the identity of the stockholders entitled to vote at the meeting and the number of

2.14INSPECTORSOFELECTION
Beforeanymeetingofstockholders,theboardofdirectorsshallappointaninspectororinspectorsofelectiontoactatthemeetingorits
adjournment.Thenumberofinspectorsshallbeeitherone(1)orthree(3).Ifanypersonappointedasinspectorfailstoappearorfailsorrefusesto
act,thenthechairpersonofthemeetingmay,andupontherequestofanystockholderorastockholdersproxyshall,appointapersontofillthat
vacancy.
Each inspector, before entering upon the discharge of his or her duties, shall take and sign an oath to execute faithfully the duties of
inspectorwithstrictimpartialityandaccordingtothebestofhisorherability.Theinspectororinspectorssoappointedanddesignatedshall(i)
ascertainthenumberofsharesofcapitalstockofthecorporationoutstandingandthevotingpowerofeachshare,(ii)determinethesharesofcapital
stockofthecorporationrepresentedatthemeetingandthevalidityofproxiesandballots,(iii)countallvotesandballots,(iv)determineandretain
forareasonableperiodarecordofthedispositionofanychallengesmadetoanydeterminationbytheinspectors,and(v)certifytheirdetermination
ofthenumberofsharesofcapitalstockofthecorporationrepresentedatthemeetingandsuchinspectororinspectorscountofallvotesandballots.
Indeterminingthevalidityandcountingofproxiesandballotscastatanymeetingofstockholdersofthecorporation,theinspectoror
inspectors may consider such information as is permitted by applicable law. If there are three (3) inspectors of election, the decision, act or
certificateofamajorityiseffectiveinallrespectsasthedecision,actorcertificateofall.
ARTICLE III DIRECTORS
3.1POWERS
The business and affairs of the corporation shall be managed by or under the direction of the board of directors, except as may be
otherwiseprovidedintheDGCLorthecertificateofincorporation.
3.2NUMBEROFDIRECTORS
The board of directors shall consist of one or more members, each of whom shall be a natural person. Unless the certificate of
incorporation fixes the number of directors, the number of directors shall be determined from time to time solely by resolution of the board of
directors. No reduction of the authorized number of directors shall have the effect of removing any director before that directors term of office
expires.
3.3ELECTION,QUALIFICATIONANDTERMOFOFFICEOFDIRECTORS
ExceptasprovidedinSection3.4ofthesebylaws,eachdirector,includingadirectorelectedtofillavacancy,shallholdofficeuntilthe
expirationofthetermforwhichelectedanduntilsuchdirectorssuccessoriselectedandqualifiedoruntilsuchdirectorsearlierdeath,resignation
orremoval.Directorsneednotbe

stockholdersunlesssorequiredbythecertificateofincorporationorthesebylaws.Thecertificateofincorporationorthesebylawsmayprescribe
otherqualificationsfordirectors.
3.4RESIGNATIONANDVACANCIES
Anydirectormayresignatanytimeuponnoticegiveninwritingorbyelectronictransmissiontothecorporation;provided,
however
,
that if such notice is given by electronic transmission, such electronic transmission must either set forth or be submitted with information from
which it can be determined that the electronic transmission was authorized by the director. A resignation is effective when the resignation is
deliveredunlesstheresignationspecifiesalatereffectivedateoraneffectivedatedetermineduponthehappeningofaneventorevents.Acceptance
ofsuchresignationshallnotbenecessarytomakeiteffective.Aresignationwhichisconditioneduponthedirectorfailingtoreceiveaspecified
vote for reelection as a director may provide that it is irrevocable. Unless otherwise provided in the certificate of incorporation or these bylaws,
whenoneormoredirectorsresignfromtheboardofdirectors,effectiveatafuturedate,amajorityofthedirectorstheninoffice,includingthose
whohavesoresigned,shallhavepowertofillsuchvacancyorvacancies,thevotethereontotakeeffectwhensuchresignationorresignationsshall
becomeeffective.
Unlessotherwiseprovidedinthecertificateofincorporationorthesebylaws,vacanciesandnewlycreateddirectorshipsresultingfrom
anyincreaseintheauthorizednumberofdirectorselectedbyallofthestockholdershavingtherighttovoteasasingleclassshallbefilledonlybya
majority of the directors then in office, although less than a quorum, or by a sole remaining director. If the directors are divided into classes, a
personsoelectedbythedirectorstheninofficetofillavacancyornewlycreateddirectorshipshallholdofficeuntilthenextelectionoftheclassfor
whichsuchdirectorshallhavebeenchosenanduntilhisorhersuccessorshallhavebeendulyelectedandqualified.
If,atthetimeoffillinganyvacancyoranynewlycreateddirectorship,thedirectorstheninofficeconstitutelessthanamajorityofthe
wholeboardofdirectors(asconstitutedimmediatelypriortoanysuchincrease),theCourtofChancerymay,uponapplicationofanystockholderor
stockholdersholdingatleast10%ofthevotingstockatthetimeoutstandinghavingtherighttovoteforsuchdirectors,summarilyorderanelection

Unless otherwise restricted by the certificate of incorporation or these bylaws, members of the board of directors, or any committee
designatedbytheboardofdirectors,mayparticipateinameetingoftheboardofdirectors,oranycommittee,bymeansofconferencetelephoneor
othercommunicationsequipmentbymeansofwhichallpersonsparticipatinginthemeetingcanheareachother,andsuchparticipationinameeting
shallconstitutepresenceinpersonatthemeeting.

3.6REGULARMEETINGS
Regular meetings of the board of directors may be held without notice at such time and at such place as shall from time to time be
determinedbytheboardofdirectors.
3.7SPECIALMEETINGS;NOTICE
Special meetings of the board of directors for any purpose or purposes may be called at any time by the chairperson of the board of
directors,thechiefexecutiveofficer,thepresident,thesecretaryoramajorityoftheauthorizednumberofdirectors,atsuchtimesandplacesashe
orsheortheyshalldesignate.
Noticeofthetimeandplaceofspecialmeetingsshallbe:

Ifthenoticeis(i)deliveredpersonallybyhand,bycourierorbytelephone,(ii)sentbyfacsimileor(iii)sentbyelectronicmail,itshallbe

3.8QUORUM;VOTING
At all meetings of the board of directors, a majority of the total authorized number of directors shall constitute a quorum for the
transaction of business. If a quorum is not present at any meeting of the board of directors, then the directors present thereat may adjourn the
meeting from time to time, without notice other than announcement at the meeting, until a quorum is present. A meeting at which a quorum is
initiallypresentmaycontinuetotransactbusinessnotwithstandingthewithdrawalofdirectors,ifanyactiontakenisapprovedbyatleastamajority
oftherequiredquorumforthatmeeting.
Thevoteofamajorityofthedirectorspresentatanymeetingatwhichaquorumispresentshallbetheactoftheboardofdirectors,

4.1COMMITTEESOFDIRECTORS
The board of directors may designate one or more committees, each committee to consist of one or more of the directors of the
corporation.Theboardofdirectorsmaydesignateoneormoredirectorsasalternatemembersofanycommittee,whomayreplaceanyabsentor
disqualified member at any meeting of the committee. In the absence or disqualification of a member of a committee, the member or members
thereofpresentatanymeetingandnotdisqualifiedfromvoting,whetherornotsuchmemberormembersconstituteaquorum,mayunanimously
appointanothermemberoftheboardofdirectorstoactatthemeetingintheplaceofanysuchabsentordisqualifiedmember.Intheeventamember
or members of a committee abstain or are disqualified from a vote, the majority vote of the member or members thereof not abstaining or
disqualifiedfromvoting,whetherornotsuchmemberormembersconstituteaquorum,shallbetheactofsuchcommittee.Anysuchcommittee,to
theextentprovidedintheresolutionoftheboardofdirectorsorinthesebylaws,shallhaveandmayexerciseallthepowersandauthorityofthe
boardofdirectorsinthemanagementofthebusinessandaffairsofthecorporation,andmayauthorizethesealofthecorporationtobeaffixedtoall
papersthatmayrequireit;butnosuchcommitteeshallhavethepowerorauthorityto(i)approveoradopt,orrecommendtothestockholders,any
actionormatter(otherthantheelectionorremovalofdirectors)expresslyrequiredbytheDGCLtobesubmittedtostockholdersforapproval,or
(ii)adopt,amendorrepealanybylawofthecorporation.

4.2COMMITTEEMINUTES
Eachcommitteeshallkeepregularminutesofitsmeetingsandreportthesametotheboardofdirectorswhenrequired.
4.3MEETINGSANDACTIONOFCOMMITTEES
Meetingsandactionsofcommitteesshallbegovernedby,andheldandtakeninaccordancewith,theprovisionsof:
(i)Section3.5(placeofmeetingsandmeetingsbytelephone);
(ii)Section3.6(regularmeetings);
(iii)Section3.7(specialmeetings;notice);
(iv)Section3.8(quorum;voting);
(v)Section3.9(actionwithoutameeting);and
(vi)Section7.5(waiverofnotice)
withsuchchangesinthecontextofthosebylawsasarenecessarytosubstitutethecommitteeanditsmembersfortheboardofdirectorsandits
members.However
:
(i)thetimeofregularmeetingsofcommitteesmaybedeterminedbyresolutionofthecommittee;
(ii)specialmeetingsofcommitteesmayalsobecalledbyresolutionofthecommittee;and
(iii)noticeofspecialmeetingsofcommitteesshallalsobegiventoallalternatemembers,whoshallhavetherighttoattend
allmeetingsofthecommittee.Theboardofdirectorsmayadoptrulesforthegovernmentofanycommitteenotinconsistentwiththeprovisionsof
thesebylaws.
Anyprovisioninthecertificateofincorporationprovidingthatoneormoredirectorsshallhavemoreorlessthanonevoteperdirectoron
anymattershallapplytovotinginanycommitteeorsubcommittee,unlessotherwiseprovidedinthecertificateofincorporationorthesebylaws.
4.4SUBCOMMITTEES
Unless otherwise provided in the certificate of incorporation, these bylaws or the resolutions of the board of directors designating the
committee, a committee may create one or more subcommittees, each subcommittee to consist of one or more members of the committee, and
delegatetoasubcommitteeanyorallofthepowersandauthorityofthecommittee.

ARTICLE V OFFICERS
5.1OFFICERS
The officers of the corporation shall be a president and a secretary. The corporation may also have, at the discretion of the board of
directors,achairpersonoftheboardofdirectors,avicechairpersonoftheboardofdirectors,achiefexecutiveofficer,achieffinancialofficeror
treasurer,oneormorevicepresidents,oneormoreassistantvicepresidents,oneormoreassistanttreasurers,oneormoreassistantsecretaries,and
anysuchotherofficersasmaybeappointedinaccordancewiththeprovisionsofthesebylaws.Anynumberofofficesmaybeheldbythesame
person.
5.2APPOINTMENTOFOFFICERS
The board of directors shall appoint the officers of the corporation, except such officers as may be appointed in accordance with the
provisionsofSection5.3ofthesebylaws,subjecttotherights,ifany,ofanofficerunderanycontractofemployment.Avacancyinanyoffice
becauseofdeath,resignation,removal,disqualificationoranyothercauseshallbefilledinthemannerprescribedinthisSection5fortheregular
electiontosuchoffice.
5.3SUBORDINATEOFFICERS
Theboardofdirectorsmayappoint,orempowerthechiefexecutiveofficeror,intheabsenceofachiefexecutiveofficer,thepresident,
toappoint,suchotherofficersandagentsasthebusinessofthecorporationmayrequire.Eachofsuchofficersandagentsshallholdofficeforsuch
period,havesuchauthority,andperformsuchdutiesasareprovidedinthesebylawsorastheboardofdirectorsmayfromtimetotimedetermine.
5.4REMOVALANDRESIGNATIONOFOFFICERS
Subjecttotherights,ifany,ofanofficerunderanycontractofemployment,anyofficermayberemoved,eitherwithorwithoutcause,
byanaffirmativevoteofthemajorityoftheboardofdirectorsatanyregularorspecialmeetingoftheboardofdirectorsor,exceptinthecaseofan
officerchosenbytheboardofdirectors,byanyofficeruponwhomsuchpowerofremovalmaybeconferredbytheboardofdirectors.
Anyofficermayresignatanytimebygivingwrittenorelectronicnoticetothecorporation;provided,
however
,thatifsuchnoticeis
given by electronic transmission, such electronic transmission must either set forth or be submitted with information from which it can be
determinedthattheelectronictransmissionwasauthorizedbytheofficer.Anyresignationshalltakeeffectatthedateofthereceiptofthatnoticeor
at any later time specified in that notice. Unless otherwise specified in the notice of resignation, the acceptance of the resignation shall not be
necessarytomakeiteffective.Anyresignationiswithoutprejudicetotherights,ifany,ofthecorporationunderanycontracttowhichtheofficeris
aparty.
5.5VACANCIESINOFFICES
AnyvacancyoccurringinanyofficeofthecorporationshallbefilledbytheboardofdirectorsorasprovidedinSection5.3.

5.6REPRESENTATIONOFSHARESOFOTHERCORPORATIONS
The chairperson of the board of directors, the president, any vice president, the treasurer, the secretary or assistant secretary of this
corporation, or any other person authorized by the board of directors or the president or a vice president, is authorized to vote, represent, and
exerciseonbehalfofthiscorporationallrightsincidenttoanyandallsharesofanyothercorporationorcorporationsstandinginthenameofthis
corporation.Theauthoritygrantedhereinmaybeexercisedeitherbysuchpersondirectlyorbyanyotherpersonauthorizedtodosobyproxyor
powerofattorneydulyexecutedbysuchpersonhavingtheauthority.
5.7AUTHORITYANDDUTIESOFOFFICERS
Allofficersofthecorporationshallrespectivelyhavesuchauthorityandperformsuchdutiesinthemanagementofthebusinessofthe
corporation as may be designated from time to time by the board of directors and, to the extent not so provided, as generally pertain to their
respectiveoffices,subjecttothecontroloftheboardofdirectors.
5.8THECHAIRPERSONOFTHEBOARD
Thechairpersonoftheboardshallhavethepowersanddutiescustomarilyandusuallyassociatedwiththeofficeofthechairpersonofthe
board.Thechairpersonoftheboardshallpresideatmeetingsofthestockholdersandoftheboardofdirectors.
5.9THEVICECHAIRPERSONOFTHEBOARD
The vice chairperson of the board shall have the powers and duties customarily and usually associated with the office of the vice
chairpersonoftheboard.Inthecaseofabsenceordisabilityofthechairpersonoftheboard,thevicechairpersonoftheboardshallperformthe
dutiesandexercisethepowersofthechairpersonoftheboard.
5.10THECHIEFEXECUTIVEOFFICER
Thechiefexecutiveofficershallhave,subjecttothesupervision,directionandcontroloftheboardofdirectors,ultimateauthorityfor
decisionsrelatingtothesupervision,directionandmanagementoftheaffairsandthebusinessofthecorporationcustomarilyandusuallyassociated
withthepositionofchiefexecutiveofficer,including,withoutlimitation,allpowersnecessarytodirectandcontroltheorganizationalandreporting
relationshipswithinthecorporation.Ifatanytimetheofficeofthechairpersonandvicechairpersonoftheboardshallnotbefilled,orintheevent
ofthetemporaryabsenceordisabilityofthechairpersonoftheboardandthevicechairpersonoftheboard,thechiefexecutiveofficershallperform
thedutiesandexercisethepowersofthechairpersonoftheboardunlessotherwisedeterminedbytheboardofdirectors.
5.11THEPRESIDENT
The president shall have, subject to the supervision, direction and control of the board of directors, the general powers and duties of
supervision, direction and management of the affairs and business of the corporation customarily and usually associated with the position of
president. The president shall have such powers and perform such duties as may from time to time be assigned to him or her by the board of
directors,thechairpersonoftheboardorthechiefexecutiveofficer.Intheeventoftheabsenceordisabilityofthechiefexecutiveofficer,

thepresidentshallperformthedutiesandexercisethepowersofthechiefexecutiveofficerunlessotherwisedeterminedbytheboardofdirectors.
5.12THEVICEPRESIDENTSANDASSISTANTVICEPRESIDENTS
Eachvicepresidentandassistantvicepresidentshallhavesuchpowersandperformsuchdutiesasmayfromtimetotimebeassignedto
himorherbytheboardofdirectors,thechairpersonoftheboard,thechiefexecutiveofficerorthepresident.
5.13THESECRETARYANDASSISTANTSECRETARIES
(i) Thesecretary shall attend meetingsof the board ofdirectors and meetings of the stockholders and record all votes and
minutes of all such proceedings in a book or books kept for such purpose. The secretary shall have all such further powers and duties as are
customarilyandusuallyassociatedwiththepositionofsecretaryorasmayfromtimetotimebeassignedtohimorherbytheboardofdirectors,the
chairpersonoftheboard,thechiefexecutiveofficerorthepresident.
(ii)Eachassistantsecretaryshallhavesuchpowersandperformsuchdutiesasmayfromtimetotimebeassignedtohimor
herbytheboardofdirectors,thechairpersonoftheboard,thechiefexecutiveofficer,thepresidentorthesecretary.Intheeventoftheabsence,
inabilityorrefusaltoactofthesecretary,theassistantsecretary(orifthereshallbemorethanone,theassistantsecretariesintheorderdetermined
bytheboardofdirectors)shallperformthedutiesandexercisethepowersofthesecretary.
5.14THECHIEFFINANCIALOFFICERANDASSISTANTTREASURERS
(i)Thechieffinancialofficershallbethetreasurerofthecorporation.Thechieffinancialofficershallhavecustodyofthe
corporations funds and securities, shall be responsible for maintaining the corporations accounting records and statements, shall keep full and
accurateaccountsofreceiptsanddisbursementsinbooksbelongingtothecorporation,andshalldepositorcausetobedepositedmoneysorother
valuableeffects in the nameand tothecredit of the corporationinsuchdepositoriesasmaybedesignatedbytheboardofdirectors. The chief
financialofficershallalsomaintainadequaterecordsofallassets,liabilitiesandtransactionsofthecorporationandshallassurethatadequateaudits
thereofarecurrentlyandregularlymade.Thechieffinancialofficershallhaveallsuchfurtherpowersanddutiesasarecustomarilyandusually
associated with the position of chief financial officer, or as may from time to time be assigned to him or her by the board of directors, the
chairperson,thechiefexecutiveofficerorthepresident.
(ii)Eachassistanttreasurershallhavesuchpowersandperformsuchdutiesasmayfromtimetotimebeassignedtohimor
herbytheboardofdirectors,thechiefexecutiveofficer,thepresidentorthechieffinancialofficer.Intheeventoftheabsence,inabilityorrefusal
toactofthechieffinancialofficer,theassistanttreasurer(orifthereshallbemorethanone,theassistanttreasurersintheorderdeterminedbythe
boardofdirectors)shallperformthedutiesandexercisethepowersofthechieffinancialofficer.

ARTICLE VI STOCK
6.1STOCKCERTIFICATES;PARTLYPAIDSHARES
The shares of the corporation shall be represented by certificates, provided that the board of directors may provide by resolution or
resolutionsthatsomeorallofanyorallclassesorseriesofitsstockshallbeuncertificatedshares.Anysuchresolutionshallnotapplytoshares
representedbyacertificateuntilsuchcertificateissurrenderedtothecorporation.Everyholderofstockrepresentedbycertificatesshallbeentitled
tohaveacertificatesignedby,orinthenameofthecorporationbythechairpersonoftheboardofdirectorsorvice-chairpersonoftheboardof
directors, or the president or a vice-president, and by the treasurer or an assistant treasurer, or the secretary or an assistant secretary of the
corporationrepresentingthenumberofsharesregisteredincertificateform.Anyorallofthesignaturesonthecertificatemaybeafacsimile.Incase
anyofficer,transferagentorregistrarwhohassignedorwhosefacsimilesignaturehasbeenplaceduponacertificatehasceasedtobesuchofficer,
transfer agent or registrar beforesuch certificate is issued, it may be issuedby the corporationwith the sameeffect asif such person were such
officer,transferagentorregistraratthedateofissue.Thecorporationshallnothavepowertoissueacertificateinbearerform.
Thecorporationmayissuethewholeoranypartofitssharesaspartlypaidandsubjecttocallfortheremainderoftheconsiderationtobe
paidtherefor.Uponthefaceorbackofeachstockcertificateissuedtorepresentanysuchpartly-paidshares,oruponthebooksandrecordsofthe
corporationinthecaseofuncertificatedpartly-paidshares,thetotalamountoftheconsiderationtobepaidthereforandtheamountpaidthereon
shallbestated.Uponthedeclarationofanydividendonfully-paidshares,thecorporationshalldeclareadividenduponpartly-paidsharesofthe
sameclass,butonlyuponthebasisofthepercentageoftheconsiderationactuallypaidthereon.
6.2SPECIALDESIGNATIONONCERTIFICATES
If the corporation is authorized to issue more than one class of stock or more than one series of any class, then the powers, the
designations, the preferences, and the relative, participating, optional or other special rights of each class of stock or series thereof and the
qualifications, limitations or restrictions of such preferences and/or rights shall be set forth in full or summarized on the face or back of the
certificate that the corporation shall issue to represent such class or series of stock; provided,
however
, that, except as otherwise provided in
Section202oftheDGCL,inlieuoftheforegoingrequirementstheremaybesetforthonthefaceorbackofthecertificatethatthecorporationshall
issuetorepresentsuchclassorseriesofstock,astatementthatthecorporationwillfurnishwithoutchargetoeachstockholderwhosorequeststhe
powers, designations, preferences and relative, participating, optional or other special rights of each class of stock or series thereof and the
qualifications,limitationsorrestrictionsofsuchpreferencesand/orrights.Withinareasonabletimeaftertheissuanceortransferofuncertificated
stock, the corporation shall send to the registered owner thereof a written notice containing the information required to be set forth or stated on
certificates pursuant to this section 6.2 or Sections 156, 202(a) or 218(a) of the DGCL or with respect to this section 6.2 a statement that the
corporation will furnish without charge to each stockholder who so requests the powers, designations, preferences and relative, participating,
optionalorotherspecialrightsofeachclassofstockorseriesthereofandthequalifications,limitationsorrestrictionsofsuchpreferencesand/or
rights.Exceptasotherwiseexpresslyprovidedbylaw,therightsandobligationsoftheholdersofuncertificatedstockandtherightsandobligations
oftheholdersofcertificatesrepresentingstockofthesameclassandseriesshallbeidentical.

6.3LOST,STOLENORDESTROYEDCERTIFICATES
ExceptasprovidedinthisSection6.3,nonewcertificatesforsharesshallbeissuedtoreplaceapreviouslyissuedcertificateunlessthe
latterissurrenderedtothecorporationandcancelledatthesametime.Thecorporationmayissueanewcertificateofstockoruncertificatedshares
intheplaceofanycertificatetheretoforeissuedbyit,allegedtohavebeenlost,stolenordestroyed,andthecorporationmayrequiretheownerof
thelost,stolenordestroyedcertificate,orsuchownerslegalrepresentative,togivethecorporationabondsufficienttoindemnifyitagainstany
claimthatmaybemadeagainstitonaccountoftheallegedloss,theftordestructionofanysuchcertificateortheissuanceofsuchnewcertificateor
uncertificatedshares.
6.4DIVIDENDS
The board of directors, subject to any restrictions contained in the certificate of incorporation or applicable law, may declare and pay
dividendsuponthesharesofthecorporationscapitalstock.Dividendsmaybepaidincash,inproperty,orinsharesofthecorporationscapital
stock,subjecttotheprovisionsofthecertificateofincorporation.
Theboardofdirectorsmaysetapartoutofanyofthefundsofthecorporationavailablefordividendsareserveorreservesforanyproper
purpose and may abolish any such reserve. Such purposes shall include but not be limited to equalizing dividends, repairing or maintaining any
propertyofthecorporation,andmeetingcontingencies.
6.5TRANSFEROFSTOCK
Transfersofrecordofsharesofstockofthecorporationshallbemadeonlyuponitsbooksbytheholdersthereof,inpersonorbyan
attorneydulyauthorized,and,ifsuchstockiscertificated,uponthesurrenderofacertificateorcertificatesforalikenumberofshares,properly
endorsedoraccompaniedbyproperevidenceofsuccession,assignationorauthoritytotransfer;provided,
however,
thatsuchsuccession,assignment
orauthoritytotransferisnotprohibitedbythecertificateofincorporation,thesebylaws,applicablelaworcontract.
6.6STOCKTRANSFERAGREEMENTS
Thecorporationshallhavepowertoenterintoandperformanyagreementwithanynumberofstockholdersofanyoneormoreclassesof
stockofthecorporationtorestrictthetransferofsharesofstockofthecorporationofanyoneormoreclassesownedbysuchstockholdersinany
mannernotprohibitedbytheDGCL.
6.7REGISTEREDSTOCKHOLDERS
Thecorporation:
(i) shall be entitled to recognize the exclusive right of a person registered on its books as the owner of shares to receive
dividendsandtovoteassuchowner;
(ii)shallbeentitledtoholdliableforcallsandassessmentsthepersonregisteredonitsbooksastheownerofshares;and

(iii)shallnotbeboundtorecognizeanyequitableorotherclaimtoorinterestinsuchshareorsharesonthepartofanother
person,whetherornotitshallhaveexpressorothernoticethereof,exceptasotherwiseprovidedbythelawsofDelaware.
ARTICLE VII MANNER OF GIVING NOTICE AND WAIVER
7.1NOTICEOFSTOCKHOLDERSMEETINGS
Notice of any meeting of stockholders, if mailed, is given when deposited in the United States mail, postage prepaid, directed to the
stockholderat such stockholders address as itappearsonthecorporationsrecords.Anaffidavitofthesecretaryoranassistantsecretary of the
corporationorofthetransferagentorotheragentofthecorporationthatthenoticehasbeengivenshall,intheabsenceoffraud,beprima
facie
evidenceofthefactsstatedtherein.
7.2NOTICEBYELECTRONICTRANSMISSION
WithoutlimitingthemannerbywhichnoticeotherwisemaybegiveneffectivelytostockholderspursuanttotheDGCL,thecertificateof
incorporationorthesebylaws,anynoticetostockholdersgivenbythecorporationunderanyprovisionoftheDGCL,thecertificateofincorporation
orthesebylawsshallbeeffectiveifgivenbyaformofelectronictransmissionconsentedtobythestockholdertowhomthenoticeisgiven.Any
suchconsentshallberevocablebythestockholderbywrittennoticetothecorporation.Anysuchconsentshallbedeemedrevokedif:
(i) the corporation is unable to deliver by electronic transmission two consecutive notices given by the corporation in
accordancewithsuchconsent;and
(ii)suchinabilitybecomesknowntothesecretaryoranassistantsecretaryofthecorporationortothetransferagent,orother
personresponsibleforthegivingofnotice.
However,theinadvertentfailuretotreatsuchinabilityasarevocationshallnotinvalidateanymeetingorotheraction.
Anynoticegivenpursuanttotheprecedingparagraphshallbedeemedgiven:
(i)ifbyfacsimiletelecommunication,whendirectedtoanumberatwhichthestockholderhasconsentedtoreceivenotice;
(ii)ifbyelectronicmail,whendirectedtoanelectronicmailaddressatwhichthestockholderhasconsentedtoreceivenotice;
(iii)ifbyapostingonanelectronicnetworktogetherwithseparatenoticetothestockholderofsuchspecificposting,uponthe
laterof(A)suchpostingand(B)thegivingofsuchseparatenotice;and
(iv)ifbyanyotherformofelectronictransmission,whendirectedtothestockholder.

Anaffidavitofthesecretaryoranassistantsecretaryorofthetransferagentorotheragentofthecorporationthatthenoticehasbeen
givenbyaformofelectronictransmissionshall,intheabsenceoffraud,beprima
facie
evidenceofthefactsstatedtherein.
Anelectronic transmission meansanyformofcommunication,notdirectlyinvolvingthephysicaltransmissionofpaper,thatcreates
arecordthatmayberetained,retrieved,andreviewedbyarecipientthereof,andthatmaybedirectlyreproducedinpaperformbysucharecipient
throughanautomatedprocess.
7.3NOTICETOSTOCKHOLDERSSHARINGANADDRESS
Except as otherwise prohibited under the DGCL, without limiting the manner by which notice otherwise may be given effectively to
stockholders,anynoticetostockholdersgivenbythecorporationundertheprovisionsoftheDGCL,thecertificateofincorporationorthesebylaws
shallbeeffectiveifgivenbyasinglewrittennoticetostockholderswhoshareanaddressifconsentedtobythestockholdersatthataddresstowhom
such notice is given. Any such consent shall be revocable by the stockholder by written notice to the corporation. Any stockholder who fails to
objectinwritingtothecorporation,within60daysofhavingbeengivenwrittennoticebythecorporationofitsintentiontosendthesinglenotice,
shallbedeemedtohaveconsentedtoreceivingsuchsinglewrittennotice.
7.4NOTICETOPERSONWITHWHOMCOMMUNICATIONISUNLAWFUL
Whenever notice is required to be given,under the DGCL, thecertificate of incorporation orthese bylaws, to any person with whom
communicationisunlawful,thegivingofsuchnoticetosuchpersonshallnotberequiredandthereshallbenodutytoapplytoanygovernmental
authorityoragencyforalicenseorpermittogivesuchnoticetosuchperson.Anyactionormeetingwhichshallbetakenorheldwithoutnoticeto
anysuchpersonwithwhomcommunicationisunlawfulshallhavethesameforceandeffectasifsuchnoticehadbeendulygiven.Intheeventthat
theactiontakenbythecorporationissuchastorequirethefilingofacertificateundertheDGCL,thecertificateshallstate,ifsuchisthefactandif
noticeisrequired,thatnoticewasgiventoallpersonsentitledtoreceivenoticeexceptsuchpersonswithwhomcommunicationisunlawful.
7.5WAIVEROFNOTICE
Whenevernoticeisrequiredtobegiventostockholders,directorsorotherpersonsunderanyprovisionoftheDGCL,thecertificateof
incorporationorthesebylaws,awrittenwaiver,signedbythepersonentitledtonotice,orawaiverbyelectronictransmissionbythepersonentitled
tonotice,whetherbeforeorafterthetimeoftheeventforwhichnoticeistobegiven,shallbedeemedequivalenttonotice.Attendanceofaperson
atameetingshallconstituteawaiverofnoticeofsuchmeeting,exceptwhenthepersonattendsameetingfortheexpresspurposeofobjectingatthe
beginning of the meeting, to the transaction of any business because the meeting is not lawfully called or convened. Neither the business to be
transactedat,northepurposeof,anyregularorspecialmeetingofthestockholdersortheboardofdirectors,asthecasemaybe,needbespecified
inanywrittenwaiverofnoticeoranywaiverbyelectronictransmissionunlesssorequiredbythecertificateofincorporationorthesebylaws.

8.1INDEMNIFICATIONOFDIRECTORSANDOFFICERSINTHIRDPARTYPROCEEDINGS
SubjecttotheotherprovisionsofthisArticleVIII,thecorporationshallindemnify,tothefullestextentpermittedbytheDGCL,asnow
orhereinafterineffect,anypersonwhowasorisapartyoristhreatenedtobemadeapartytoanythreatened,pendingorcompletedaction,suitor
proceeding,whethercivil,criminal,administrativeorinvestigative(aProceeding )(otherthananactionbyorintherightofthecorporation)by
reasonofthefactthatsuchpersonisorwasadirectorofthecorporationoranofficerofthecorporation,orwhileadirectorofthecorporationor
officer of the corporation is or was serving at the request of the corporation as a director, officer, employee or agent of another corporation,
partnership, joint venture, trust or other enterprise, against expenses (including attorneys fees), judgments, fines and amounts paid in settlement
actuallyandreasonablyincurredbysuchpersoninconnectionwithsuchProceedingifsuchpersonactedingoodfaithandinamannersuchperson
reasonablybelievedtobeinornotopposedtothebestinterestsofthecorporation,and,withrespecttoanycriminalactionorproceeding,hadno
reasonablecausetobelievesuchpersonsconductwasunlawful.TheterminationofanyProceedingbyjudgment,order,settlement,conviction,or
uponapleaofnolo
contendere
oritsequivalent,shallnot,ofitself,createapresumptionthatthepersondidnotactingoodfaithandinamanner
whichsuchpersonreasonablybelievedtobeinornotopposedtothebestinterestsofthecorporation,and,withrespecttoanycriminalactionor
proceeding,hadreasonablecausetobelievethatsuchpersonsconductwasunlawful.
8.2 INDEMNIFICATION OF DIRECTORS AND OFFICERS IN ACTIONS BY OR IN THE RIGHT OF THE
CORPORATION
SubjecttotheotherprovisionsofthisArticleVIII,thecorporationshallindemnify,tothefullestextentpermittedbytheDGCL,asnow
orhereinafterineffect,anypersonwhowasorisapartyoristhreatenedtobemadeapartytoanythreatened,pendingorcompletedactionorsuit
byorintherightofthecorporationtoprocureajudgmentinitsfavorbyreasonofthefactthatsuchpersonisorwasadirectororofficerofthe
corporation,orwhileadirectororofficerofthecorporationisorwasservingattherequestofthecorporationasadirector,officer,employeeor
agentofanothercorporation,partnership,jointventure,trustorotherenterpriseagainstexpenses(includingattorneysfees)actuallyandreasonably
incurredbysuchpersoninconnectionwiththedefenseorsettlementofsuchactionorsuitifsuchpersonactedingoodfaithandinamannersuch
personreasonablybelievedtobeinornotopposedtothebestinterestsofthecorporation;exceptthatnoindemnificationshallbemadeinrespectof
anyclaim,issueormatterastowhichsuchpersonshallhavebeenadjudgedtobeliabletothecorporationunlessandonlytotheextentthatthe
CourtofChanceryorthecourtinwhichsuchactionorsuitwasbroughtshalldetermineuponapplicationthat,despitetheadjudicationofliability
butinviewofallthecircumstancesofthecase,suchpersonisfairlyandreasonablyentitledtoindemnityforsuchexpenseswhichtheCourtof
Chanceryorsuchothercourtshalldeemproper.
8.3SUCCESSFULDEFENSE
Totheextentthatapresentorformerdirectororofficerofthecorporationhasbeensuccessfulonthemeritsorotherwiseindefenseof
any action, suit or proceeding described in Section 8.1 or Section 8.2, or in defense of any claim, issue or matter therein, such person shall be
indemnifiedagainstexpenses(includingattorneysfees)actuallyandreasonablyincurredbysuchpersoninconnectiontherewith.

8.4INDEMNIFICATIONOFOTHERS
Subject to the other provisions of this Article VIII, the corporation shall have power to indemnify its employees and its agents to the
extentnotprohibitedbytheDGCLorotherapplicablelaw.Theboardofdirectorsshallhavethepowertodelegatethedeterminationofwhether
employeesoragentsshallbeindemnifiedtosuchpersonorpersonsastheboardofdetermines.
8.5ADVANCEDPAYMENTOFEXPENSES
Expenses(includingattorneysfees)incurredbyanofficerordirectorofthecorporationindefendinganyProceedingshallbepaidbythe
corporation in advance of the final disposition of such Proceeding upon receipt of a written request therefor (together with documentation
reasonablyevidencingsuchexpenses)andanundertakingbyoronbehalfofthepersontorepaysuchamountsifitshallultimatelybedetermined
thatthepersonisnotentitledtobeindemnifiedunderthisArticleVIIIortheDGCL.Suchexpenses(includingattorneysfees)incurredbyformer
directorsandofficersorotheremployeesandagentsmaybesopaiduponsuchtermsandconditions,ifany,asthecorporationdeemsreasonably
appropriate and shall be subject to the corporations expense guidelines. The right to advancement of expenses shall not apply to any claim for
which indemnity is excluded pursuant to these bylaws, but shall apply to any Proceeding referenced in Section 8.6(ii) or 8.6(iii) prior to a
determinationthatthepersonisnotentitledtobeindemnifiedbythecorporation.
8.6LIMITATIONONINDEMNIFICATION
SubjecttotherequirementsinSection8.3andtheDGCL,thecorporationshallnotbeobligatedtoindemnifyanypersonpursuanttothis
ArticleVIIIinconnectionwithanyProceeding(oranypartofanyProceeding):
(i)forwhichpaymenthasactuallybeenmadetooronbehalfofsuchpersonunderanystatute,insurancepolicy,indemnity
provision,voteorotherwise,exceptwithrespecttoanyexcessbeyondtheamountpaid;
(ii)foranaccountingordisgorgementofprofitspursuanttoSection16(b)ofthe1934Act,orsimilarprovisionsoffederal,
stateorlocalstatutorylaworcommonlaw,ifsuchpersonisheldliabletherefor(includingpursuanttoanysettlementarrangements);
(iii) for any reimbursement of the corporation by such person of any bonus or other incentive-based or equity-based
compensationorofanyprofitsrealizedbysuchpersonfromthesaleofsecuritiesofthecorporation,asrequiredineachcaseunderthe1934Act
(includinganysuchreimbursementsthatarisefromanaccountingrestatementofthecorporationpursuanttoSection304oftheSarbanes-OxleyAct
of2002(theSarbanes-Oxley Act ),orthepaymenttothecorporationofprofitsarisingfromthepurchaseandsalebysuchpersonofsecuritiesin
violationofSection306oftheSarbanes-OxleyAct),ifsuchpersonisheldliabletherefor(includingpursuanttoanysettlementarrangements);
(iv)initiatedbysuchpersonagainstthecorporationoritsdirectors,officers,employees,agentsorotherindemnitees,unless
(a)theboardofdirectorsauthorizedtheProceeding(ortherelevantpartoftheProceeding)priortoitsinitiation,(b)thecorporationprovidesthe
indemnification, in its sole discretion, pursuant to the powers vested in the corporation under applicable law, (c) otherwise required to be made
underSection8.7or(d)otherwiserequiredbyapplicablelaw;or

(v)ifprohibitedbyapplicablelaw;provided,
however
,thatifanyprovisionorprovisionsofthisArticleVIIIshallbeheldto
beinvalid,illegalorunenforceableforanyreasonwhatsoever:(1)thevalidity,legalityandenforceabilityoftheremainingprovisionsofthisArticle
VIII (including, without limitation, each portion of any paragraph or clause containing any such provision held to be invalid, illegal or
unenforceable, that is not itself held to be invalid, illegal or unenforceable) shall not in any way be affected or impaired thereby; and (2) to the
fullestextentpossible,theprovisionsofthisArticleVIII(including,withoutlimitation,eachsuchportionofanyparagraphorclausecontainingany
such provision held to be invalid, illegal or unenforceable) shall be construed so as to give effect to the intent manifested by the provision held
invalid,illegalorunenforcebable.
8.7DETERMINATION;CLAIM
IfaclaimforindemnificationoradvancementofexpensesunderthisArticleVIIIisnotpaidinfullwithin90daysafterreceiptbythe
corporation of the written request therefor, the claimant shall be entitled to an adjudication by a court of competent jurisdiction of his or her
entitlementtosuchindemnificationoradvancementofexpenses.Thecorporationshallindemnifysuchpersonagainstanyandallexpensesthatare
incurredbysuchpersoninconnectionwithanyactionforindemnificationoradvancementofexpensesfromthecorporationunderthisArticleVIII,
totheextentsuchpersonissuccessfulinsuchaction,andtotheextentnotprohibitedbylaw.Inanysuchsuit,thecorporationshall,tothefullest
extent not prohibited by law, have the burden of proving that the claimant is not entitled to the requested indemnification or advancement of
expenses.
8.8NON-EXCLUSIVITYOFRIGHTS
Theindemnificationandadvancementofexpensesprovidedby,orgrantedpursuantto,thisArticleVIIIshallnotbedeemedexclusiveof
anyotherrightstowhichthoseseekingindemnificationoradvancementofexpensesmaybeentitledunderthecertificateofincorporationorany
statute,bylaw,agreement,voteofstockholdersordisinteresteddirectorsorotherwise,bothastoactioninsuchpersonsofficialcapacityandasto
actioninanothercapacitywhileholdingsuchoffice.Thecorporationisspecificallyauthorizedtoenterintoindividualcontractswithanyorallofits
directors,officers,employeesoragentsrespectingindemnificationandadvancementofexpenses,tothefullestextentnotprohibitedbytheDGCL
orotherapplicablelaw.
8.9INSURANCE
Thecorporationmaypurchaseandmaintaininsuranceonbehalfofanypersonwhoisorwasadirector,officer,employeeoragentofthe
corporation,orisorwasservingattherequestofthecorporationasadirector,officer,employeeoragentofanothercorporation,partnership,joint
venture,trustorotherenterpriseagainstanyliabilityassertedagainstsuchpersonandincurredbysuchpersoninanysuchcapacity,orarisingoutof
such persons status as such, whether or not the corporation would have the power to indemnify such person against such liability under the
provisionsoftheDGCL.
8.10SURVIVAL
TherightstoindemnificationandadvancementofexpensesconferredbythisArticleVIIIshallcontinueastoapersonwhohasceasedto
beadirector,officer,employeeoragentandshallinuretothebenefitoftheheirs,executorsandadministratorsofsuchaperson.

8.11EFFECTOFREPEALORMODIFICATION
Any amendment, alteration or repeal of this Article VIII shall not adversely affect any right or protection hereunder of any person in
respectofanyactoromissionoccurringpriortosuchamendment,alterationorrepeal.
8.12CERTAINDEFINITIONS
ForpurposesofthisArticleVIII,referencestothecorporation shallinclude,inadditiontotheresultingcorporation,anyconstituent
corporation(includinganyconstituentofaconstituent)absorbedinaconsolidationormergerwhich,ifitsseparateexistencehadcontinued,would
havehadpowerandauthoritytoindemnifyitsdirectors,officers,employeesoragents,sothatanypersonwhoisorwasadirector,officer,employee
oragentofsuchconstituentcorporation,orisorwasservingattherequestofsuchconstituentcorporationasadirector,officer,employeeoragent
ofanothercorporation,partnership,jointventure,trustorotherenterprise,shallstandinthesamepositionundertheprovisionsofthisArticleVIII
withrespecttotheresultingorsurvivingcorporationassuchpersonwouldhavewithrespecttosuchconstituentcorporationifitsseparateexistence
hadcontinued.ForpurposesofthisArticleVIII,referencestoother enterprises shallincludeemployeebenefitplans;referencestofines
shall include any excise taxes assessed on a person with respect to an employee benefit plan; and references to serving at the request of the
corporation shallincludeanyserviceasadirector,officer,employeeoragentofthecorporationwhichimposesdutieson,orinvolvesservicesby,
suchdirector,officer,employeeoragentwithrespecttoanemployeebenefitplan,itsparticipantsorbeneficiaries;andapersonwhoactedingood
faithandinamannersuchpersonreasonablybelievedtobeintheinterestoftheparticipantsandbeneficiariesofanemployeebenefitplanshallbe
deemedtohaveactedinamannernot opposed to the best interests of the corporation asreferredtointhisArticleVIII.
ARTICLE IX GENERAL MATTERS
9.1EXECUTIONOFCORPORATECONTRACTSANDINSTRUMENTS
Exceptasotherwiseprovidedbylaw,thecertificateofincorporationorthesebylaws,theboardofdirectorsmayauthorizeanyofficeror
officers,oragentoragents,toenterintoanycontractorexecuteanydocumentorinstrumentinthenameofandonbehalfofthecorporation;such
authoritymaybegeneralorconfinedtospecificinstances.Unlesssoauthorizedorratifiedbytheboardofdirectorsorwithintheagencypowerof
anofficer,noofficer,agentoremployeeshallhaveanypowerorauthoritytobindthecorporationbyanycontractorengagementortopledgeits
creditortorenderitliableforanypurposeorforanyamount.
9.2FISCALYEAR
Thefiscalyearofthecorporationshallbefixedbyresolutionoftheboardofdirectorsandmaybechangedbytheboardofdirectors.
9.3SEAL
Thecorporationmayadoptacorporateseal,whichshallbeadoptedandwhichmaybealteredbytheboardofdirectors.Thecorporation
mayusethecorporatesealbycausingitorafacsimilethereoftobeimpressedoraffixedorinanyothermannerreproduced.

9.4CONSTRUCTION;DEFINITIONS
Unless the context requires otherwise, the general provisions, rules of construction, and definitions in the DGCL shall govern the
constructionofthesebylaws.Withoutlimitingthegeneralityofthisprovision,thesingularnumberincludestheplural,thepluralnumberincludes
thesingular,andthetermperson includesbothanentityandanaturalperson.
ARTICLE X AMENDMENTS
Thesebylawsmaybeadopted,amendedorrepealedbythestockholdersentitledtovote;provided,
however
,thattheaffirmativevoteof
theholdersofatleast662/3%ofthetotalvotingpowerofoutstandingvotingsecurities,votingtogetherasasingleclass,shallberequiredforthe
stockholdersofthecorporationtoalter,amendorrepeal,oradoptanybylawinconsistentwith,thefollowingprovisionsofthesebylaws:ArticleII,
Sections 3.1, 3.2, 3.4 and 3.11 of Article III, Article VIII and this Article X (including, without limitation, any such Article or Section as
renumberedasaresultofanyamendment,alteration,change,repeal,oradoptionofanyotherBylaw).Theboardofdirectorsshallalsohavethe
powertoadopt,amendorrepealbylaws;provided,
however
,thatabylawamendmentadoptedbystockholderswhichspecifiesthevotesthatshall
benecessaryfortheelectionofdirectorsshallnotbefurtheramendedorrepealedbytheboardofdirectors.
ARTICLE XI EXCLUSIVE FORUM
Unlessthecorporationconsentsinwritingtotheselectionofanalternativeforum,thesoleandexclusiveforumfor(i)anyderivativeaction
orproceedingbroughtonbehalfofthecorporation,(ii)anyactionassertingaclaimfororbasedonabreachofafiduciarydutyowedbyanycurrent
orformerdirectororofficerorotheremployeeofthecorporationtothecorporationorthecorporationsstockholders,includingaclaimallegingthe
aidingandabettingofsuchabreachoffiduciaryduty,(iii)anyactionassertingaclaimagainstthecorporationoranycurrentorformerdirectoror
officerorotheremployeeofthecorporationarisingpursuanttoanyprovisionoftheDGCLorthecertificateofincorporationorthesebylaws(as
eithermaybeamendedfromtimetotime),(iv)anyactionassertingaclaimrelatedtoorinvolvingthecorporationthatisgovernedbytheinternal
affairsdoctrine,or(v)anyactionassertinganinternalcorporateclaimasthattermisdefinedinSection115oftheDGCLshallbeastatecourt
withintheStateofDelaware(or,ifnostatecourtlocatedwithintheStateofDelawarehasjurisdiction,thefederaldistrictcourtfortheDistrictof
Delaware).
