CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:

This Contract to Sell is made and entered into by and between:

SPOUSES ROBERTO S. MANALILI and PRISCILLA T. MANALILI, of legal

age, Filipinos, and residents of Barangay Salapungan, San Rafael, Bulacan,
Philippines, (hereinafter referred to as the "VENDORS";

- and -

FELIX C. REYES, of legal age, Filipino, married, and a resident of Brgy.

Matimbubong, San Ildefonso, Bulacan, Philippines, represented by CONNIE
R. PASCUAL, of legal age, Filipino, married, and a resident of Brgy. Sapang
Putol, San Ildefonso, Bulacan, Philippines (hereinafter referred to as the
"VENDEE");

WITNESSETH That:

WHEREAS, the VENDORS are the registered owner of a parcel of land

situated Brgy. Sapang Putol, San Ildefonso, Bulacan, Philippines, more
particularly described as follows:

A parcel of land (Lot 20 Blk. 4 of the cons. Subd. Plan Pcs-03-006761

being a portion of cons. Lots 1-28 Blk. 2, Lots 1-30 Blk. 3, Road Lots 1 & 2 all
(LRC) Psd-98905 LRC Rec. No.) situated in the Bo. Sapang Putol, Mun. of San
Ildefonso, Prov. of Bulacan. Bounded on the E along line 1-2 by Lot 18 Blk. 4;
on the 5 along line 2-3 by Road Lot 3; on the W along line 3-4 by Lot 22; & on
the N along line 4-1 by Lot 19 both Blk. 4 all of the cons. Subd. Plan, x x x x x
containing an area of EIGHTY (80) SQUARE METERS (80 sqm.), more or less.

WHEREAS, the VENDEE has offered to buy and the VENDORS have
agreed to sell the above-mentioned property under the terms and conditions
herein below set forth;

NOW, THEREFORE, for and in consideration of THREE HUNDRED

FIFTY THOUSAND PESOS (P350,000.00), Philippine currency, and of the
covenants herein after set forth the VENDORS agree to sell and the VENDEE
agrees to buy the aforesaid property subject to the following terms and
conditions:

1) The total consideration

shall be THREE HUNDRED FIFTY
THOUSAND PESOS (P350,000.00), Philippine currency to be paid
out of the proceeds of the loan to be obtain from PAG-IBIG FUND;

2) Capital Gains Tax and Real Estate Tax, shall be for the account of the
VENDORS;

3) Documentary Stamps Tax, Registration Fee, registration expenses, and

all other miscellaneous fees and expenses shall be to the account of
the VENDEE;

4) Possession to the subject property shall be delivered by the VENDORS

to the VENDEE upon full payment of the total consideration;

5) Upon full payment of the total price, the VENDORS shall sign and
execute a DEED OF ABSOLUTE SALE in favor of the VENDEE. The
VENDORS shall likewise execute and/or deliver any and all documents,
including but not limited to the original copy of the Transfer Certificate
of Title, Tax Declaration and all other documents necessary for the
transfer of ownership from VENDORS to the VENDEE.

IN WITNESS WHEREOF, the parties have hereunto affixed their
