PRIORITY OVER OTHER RULES: The priority of Chapter Seven of the LASe Local Rules over other inconsistent Local Rules is set f011h in Rule
7.2(c) thereof.
CHALLENGE TO ASSIGNED JUDGE: To the extent set forth therein, Government Code section 68616(i) and Local Rule 7.5 control the timing of
Code of Civil Procedure section 170.6 challenges.
TIME STANDARDS:

Plaintiff Cirgadyne is informed and believes and thereon alleges that Defendant,
2 Wiseman Park LLC ("Wiseman"), at all times mentioned in this Complaint, was and is a limited
3 liability company organized and existing by virtue of the laws of the State of California and doing
4 business as Kung Pao Kitty at a disclosed address of 6445 Hollywood Blvd., Hollywood, CA 90028.
5 3. The true names and capacities, whether individual, corporate, associate or otherwise,
6 of Defendants Does I through 10, inclusive, are unknown to Plaintiff, which therefore sues said
7 Defendants by such fictitious names, and Plaintiff will ask leave of Court to amend this Complaint
8 to show their true names and capacities when the same have been ascertained.
9 4. Plaintiff is informed and believes, and thereon alleges, that, at all times referenced
10 herein, each Defendant was acting as the authorized agent and/or employee of the other Defendants,
II and in doing the acts and omissions alleged herein, were acting within the scope of their authority
13 5. Plaintiff is informed and believes, and thereon alleges, that, at all times referenced
14 herein, each Defendant was in some manner proximately responsible for the events and happenings
16 6. Plaintiff is now, and at all times mentioned in this Complaint was, engaged in the
17 business of liquor license consulting, procurement, sales, facilitator and brokerage services
18 ("Services').
19 7. In or about October 2006, Defendants and each of them engaged Cirgadyne to make
20 offers on Defendants' behalf for the purchase of a liquor license for the use in Defendants' existing
21 or proposed business known as Kung Pao Kitty or a related entity. Cirgadyne informed Defendants
22 of two possible purchase opportunitie~ for Defendants, both of which were sellers represented by
23 Cirgadyne, namely Bar Marmont Lic #47-307035 and MacPherson-Sidel Lic#47-26 I 532.
25 Defendants and representative of the fee to be charged by Cirgadyne in the event Defendant's offer
26 was acceptable to a seller. Cirgadyne made offers to each of Bar Marmont and MacPherson-Sidel on
27 behalf of Defendants and each of them. Said offers were not accepted by Bar Marmont or

Defendants thereafter informed Cirgadyne that Defendants were not willing to increase their offer to
2 purchase either license. In order to compensate Cirgadyne for its efforts on behalf of Defendants, its
3 introduction of potential sellers to Defendants, and to further protect Cirgadyne from the potential
4 for Defendants to thwart the efforts ofCirgadyne in making offers to such identified sellers without
5 the involvement of Cirgadyne in order to avoid paying Cirgadyne for its efforts on behalf of
6 Defendants, Cirgadyne and Defendants agreed in writing on November 15,2006 that in exchange
7 for the immediate return of Defendants' $8,000.00 deposit, in the event Defendants or any of them
8 should make an offer to purchase either of the identified Bar Mannont or MacPherson-Sidellicenses
9 within ninety (90) days of November 15, 2006, Defendants and each of them would pay to
10 Cirgadyne the sum of $8,000.00. A true and correct copy of said written agreement of November
II 15, 2006 is attached hereto as Exhibit A and hereinafter referred to as the Agreement. Said
12 Agreement also provided that should legal action be required to enforce this promise, Defendants
13 would be liable to Cirgadyne fo its legal fees. Based upon such written promise, Cirgadyne returned
14 to Defendants the $8,000.00 deposit.
15 8. Cirgadyne is infonned ~nd believes and thereon alleges that between November 15,
16 2006 and December 27,2006, Defendants and each of them made an offer to purchase MacPherson-
17 Sidel Lic#47-261532 and opened a liquor license escrow to accommodate the transfer of said
18 license. Said offer was within ninety (90) days of November 15,2006 and in breach of the
19 Agreement.
20 9. The Agreement was entered into in the City and County of Los Angeles California.
21 Venue is proper at the filing courthouse herein.
22 10. Cirgadyne has performed all promise on its part to be performed under the
23 Agreement of November 15, 2007.
24 11. Cirgadyne has been damaged in the amount of$8,000.00 for the breach of the
25 Agreement by Defendants and each of them, plus accrued pre-judgment interest and attorneys fees
26 incurred and expended in pursuing this action.

5 12. Plaintiff realleges and incorporates herein by reference each and every allegation set
7 13. As set forth above and disclosed to Defendants and each of them, Cirgadyne had an
8 interest in the sale of the MacPherson-Sidel Lic#47-261532. At the time of the post-November 15,
9 2007 offer By Defendants to MacPherson-Sidel for Lic#47-261532, Cirgadyne no longer
17 Cirgadyne.
18 15. Cirgadyne did not earn and was denied a commission on the sale of the MacPherson-
21 16. Cirgadyne has been damaged in the amount of $8,000.00 for the loss of Cirgadyne's
22 seller-side commission by Defendants and each of them, plus accrued pre-judgment interest.
27 16. Plaintiff realleges and incorporates herein by reference each and every allegation set
28 forth in Paragraphs 1 through 9, 13, 15 and 16 as though set forth in full hereat.

Defendants and each of them had a duty under the Agreement not to make an offer

4 261532 in reckless disregard to Defendants' promise and duty under its Agreement with Cirgadyne.
5 Defendants and each of them known or should have known that such conduct by Defendants cause
6 damage to Cirgadyne. Said conduct by Defendants and each of them did in fact disrupt the
7 economic benefits to be earned by Cirgadyne from the sale of MacPherson-Sidel Lic#47-26 I 532.
9 WHEREFORE, Plaintiff demands judgment against Defendants and each of them, for the
