MEMORANDUM OF UNDERSTANDINGS

This memorandum of understandings made at XXXX, XXXXX, XXXXX XXXX

executed on dated XX-xx-XXXX by and between

2. M/s. __________________________________.

Both the parties i.e. XXXXXXX. (Hereinafter called as Principal ad M/s.

______________ . (Hereinafter referred C&F Agent cum Super Stockist), whereas the
principal have agreed to market their products through the C&F Agent cum Super
Stockistw.e.f the date XXXXXX and both the parties desire to have their following terms
and conditions by this elaborate memorandum of understandings in written.

IN WITNESS WHERE OF THE TERMS AND CONDITIONS ARE AS FOLLOWS:1. The C&F (Consignee and Forwarding) Agent cum Super Stockist Agreement is
effective from the date XXXXX for a period of two years . This agreement may be
renewed after two years as per mutual agreement between the company and the
C&F Agent cum Super stockiest.
2. That principal, GSK TECHS (P).LTDhereby appoints M/s Rajeswari enterprises as
their C&F Agent cum Super stockiest for the sale of their products in the assigned
territory of telangana (excluded HYDERABAD) region only.
3. That the C&F Agent cum Super Stickiest will have come by all the relevant expenses
like warehouse rent safe storage the goods/stocks, insurance of ware and goods and
will necessary steps to care and protect the goods/stocks.

The principal, GSK TECHS (P).LTD will Sale the products to C&F Agent cum Super
Stockiest on FOB (Freight on Board) basis price from ports of countries
U.A.E,VIETNAM, THAILAND, CHINA, IRAN plus CST applicable. In this case
related document like road permits for trucks and CST (Centralized Sales Tax) No.
will be provided by the C&F distributor.

5. That the C&F Agent cum Super Stockist it will provide necessary infrastructure like
staff, proper team, marketing network, phone, and mobile. On the other hands
principal will provide all the marketing, online promotions, tools like Catalogue,
leaflets, Posters, Pamphlets in Consultation with C&F Agent cum Super Stockist in
the assigned territory.
6. The C&F Agent cum Super stockiest will ensure a minimum sale of 10 containers of
GYPSQUARE gypsum board 10000 No.'s(Ten thousand numbers) per 30 days
from the date of goods arrived to stockiest for the eligibility of C&F Agent cum
Super stockiest.
7. All sales consignments shall be sent by the principal, GSK TECHS (P).LTD to the
C&F Agent cum Super stockiest on 50%(fift Percent) advance payment for booking
and 50%(Thirty Percent) payment before dispatch at FOB port basis in addition
transportation charges and import taxes, custom clearances of payment will be paid
to principal assigned logistics vendor arranged by theGSK TECHS (P).LTD
8. That the C&F Agent cum Super stockiest will be responsible for charging the
appropriate trade tax for the respective area. He will submit the necessary trade tax
return to the concerned authorities and remit the tax for the sales made by Party(the
principal shall not be responsible for any levy of trade tax that is in excess of
amount of tax collected by the C&F Agent cum Super Stockiest) . The C&F Agent
cum Super stockiestshall be responsible for the payment of tax and any default in
this regard shall be the sole liability of C&F Agent cum Super stockiest.

9. The books of accounts, records, vouchers, and other related records register shall be
true and correctly maintained by the C&F Agent cum Super stockist and the same
will be available in the C&F Agent cum Super Stockists office for the inspection at
any time by the principals or their authorized agents.
10. That the C&F Agent cum Super Stockist shall be wholly responsible for the
collection of the sale proceeds and remittance thereof to the principal as per the
terms of the trade. Any default or non-compliance of terms of the Agreement shall
be taken as the breach of the Contract and the principal shall be free to
discontinuance and termination of the business with the defaulting C&F Agent cum
Super Stockiestand further to appoint another Agent without any giving Notice /
Information. Principal has the whole rights to appoint are discontinue any C&F
Agent cum Super Stockiest for his business.
11. The dealers appointment for a C&F Agent cum Super Stockiest assigned territory
will be taken care by the both parties upon mutual understanding.
12. The C&F Agent cum Super stockiest shall be required to deposit a cheque of Rs. 3 lacs
(Three Lakhs) asa Security amount which shall remain with the Principal during
the Agreement Period.This security amount shall be returned to the C&F Agent
cum Super Stockiest after adjustment and settlement of complete accounts after the
expiry of the Agreement.
13. That the C&F Agent cum Super Stockist shall be the sole sales Agency which will
operate within the assigned territory of telangana (excluded HYDERABAD) region
only and shall not cross his territory as well as interfere in the territory assigned to
other consignee sales agency. Further, the C&F Agent cum Super stockiest shall not
deal in any other brand in the category for which he has been assigned by the
principal, GSK TECHS (P) Ltd Brand GYPSQUARE.

14. That the C&F Agent cum Super stockiest shall ensure safe and sound custody of
goods, so that goods may not be damaged or stolen. In case of damage or loss in
transit, the company will give the Credit Note to C&F Agent cum Super stockist
against satisfactory report.The C&F Agent cum Super Stockist shall ensure sale of
the entire product with in expiry time period. The principal will not accept any
goods after sales.
15. The company will dispatch the material to the C&F Agent cum Super stockiest within18
days (Eighteen days) (may vary depend on shipping line) against their purchase
order on letter head.

16. It is the responsibility of principal, GSK TECHS (P).LTD stockiest to make insurance of
the transferred goods to C & F Stockiest until the goods handed over to consignee at
CHENNAI PORT

17. All the shipping charges, import duties, transport insurance of goods, custom clearance
charges will be bare by the C&F Agent cum Super Stockist and pay to the logistics
vendor which will be appointed by the Principal only. The Transportation Cost shall be
borne by the C&F Agent cum Super Stockiest. The C&F Agent cum Super stockist will
bear godown rent, loading / unloading, courier, phone, Fax charges and freight charges
and all other incidental charges.
18. That in case of termination the cheque of security deposit amount will be
returned after clearance of all accounts . No goods in stock will be taken back at
the time of settlement. All the Claims will be settled within 30 days of termination /
term notice of contract.
19. Any dispute arising between the parties shall be subject to Prncl. Junior Civil Judge
Court KOTHAPETA, East Godavari District, Andhra Pradesh.
