Form:

Agreement for Sales Representative

Purpose:

This is a contract of sales representation

between the entrepreneur and a sales
representative. The text in red and
sections underlined in red indicate terms
that will be unique to the particular
circumstance (e.g. names of companies).

Notes:

Under the Labor Code of the Philippines,

there is no specific rate of commission to
be given to sales representatives. The rate
will depend upon the agreement of the
parties involved.

AGREEMENT FOR SALES REPRESENTATIVES

KNOW ALL MEN BY THESE PRESENTS:

This Agreement made and entered into in [indicate place of agreement] this
[indicate date of agreement] by and between the following parties :
[name of enterprise] with address at [indicate place of business] and represented
by [indicate name of representative] [indicate designation] herein referred to as [name of
enterprise]
and
[name of sales representative], Filipino, of lawful age, and a resident of [indicate
place of residence] herein referred to as SALES REPRESENTATIVE
witnesseth
1.
That the [name of enterprise] hereby authorizes [name of sales
representative] to be its sales representative within the locality of [indicate place of
representation];

That the SALES REPRESENTATIVE is hereby authorized and
empowered to act for and in behalf of the [name of enterprise] in all matters pertaining to
the sale of the following :

That the [name of enterprise] agrees to pay the SALES
REPRESENTATIVE a commission of [indicate percentage rate of commission] based on
the total price of items sold;

That the SALES REPRESENTATIVE shall not engage in a business,
similar to the business of the [name of enterprise], for his own account during the
effectivity of this Agreement nor shall the SALES REPRESENTATIVE have any interest
in his own name in his transactions of sale in behalf of the [name of enterprise].

This Agreement shall not be, in any way, deemed in the nature of a general
power of attorney.
