Cash Advances: Cash Advances obtained from a financial institution,
an automated teller machine, or any other party that agrees to honor the
credit card for Cash Advance purposes, and all Convenience Checks (including
Convenience Checks used to transfer balances) posted to your account are
considered Cash Advances. Cash Advances are subject to a transaction fee
(see Fee Table above) and the Cash Advance transaction fee charge will
appear on your first monthly billing statement following the Cash Advance,
and that applicable Cash Advance transaction fee amount will be added to
your minimum payment amount which will be due on the payment due date
specified on that statement.
How to Avoid Paying Interest on Purchases: We charge interest
on Balance Transfers and Cash Advances beginning on the transaction date
(see your account disclosure for the applicable APR, including any promotional
rates). We charge interest on Purchases beginning on the transactions date
unless you pay your entire balance, which includes all purchases, Cash
Advances and Balance Transfers by the payment due date each and every
month. Please see your Personal Credit Card Agreement for more details.
Credit Reports: You agree that we have a right to obtain a credit report
in connection with our review of your application and after we establish an
account, to administer the account. You agree that we may report to others
our credit experience with you. At your request we will provide the name
and address of each consumer-reporting agency from which we obtained
a report about you.

IMPORTANT INFORMATION ABOUT THE TD CASH
PROGRAM
How do I earn TD Cash Points under the TD Cash Visa Program?
You will earn one (1) TD Cash Point for each one dollar ($1.00) of all Net
Purchases made using the Credit Card.
TD Cash Points are earned on retail purchases made with the TD Cash Visa
Credit Card (Credit Card), less credits, returns, and adjustments (Net
Purchases). Balance Transfers, Cash Advances, purchases made by or for
a business or for a business purpose, purchases of travelers checks, money
orders, lottery tickets, gambling chips, wire transfers, foreign currency,
purchases or reloading of prepaid cards, or purchases of any other cash
equivalents, fees, interest charges, and unauthorized/fraudulent transactions
do not earn TD Cash Points.
Subject to the limitations noted, you will earn a total of two (2) TD Cash
Points for each one dollar ($1) of all Net Eligible dining, coffee shops, and
convenience stores purchases made and posted to your account during
a billing cycle. To qualify for the two (2) TD Cash Points, the transaction
must be assigned one of the following specified merchant category codes
(MCC): 5812 Eating Places, Restaurants; 5813 Drinking Places;
5814 Fast Food Restaurants; 5499 Miscellaneous Food Stores
Convenience Stores and Specialty Markets. Purchases made at merchants
that do not process transactions under these terms or that use incorrect
merchant category codes will not qualify for and you will not receive the two
(2) TD Cash Points. For example, purchases made outside of a convenience
store such as at an automated fuel dispenser (gas) are not eligible to receive
the two (2) TD Cash Points. In addition, coffee purchases made at other
than stand-alone, primary coffee Retailers are not eligible to receive the two
(2) TD Cash Points. These types of transactions as well as any other dining,
coffee shops and convenience stores purchases processed using an incorrect
merchant category code will only earn one (1) TD Cash Point for each one
dollar ($1) under the TD Cash Program.
How are TD Cash Points converted to Cash Back?
Your account earns points as stated above. You may choose to redeem
your points as either a statement credit, direct deposit or by having a check
mailed to you. Here is an example: $10,000 spent in dining, coffee shops or

convenience store purchases x 2.0 points/per dollar spent in those purchases


= 20,000 points. 20,000 points is redeemable for a cash back reward of
$200.
How can I redeem my TD Cash Points?
TD Cash Points may be redeemed upon the request of the primary
Account holder at specified levels for a variety of merchandise,
cash back, gift cards, and travel rewards found at tdbank.
com/cash. Specific merchandise, gift cards, and travel rewards
are subject to availability, and include only those participating partners found
at tdbank.com/cash. In order to redeem for cash back, rewards must equal
$25 or more. For details on how to receive cash back visit tdbank.com/cash
or call the Rewards Center at 1-877-745-5040.
Do TD Cash Points Expire?
For as long as the Account remains open and in good standing, TD Cash Points
will not expire and, there is no restriction to the amount of points that may be
earned annually. Your points will be forfeited if your Account is closed for any
reason, whether by you or by us. See below for additional restrictions.
Are there any restrictions on redemption of TD Cash Points?
Yes, your Account must be open and in good standing in order to redeem
TD Cash Points. If your Account is closed for any reason, by you or by TD
Bank, your participation in the TD Cash Program will be terminated and the
total balance of any unredeemed/accumulated rewards will be forfeited. You
will also forfeit any unredeemed/accumulated rewards if you cancel your
participation in the TD Cash Program or if the TD Cash Program is terminated.
We may, at our sole discretion, cancel, modify, restrict, or terminate the TD
Cash Program or any aspects or features of the TD Cash Program at any time
without prior notice. All interpretations of the TD Cash Program shall be at
our sole discretion. In the event of any fraudulent, abusive, or gaming activity
related to the TD Cash Program, as determined by us in our discretion, we
reserve the right to make adjustments to your TD Cash Points, and/or to
cancel your participation in the TD Cash Program, and/or close your Account
at any time. TD Cash Points have no cash value except when redeemed in
connection with the TD Cash Program, and may not be used in place of
payment of any portion of a required Minimum Monthly Payment or any
other required payment on a credit card or other account owed to TD Bank.
TD Cash Points may not be transferred or assigned.
The TD Cash Program may change. We may, at our sole discretion, cancel,
modify, restrict, or terminate the TD Cash Program or any aspects or features
of the TD Cash Program at any time without prior notice.
The TD Cash Program is administered and managed by Helix Global
Solutions, Inc. Helix Global Solutions, Inc. is a service provider to TD Bank,
but is not in any way affiliated with TD Bank, N.A. or Visa U.S.A. Inc., and
is solely responsible for administering and managing the TD Cash Program.

VISA SIGNATURE PROGRAM
How do I earn Miles under the TD First Class Visa Signature
Program?
You earn 3 miles per each $1 on Eligible Retail Purchases charged to a
TD First ClassSM Visa Signature Credit Card Account. Eligible Retail Purchases
are purchases made at retail establishments that classify their merchant
location for Visa in any of the following categories: airlines; hotels, car
rental agencies, steamships/cruise lines; toll & bridge fees; travel agencies,
other travel and entertainment, and dining (collectively referred to as
Travel/Dining purchases). Customers will also earn 1 mile for every $1 spent
on all other purchases. Eligible purchases are tangible goods or services in
the aforementioned categories, quasi-cash purchases and/or money orders
and gift cards do not qualify. Merchants who accept Visa credit cards have a
Merchant Code based in part on the kinds of products and services they sell.
Whether or not a Merchant classifies a purchase as an Eligible Retail Purchase
is based upon the Merchant Code. Some purchases that appear to qualify
may not qualify if the Merchant processes the transaction with an ineligible
Merchant Code. Miles are posted to your Account each billing cycle based on
purchases posted to your Account within that billing cycle. Any returned items
will be deducted from the miles earned.
Are there any earning or redemption restrictions?
Yes, Balance Transfers, Cash Advances, fees (including but not limited to fees
for products that protect or insure the balances of your Account), interest
charges, disputed and unauthorized or fraudulent charges, purchases made
by or for a business or for a business purpose, account refunds, rebates, and
similar credits, do not earn miles. Your Account must be open and in good
standing in order to earn and/or redeem miles. If your Account is closed for

any reason, your participation in the Rewards Program will be terminated


and the total balance of your accumulated miles will be forfeited. You will
also forfeit any unredeemed miles if you cancel your Rewards Program
participation or the Rewards Program is terminated. We may, at our sole
discretion, cancel, modify, restrict, or terminate the Rewards Program or
any aspects or features of the Rewards Program at any time without prior
notice. All interpretations of Rewards terms and conditions shall be at our sole
discretion. In the event of any fraudulent, abusive, or gaming activity related
to the Rewards Program, as determined by us in our discretion, we reserve
the right to make adjustments to your Rewards Program mile accruals, and/
or to cancel your participation in the Rewards Program, and/or cancel your
Account at any time. First Class miles have no cash value except when
redeemed in connection with the First Class Miles program. Redemptions
can be made in any increment. Miles may not be transferred or assigned.

What are my redemption options under the TD First Class
Visa Signature program?
Miles may be redeemed as statement credits applied towards purchases
charged to your Account or, alternatively, in the form of merchandise or gift
card(s) in the manner outlined below.
Miles Redemption towards Travel/Dining purchases
You may redeem (apply) miles as statement credits towards purchases
categorized as travel/dining purchases. If you request miles redemption
within 180 days from the date a travel/dining purchase is posted to your
Account, a statement credit of 100% of the value of the miles redeemed

will be applied to your Account. For example, 15,000 First Class miles =
$150.00 credit. If you request redemption more than 180 days after a
travel/dining purchase has posted to your Account, a statement credit of
50% of the value of the miles redeemed will be applied to your Account.
Miles redemption towards non-Travel/Dining purchases
You may redeem (apply) miles as statement credits towards purchases that
are not categorized as travel/dining purchases. If you redeem less than
25,000 First Class miles, you will receive a statement credit equal to 50%
of the value of the miles redeemed. If you redeem 25,000 or more First
Class miles, you will receive a statement credit equal to 100% of the value
of the miles redeemed.
Miles redemption for merchandise and gift cards
Miles may be redeemed upon request at specified levels, for certain
merchandise and gift card options. To view a complete list of participating
partners and required miles redemption values, go to tdbank.com/
firstclassrewards. Rewards are subject to availability.
How do I redeem miles under the program?
First Class miles are only redeemable upon request. To request redemption
you must call 1-877-GO-TD1ST (1-877-468-3178). Miles will be deducted
from the miles balance available that day, and the value of those miles will
be applied to your TD First ClassSM Visa Signature Account in the form of
a statement credit. Alternatively, you may request redemption in the form
of merchandise/gift card(s) selected from the available options found at
tdbank.com/firstclassrewards.

state courts sitting in New Castle County, Delaware shall have exclusive jurisdiction over any judicial action or proceeding relating to or arising out of the credit card account or the Agreement, and you agree to submit to the personal jurisdiction
of such courts. You also agree to waive the right to a trial by jury. You agree that the account will only be used for lawful personal, family or household purposes. You further acknowledge you are at least 18 years of age (19 years of age for
residents of Alabama or Nebraska or 21 years of age if you are a resident of Mississippi).
CONSENT TO USE CANADIAN CREDIT BUREAUS:
You acknowledge you consented to TD Bank obtaining information and reports about you from TransUnion Canada located at P.O. Box 338, LCD1, Hamilton, ON L8L 7W2, at the time of and
any time during the application process, and on an ongoing basis, to review and verify your creditworthiness, establish credit limits, help TD Bank collect a debt or enforce an obligation owed
to TD Bank by you and/or manage and access TD Banks risk. Once you have a credit product with TD Bank, TD Bank may from time to time disclose information about you to credit reporting
agencies seeking such information, which helps establish your credit history and supports the credit granting and processing functions in general. You may access and rectify any of your personal
information contained in the files of TransUnion Canada by contacting them in writing at the address noted above.
Important Notice: By signing or otherwise authorizing and submitting an application, you authorize TD Bank, N.A., its successors, assigns, employees and designated agents (together, TD Bank), to gather credit, employment and other

remain the property of TD Bank. By submitting a credit card application to TD Bank, you also certify that no essential information has been concealed and that no misrepresentations have been made on the application. If approved, you agree
to the terms and conditions applicable to the Account for which you are approved. If you apply for and receive a TD Cash card, you also agree that TD Bank and Helix Global Solutions Inc. may share information about your account transactions
with each other, for the purpose of administering and managing the rewards program.
