ARTS BY HOSTING SOCIAL AND CULINARY ARTS EVENTS THROUGHOUT THE YEAR,
ALL CULMINATING IN THEIR LARGEST COMMUNITY EVENT, THE ANNUAL SCOTTSDALE
CULINARY FESTIVAL. THIS FUNDRAISER IN ITS 38TH YEAR INVITES 30,000
HUNGRY GUESTS FROM AROUND THE STATE TO SIP, SAVOR, AND SUPPORT.

ARTICLE I
REFERENCES AND SENIORITY
Section 1. References. Any reference herein made to the “Articles” will be deemed

to refer to the Articles of Incorporation, including all amendments thereto, of The Scottsdale
League for the Arts, an Arizona non-profit corporation (the “Corporation”), as at any given time
are on file with the Arizona Corporation Commission, together with any and all certificates filed
by the Corporation with the Arizona Corporation Commission (or any successor to its functions)
pursuant to applicable law. Any reference herein to “applicable law” will be deemed to refer to

the mandatory legal requirements (that is, those legal requirements that may not be modified by
the Corporation’s Articles, Bylaws or other agreement or instrument) of the Arizona Nonprofit
Corporation Act, A.R.S. 10-3101 et seq. (the “Act”), as amended from time to time, or any
corresponding provisions of succeeding law, and all references to specific sections thereof shall
include any amended or successor provisions thereto.
Section 2. Seniority. Applicable law and the Articles will in all respects be

considered senior and superior to these Bylaws, with any inconsistency to be resolved in favor of
applicable law and the Articles, with these Bylaws to be deemed automatically amended from

the current edition of Robert's Rules of Order Newly Revised shall govern the Corporation in all

ARTICLE II
CORPORATION OFFICES
Section 2. Change Thereof. The Board of Directors may change the Corporation’s
known place of business or its statutory agent from time to time by filing a statement with the
Arizona Corporation Commission pursuant to applicable law.

ARTICLE III
MEMBERS
Section 1. Classes of Members. The Corporation shall at all times have three classes
of members: Active Members, Lifetime Members, and Sustaining Members (each a “Member”
and collectively, the “Members”). Each Member shall execute, and shall conduct himself,
herself, or itself in a manner consistent with the Corporation’s Code of Conduct as established by
the Board of Directors.
(a) Active Members. The Board of Directors may grant Active Membership
to any person that (i) completes the application process for admission as an Active Member as
established by the Board of Directors, and (ii) meets all the requirements for Active Membership
under these Bylaws, applicable statutes, and uniform policies established by the Board of

Directors. Active Members are required to pay membership dues as determined in accordance
with Article III, Section 2, and each such Active Member shall be entitled to one (1) vote on any
matters submitted to the Members for a vote. Additionally, Active Members shall be entitled to
such Member benefits as may be determined from time to time by the Board of Directors.

Status, and (iii) meets all the requirements for Sustaining Membership under these Bylaws,
applicable statutes, and uniform policies established by the Board of Directors. Sustaining

Additionally, Sustaining Members shall be entitled to such Member benefits as may be
determined from time to time by the Board of Directors.
(d) For the purposes of these Bylaws, the term “person” shall mean an
individual, partnership, corporation, trust, limited liability company, joint stock company,
unincorporated association, joint venture or other entity or a governmental body. For the
purposes of these Bylaws, Active Members and Lifetime Members are sometimes referred to
collectively as, the “Voting Members” and individually as, a “Voting Member”.

Section 2. Additional Membership Policies. The Board of Directors may create
additional classes of Members and may adopt policies to prescribe additional requirements or
procedures for an eligible person to become, or maintain status as an Active Member, a Lifetime
Member, a Sustaining Member, or other type of Member. The Board of Directors may also
establish a fee for some or all classes of Members, set annual or quarterly dues, and determine
the benefits and responsibilities to the Corporation for each class of Members. Any fees, dues,
benefits and/or responsibilities shall be equal for all Members in the same class.
Section 4. Membership Certificates. The Corporation may, but shall not be required
to, issue membership certificates. If membership certificates are issued, they shall include a

statement of the restrictions on transfer or assignment of membership interests as provided in
these Bylaws.

A Member’s membership in the Corporation may be suspended, expelled,
or terminated for Cause by the Board of Directors upon thirty (30) days’ prior written notice to
such Member, which states the reason such action is being taken, and the affirmative vote of at
least sixty-seven percent (67%) of the entire Board of Directors following an opportunity for a
hearing before the Board of Directors if one is requested by such Member.
(b) A Member may resign from his, her or its membership in the Corporation

at any time by written notice delivered or addressed to the Corporation at its known place of
business. Any such resignation will be effective upon its receipt by the Corporation unless some
later time is therein fixed, and then from that time. The acceptance of a resignation will not be
required to make it effective. A Member shall be deemed to have automatically resigned from

his, her or its membership in the Corporation immediately upon the death of such Member.
not relieve such Member from his, her, or its obligation to pay accrued and unpaid dues,
assessments or other charges to the Corporation. If such Member does not pay such accrued and
unpaid amounts, such Member is permanently precluded from being re-admitted as a Member of
the Corporation.
(d) For the Purposes of this Article III, Section 5, “Cause” shall include, but
not be limited to, violation of the Bylaws or policies established by the Members and/or the
Board of Directors, violation of a contract with the Corporation, or other conduct deemed by the
Board of Directors to prejudice the interests, hinder or otherwise obstruct, or conflict with, any
purpose or operation of the Corporation.
Section 6. Re-admission. Upon the written request of a former Member, the Board
of Directors may, in its sole and absolute discretion, re-admit any person as a Member of the
Corporation upon an affirmative vote of at least sixty-seven percent (67%) of the entire Board of
Directors.

Section 7. Annual Meeting. The annual meeting of the Members shall be held on a
date in May or June of each year and at such time and place, either within or without the State of
Arizona, as shall be fixed by the Board of Directors or, in the absence of action by the Board of
Directors, as set forth in the notice given or waiver signed with respect to such meeting pursuant
to Article III, Section 10 below, for the purpose of electing Directors and for the transaction of
such other business as may properly come before the meeting. If any annual meeting is for any
reason not held on the date determined as aforesaid, a deferred annual meeting may thereafter be
called and held in lieu thereof, at which the same proceedings may be conducted. If the day
fixed for the annual meeting shall be a legal holiday in the State of Arizona such meeting shall be
held on the next succeeding business day.

Section 10. Notices. Notice of the time and place of the annual or monthly meetings
of the Members (but not necessarily the purpose or all of the purposes), and notice of the time,

place and purpose or purposes of any special meeting of the Members, shall be given to each
Member in person, via mail, electronic mail or facsimile addressed to the Member at such
Member’s latest mailing or email address or facsimile number appearing on the Corporation’s
records. Notice of the annual or any special meeting of the Members shall be given at least ten
(10) days but not more than sixty (60) days prior thereto. The Members may waive call or notice
of any meeting (and any adjournment thereof) at any time before, during, or after the meeting is
held. Attendance by a Member at any meeting will automatically evidence waiver of call and
notice of such meeting (and any adjournment thereof) by such Member unless such Member or
such Member’s designated representative is attending the meeting for the express purpose of
objecting to the transaction of business because the meeting has not been properly called or
noticed. Any meeting of the Members once properly called and noticed (or as to which call and
notice have been waived as aforesaid) and at which a quorum is formed, may be adjourned to
another time and place by the consent of a majority of those Voting Members in attendance.

Section 11. Quorum. Active Members, present, holding at least fifty-one percent
(51%) of the votes held by all Active Members, shall constitute a quorum for the transaction of
business at any meeting of the Members or adjourned meeting of the Members.
Section 12. Manner of Acting. Any matter submitted to a meeting of the Members at
which a quorum is present will be resolved by a majority of the votes cast thereon by the Voting
Members present and entitled to vote at such meeting, unless applicable law, the Articles or these
Bylaws require a greater number of votes.
Section 13. Action by Voting Members Without a Meeting. Any action required or
permitted to be taken at a membership meeting may be taken without a meeting if a majority of
the Voting Members constituting a quorum consent thereto in writing. Such consent shall have
the same effect as a vote of the Voting Members of the Corporation at a meeting duly called and

noticed.
ARTICLE IV
BOARD OF DIRECTORS
Section 1.

General Powers. Subject to the rights of the Members as set forth in
ARTICLE III, the Board of Directors shall have general powers to manage and direct the
activities and affairs of the Corporation.
(a) The Board of Directors shall be comprised of not less than seven (7) nor

more than ten (10) total members (each, a “Director,” and collectively, the “Directors”). The
number of Directors in office from time to time shall be within the limits specified above, as
prescribed from time to time by resolution adopted by either the Voting Members or the Board of
Directors. Each Director shall serve a term of three (3) years, subject to his/her earlier

resignation or removal. A Director may serve a maximum of two consecutive terms and shall be
ineligible for re-election for a period of one year thereafter. The aforementioned term limit shall
not apply if after serving two consecutive terms, such Director becomes an ex officio member of
Pu
the Board of Directors pursuant to this Article IV, Section 2(b), in which case such Director will
be ineligible for re-election for a period of one year after serving as an ex officio member of the
Board of Directors. Subject to Article IV, Section 2(b), the terms of the Directors shall be
staggered so that approximately one-third of the terms expire each year. Subject to Article IV,
Section 2(b), if a Director’s term expires, he/she shall continue to serve until his/her successor
shall have been elected and qualified, until his/her resignation or removal, or until there is a
decrease in the number of Directors. Directors do not need to be residents of the State of
Arizona or shareholders of the corporation.
(b) Each year during the term of the Scottsdale Culinary Festival (the
“Festival”), the then chairperson of the Festival and the Immediate Past President of the
Corporation shall automatically be appointed ex officio members of the Board of Directors (each
an “Ex Officio Director”) with power to vote; provided, however, that such individuals are not
otherwise current members of the Board of Directors. The term of each Ex Officio Director shall
automatically expire immediately following the completion of the Festival for the year in which

such Ex Officio Director was appointed, and such Ex Officio Director shall be deemed to have
resigned from the Board of Directors.
Section 3. Election of Directors. Subject to Article IV, Section 2(b), the Directors
will regularly be elected by the Voting Members at each annual meeting of the Members, but
Directors may also be elected by the Voting Members at any other meeting of the Members. A
nominee for Director shall be elected to the Board of Directors if a majority of the votes cast by
the Voting Members are in favor of such nominee’s election; provided, however, that, if the
number of nominees for Director exceeds the number of Directors to be elected, Directors shall
be elected by a plurality of the votes of the Voting Members present in person or by proxy at any
meeting of the Members held to elect Directors.

directorship, each candidate, nominee or appointee agrees that if, in an uncontested election of
Directors, he or she receives more votes "withheld" or "against" his or her election than votes
"for" his or her election, such Director shall promptly tender a written notice of his or her
resignation to the Board of Directors following certification of the vote of the Voting Members

"uncontested election of directors" is any election of Directors in which the number of nominees

be required to make it effective. The vacancy created as a result of such resignation shall be
filled in accordance with Article IV Section 5 below.

Section 5. Vacancies and Removal. Vacancies on the Board of Directors shall exist:
(a) on the death, resignation or removal of any Director; and (b) whenever the number of
authorized Directors is increased. Unless the Articles provide otherwise, if a vacancy occurs on

the Board of Directors, including a vacancy resulting from an increase in the number of
Directors, the Board of Directors may fill the vacancy. A Director may be removed from office,
with or without cause, by the affirmative vote of the Voting Members holding at least a majority
of the votes entitled to be cast at a meeting called for that purpose if notice has been given that a

(c) Except for the Executive Committee, the purpose or purposes, duration,
membership qualifications, duties, responsibilities, powers and authority of each standing
committee established by the Board of Directors from time to time hereunder shall be as set forth
in a committee charter established for each such standing committee. The committee charter of
each standing committee shall be approved by the Board of Directors and shall be reviewed
annually by the respective standing committee and the Board of Directors. The committee

(d) Unless otherwise prohibited by its committee charter, the chairperson of
any standing committee may, with the approval of the Chairman of the Board and of a majority
of the members of such committee, invite non-Directors to assist the committee.
Section 10. Annual and Regular Meetings. An annual meeting of the Board of
Directors is to be held as soon as practicable after the adjournment of each annual meeting of the
Members, either at the place of the annual meeting of the Members or at such other place as the
Directors elected at the annual meeting of the Members may have been informed of at or prior to
the time of their election. Additional regular meetings of the Board of Directors shall be held on
a monthly basis at such places and at such times as the Board of Directors may determine.
Section 11. Special Meetings. Special meetings of the Board of Directors may be held
whenever and wherever called by or at the request of the Chairman of the Board, the President,

or by any three Directors.
Section 12. Notices. No notice need be given of the annual or regular meetings of the
Board of Directors. Written notice of the time and place (but not necessarily the purpose or all
of the purposes) of any special meeting of the Board of Directors shall be given personally or

the Directors present may adjourn the meeting from time to time for up to thirty (30) days
without further notice until a quorum is present. If a quorum is not present within such time, a
new meeting must be noticed.
Section 14. Manner of Acting. Any matter submitted to a meeting of the Board of
Directors at which a quorum is present will be resolved by a majority of the votes cast thereon,
unless applicable law, the Articles or these Bylaws require a greater number of votes. In the case
of equality of votes, the Chairman of the Board will have an additional or deciding vote.

Section 15. Permitted Means of Attendance. At the discretion of the Chairman of the
Board, any Director or a member of a committee or subcommittee of the Board of Directors may
participate in any meeting of the Board of Directors or such committee or subcommittee by
means of conference telephone, Internet, or other communication means whereby all persons
participating in the meeting can simultaneously hear each other. Participation in a meeting
pursuant to this Section shall constitute attendance in person at such meeting, unless otherwise
stated as provided in ARTICLE IV, Section 13 above.

Section 17. Action by Directors Without a Meeting. Any action required or permitted
to be taken at a meeting of the Board of Directors or any committee thereof may be taken
without a meeting if all Directors or committee members, as the case may be, consent thereto in
writing. Such consent shall have the same effect as a unanimous vote of the Directors or
committee members of the Corporation at a meeting duly called and noticed.

OFFICERS – GENERAL
Section 1. Officers. The Board of Directors may appoint the officers of the
Corporation, which shall include the President, the President Elect, the Vice President, the
Treasurer, the Secretary, the Immediate Past President, the Chairman of the Board and any

number of additional assistant officers and such other officers as may be elected in accordance
with the provisions of these Bylaws (each, an “Officer,” and collectively, the “Officers”). Such

removal, disqualification, or otherwise may be filled by the Board of Directors for the unexpired

responsible for all funds and securities of the Corporation; receive and give receipts for monies

due and payable to the Corporation from any source whatsoever, and deposit all such monies in
the name of the Corporation in such bank, trust companies, or other depositories as shall be
selected in accordance with the provisions of ARTICLE VII, Section 3 of these Bylaws; and in

general perform all duties incident to the office of Treasurer and perform such other duties as
from time to time may be assigned to the Treasurer by the President or by the Board of Directors.
The Treasurer shall maintain accurate, accessible records to show the complete and accurate
financial condition of the Corporation or any activity of the Corporation, and shall provide

financial reports to the Board of Directors at each of the monthly and annual meetings of the
Board of Directors and to any Member upon request. The Treasurer shall manage the
preparation and presentation of a complete and accurate financial statement for review by the
Members at the annual meeting of the Members. The Treasurer shall also ensure that the
Corporation’s IRS Form 990 and any corresponding state form is completed and filed within the
applicable time limits. The Treasurer shall chair the Finance Committee of the Board of
Directors and ensure that the obligations of such committee are met.
Section 5. Secretary. The Secretary shall keep the minutes of the meetings of the
Members and of the Board of Directors in one or more books provided for that purpose; see that
all notices are duly given in accordance with the provisions of these Bylaws or as required by
applicable law; be custodian of the corporate records and of the seal of the Corporation and see
that, if required, the seal of the Corporation is affixed to all documents, the execution of which
on behalf of the Corporation under its seal is duly authorized in accordance with the provisions
of these Bylaws and applicable law; keep a register of the names, mailing addresses, and other

contact information of each Director and Member, which shall be furnished to the Secretary by
such Director and such Member; and in general perform all duties incident to the office of
Secretary and perform such other duties as from time to time may be assigned to the Secretary by
the President or by the Board of Directors.
Section 6. Immediate Past President. The Immediate Past President shall be a former
President of the Corporation. The Immediate Past President shall chair the Development
Committee and manage the annual election of Directors and Officers. The Immediate Past
President shall perform all duties conferred or imposed upon the Immediate Past President by the
Board of Directors.
Section 7. Chairman of the Board. The Board of Directors may elect a Chairman of
the Board to serve as a general executive officer of the Corporation. If elected, the Chairman of

the Board will preside at all meetings of the Board of Directors and be vested with those powers
and duties as set forth in these Bylaws and such other powers and duties as the Board of
Directors may from time to time delegate to him or her. If no Chairman of the Board is expressly
elected by the Board of Directors, the President shall automatically be appointed as Chairman of
the Board without requirement of further action on the part of the Board of Directors. For the

purposes of clarity, such appointment of the President as Chairman of the Board shall be separate
and apart from, and not in lieu of, such person’s appointment as President.
ARTICLE VII
CONTRACTS, CHECKS AND DEPOSITS
Section 1. Contracts. The Board of Directors may authorize any Officer or agent of

the Corporation, in addition to the Officers authorized by these Bylaws, to enter into any contract
or execute and deliver any instrument in the name of and on behalf of the Corporation, and such
authority may be general or confined to specific instances.

Section 2. Checks, Drafts, etc. All checks, drafts, or orders for payment of money,
notes, or other evidences of indebtedness issued in the name of the Corporation shall be signed
by such Officer or agent of the Corporation and in such manner as shall from time to time be

determined by the Board of Directors. In addition to such authority, these Bylaws authorize such
instruments to be signed by the Treasurer and countersigned by the President or any Vice-
President of the Corporation.
Section 3. Deposits. All funds of the Corporation shall be deposited from time to
time to the credit of the Corporation in such banks, trust companies, or other depositories as the
President or the Treasurer may select, subject to review and revision by the Board of Directors.
ARTICLE VIII
INDEMNIFICATION
The Corporation shall, to the fullest extent permissible under the Act, indemnify the
Directors, Officers, any former Director, and any former Officer (each individually, an
“Indemnified Person”) with respect to liabilities and expenses actually incurred by such
Indemnified Person arising out of any action, suit or proceedings in which they become involved

by reason of them being a Director, Officer, a former Director, or a former Officer. The
Corporation will maintain appropriate liability insurance for any of the foregoing.
ARTICLE IX
BOOKS AND RECORDS
The Corporation shall keep books and records of account and shall also keep minutes of
the proceedings of the Board of Directors and all committees and subcommittees of the Board of
Directors, and shall keep at its principal office a record giving the current names and current
addresses of the Members and all of the Directors. All books and records of the Corporation
may be inspected by the Members, any Director, or their respective agents or representatives, for
any proper purpose at any reasonable time.

ARTICLE X
FISCAL YEAR
The fiscal year of the Corporation shall begin on the first day of August and end on the
last day of July each year.

ARTICLE XI
SEAL
If necessary or appropriate for the Corporation, the Board of Directors shall provide a
corporate seal, which shall be in the form of a circle and shall have inscribed thereon the name of
the Corporation and the year of incorporation.

ARTICLE XII
DISPOSITION OF ASSETS

Upon the winding up and dissolution of the Corporation, the Board of Directors shall,
after paying or making provisions for the payment of all of the liabilities of the Corporation,
dispose of all of its assets to a nonprofit fund, foundation or corporation which is organized and

operated exclusively for charitable, educational or religious and/or scientific purposes, and which
has established its tax-exempt status under Section 501(c)(3) of the Internal Revenue Code of
1986, as amended (or the corresponding provisions of any future federal tax code), as the Board
of Directors shall determine. Any such assets not disposed of shall be disposed of by the
Superior Court of the county in which the principal office of the Corporation is then located, to
such organization(s), as said Court shall determine, which are organized and operated
exclusively for such purposes.
ARTICLE XIII
