WORLDWIDE M&A UP 32%, STRONGEST YEAR FOR DEAL MAKING ON RECORD - Powered by a triple-digit
percentage increase in the number of deals over $10 billion, which account for record-breaking 41% of announced
M&A value, worldwide M&A totaled US$4.7 trillion during 2015, a 42% increase from comparable 2014 levels and
the strongest annual period for worldwide deal making since records began. Seventy-one deals with a value greater
than $10 billion were announced during 2015, their combined value more than double the level seen during 2014.
Overall, just over 42,300 worldwide deals were announced during 2015, a 0.2% increase compared to last year.
FOURTH QUARTER BREAKS ALL-TIME RECORD, THIRD CONSECUTIVE $1 TRILLION+ QUARTER - Fourth
quarter 2015 M&A totaled a record-breaking US$1.6 trillion, a 50% increase by value compared to the third quarter
of 2015. This quarter marks the third consecutive trillion-dollar plus quarter for worldwide M&A since records began
in 1980.

CROSS BORDER M&A UP 27% Cross Border M&A activity totaled US$1.6 trillion during 2015, accounting for
one-third of overall M&A volume and an 27% increase over 2014 levels. Cross border M&A accounted for 37% of
total M&A activity during full year 2014.
COMPLETED M&A ADVISORY FEES UP 7% - According to estimates from Thomson Reuters/Freeman
Consulting, M&A advisory fees from completed transactions totaled US$29.4 billion during 2015, a 7% increase
from the comparable period in 2014.

UNITED STATES & ASIA PACIFIC DEAL MAKING ACCOUNT FOR 74% OF ACTIVITY - M&A activity for United
States targets totaled US$2.3 trillion during 2015, an increase of 64% compared to the level of activity seen during
2014 and the strongest period for US M&A since records began in 1980. With US$1.1 trillion in announced deals
during 2015, Asia Pacific M&A also registered the strongest period for deal making in the region since records
began, topping US$1.0 trillion for the first time.

Americas M&A up 43% | Healthcare Volume Drives US Activity | Canadian Activity Rises 36%
Americas Deals Intelligence
Americas M&A volume during 2015 increased 43.3% over comparable 2014 levels totals, accruing nearly US$2.9 trillion
in activity from 15,922 announced deals. Estimated fees generated from completed deals in the Americas totaled
US$21.1 billion, a 9.6% increase from fees earned duirng full year 2014.
The Healthcare sector led the US market, with deal volume totaling US$558.3 billion, accounting for a 23.8% market
share. High Technology followed, accruing US$387.2 billion for a 16.5% share of the market. Energy & Power rounded
out the top 3 sectors, with US$267.8 billion and an 11.4% share of the market.
Accumulating US$278.6 billion in transaction value, announced Canadian Involvement activity rose 36% over the totals
reached during full year 2014. Completed Canadian Involvement activity was up 13.2% compared to full year 2014,
accruing US$216.2 billion from 1,865 deals.
In the Americas, Media and Entertainment saw the highest average increase in exit multiples during full year 2015,
climbing 4 turns on EBITDA - to 13.8x from the average of 9.8x in 2014. Overall average multiples across industries in
the Americas saw a slight increase compared to full year 2015, at 14.5x compared to 14.2x during full year 2014.

Estimated fees accumulated on EMEA deals completed in the full year of 2015 were up 3.7% from last year, totaling US$11.7
trillion, according to estimates from Thomson Reuters/Freeman Consulting.
The Consumer Staples sector led the EMEA marketplace, with 1,324 deals totaling a combined US$190.4 billion, including the
SABmiller PlC and Anheuser-Busch Inbev deal, which was the largest European deal of the year, valued at US$120.8 billion.
Energy and Power accrued US$174.7 billion, and Industrials totaled US$172.0 billion of activity.
Financial sponsors were less active this year so far compared to full year of 2014. EMEA-targeted buyside financial sponsor
activity reached US$130.2 billion in the full year of 2015, down 21.5% from the US$165.8 billion reported for the same period last
year.
Acquirors listed on the Euronext Brussels Exchange were EMEA's most acquisitive companies for the full year of 2015, with a
combined total of US$130.7 billion in offers.

The top deal with Asian involvement in the region was Cheung Kong's purchase of the remaining 50.035% interest in Hutchison Whampoa Ltd for
US$45.4 billion, the biggest-ever acquisition involving Asia Pacific (excluding Japan) deals. This surpassed the prior record holder from 2014 CITIC
Pacifics acquisition of its state-owned parent, CITIC Group, valued at US$42.2 billion.
Asian buy-side financial sponsor M&A activities reached US$133.2 billion last year, a 76% increase over US$75.6 billion last year. Companies in the
High Technology sector were the most targeted, followed by Retail and Financials.
According to estimates from Thomson Reuters/ Freeman Consulting Co., M&A advisory fees from completed transactions in the region totaled US$3.1
billion in 2015, an 11% increase from the US$2.8 billion recorded last year. The top earner was Morgan Stanley, with US$208.1 million, followed by
Goldman Sachs & Co., with US$161.6 million and Citi, with US$140.2 million.
China cross-border activity accrued US$161.9 billion in 2015, a 61% increase from the US$100.8 billion accumulated last year. Outbound investment
volume reached US$112.7 billion, where companies in the Financials sector were the most targeted.
Announced M&A activity with Australian involvement grossed US$144.2 billion, a 24.4% increase over the US$115.9 billion recorded last year;
Australias cross border activity recorded US$81.3 billion, while outbound activity amounted to US$24.7 billion.

Japanese M&A Up 56% | Financial Sector Drives M&A Activity | Outbound Highest On Record
Japan Deals Intelligence
Driven by 40 large scale deals valued at US$1 billion or more, announced M&A activity with Japanese involvement
totaled US$195.2 billion during full year 2015, a 55.5% increase from comparable 2014 levels and the second strongest
full year period for Japanese M&A on record after 1999s US$242.4 billion. Orix and Vincis Kansai Airports acquisition
of New Kansai International Airports operating rights worth US$17.9 billion was the largest Japanese deal in 2015 and
the tenth largest Japanese involvement deal, since records began in 1980.

The financials sector led the Japanese market in 2015, with deal volume totaling US$60.9 billion, accounting for 31.2%
market share and a 225.9% increase compared to 2014. Industrials followed, accruing US$43.3 billion for a 22.2%
share of the market.
Outbound activity continued to drive the Japanese M&A market, reaching a new record high with total value worth
US$87.8 billion, a 53.4% increase compared to 2014. Number of deals recorded 701 deals and the second highest
deal count since 2012's 732 deals. Seven out of the top 10 deals were outbound deals. Americas targets were the
most sought-after by Japanese companies, recording US$38 billion with a 43.3% market share and the second highest
volume on record.
Japanese Domestic market activity totaled US$72.6 billion, registering 52.2% increase compared to the same period in
2014, the first increase after three years of decline on domestic M&A activity. The fourth quarter of 2015 recorded
US$32.4 billion, a 184% increase compared to the last three months of 2014 and the second highest volume since
1999s US$74.3 billion on record.
