Oriental Bank Commerce a body corporate constituted under the Banking Companies
(Acquisition and Transfer of Undertaking) Act, 40 of 1980 having its Corporate Office at Plot
No, 5, Sector -32 Institutional Area, Gurgaon (Haryana) and amongst other places a branch
office at BISAULI acting through Shri Shyam Lal BRANCH MANAGER, (designation of Bank
official) and duly constituted General Attorney (hereinafter referred to as The Lessess Bank
Which expression shall wherever the context so admits mean and include mean and include its
successors, administrators and assigns) of THE OTHER PART.
WHEREAS the Lessor is the absolute owner/ landlord of Premises bearing. KHASRA NO.
1046, MORADABAD FAROOKHABAD MARG THE = BISAULI DISTT BADAUN by
virtue of Sale Deed/ Gift Deed/ Primary Lease Deed/will (Probate)/date 19/04/1975 which was
registered as Document No. JILD NO. 624 Addl. Book No. 1 Vol. No. 390/392 on pages 735 to
on 19/04/1975, in the office of Sub Registar, Tehsil BISAULI DISTT BADAUN (name of
station) or by virtue of transfer of ancestral property vide mutation case no. Nil dated N/A of
circle office.

And Whereas the Lessor (VIPIN KUMAR AGARWAL) has assured the lessee Bank that the
leased premises is free from all sorts of encumbrances and that the lessor is fully authorized and
comptent to lease out the same dto the Lessess Bank and that the leased premises is situated in
Commercial Area and there is no bar or hindrance from any f the local bodies/ authorities like
M.C.D. L&D.O., or any other department in letting out the leased premises for banking
purposes.
And whereas the lessor is competent to lease out the leased primses to the Lessee Bank, more
particularly detailed in the Schedule given at the bottom of this Lease Deed, to the Lessee bank
for carrying on the banking business. The Lessor being the owner has agreed to give on lease an
area admeasuing 1200SQFT in Premises bearing No. KHASRA NO. 1046 (hereinafter referred
to as Leased Premises) to the Lessee Bank, for a period of 10 years.
And whereas, The Lessor has assured The Lessee Bank that the aforesaid leased premises is free
all sort of encumbrances and that The Lessor is fully authorized and competent to lease out the
same to the Lessee Bank.The present Lease Deed is being executed for a period of 10 years
commencing from 28-03-2016 and ending on 27-03-2026. The Lessee Bank has taken the leased
premises, more particularly detailed in the Schedule given at the bottom of this Lease Deed, for
carrying on the business of Banking on the terms & conditions contained hereinafter.
NOW THEREFORE THIS LEASE DEED WITNESSETH AS UNDER:
1- That in consideration of the rent hereinafter reserved and all the covenants containd
hereinafter to be observed and performed by the parties, the Lessor hereby demises to
the Lessee Bamk the aforesaid leased premises i.e. an area admeasuring 1200SQFT in
Premises bearing No. KHASRA No. 1046 with common right to use the entrance, exits
staircase, passages and other common facilities and amenities pertaining to the leased
premises situated on (Ground floor etc) in premiss bearing No. KHASRA NO. 4016
including all fittings Electrical Sanitary and water Supply fitting , Gates together with
all rights and easements connected therewith or aapurtenant thereto , more fully
described in the Schedule forming part of this deed for the business of banking, at a
monthly rent of Rs. 21000(Rs. Twenty One Thousand only). For the period 28-03-2016
to 27-03-2021 (First five years) and @ Rs. 24150 (Rs. Twenty four thousand one
hundred fifty Only), for the period 28-03-2021 to 27-03-2026 (Next five years) to the
lessor inclusive of all kinds of present and future taxes including houses/ commercial
property and municipal taxes, TDS related to the demised premises during the Leased
term, on or before the 7th day of every succeeding month, commencing from the date of

possession (Subject to statutory deduction of tax at source as applicable), a total rent of


Rs. 21000.00/- (Rupees Twenty one thousand only) per month as Lease Rent for the
Demised Premises inclusive of all present & future taxes, [ subject to deduction of TDS
as per rules and after actual measurement by banks empanelled Architect] by way of
an Account Payee Cheque/s/ RTGS/NEFT drawn in favor of Sh. Vipin Kumar Agarwal
S/o Devendra Kumar Agarwal.
That the Lessee Bank shall pay to the Lessor the monthly rent at the above rate as
detailed in para 1 above inclusive of House tax and all other existing and future taxes,
whether local or otherwise in respect of the leased premises. The Lessor however, shall
be liable to indemnify and reimburse the Lessee Bank in the event of its being made to
pay the aforesaid taxes/charges etc. and the Lessee Bank shall have a right to deduct the
same out of the monthly rent payable to the Lessor.
That the Lessor has confirmed the Lessee Bank that there is no bar or restriction from
any of the local Governing bodies/ authorities like Municipal Corporation/ office of L&
D.O. etc. in letting out the aforesaid premises to the Lessee Bank for banking business.
In case any penalty/ fine is impose or any action is initited by any of the authorities,
then in that eventuality, the Lessor alone shall be liable and responsible. In case the
Lessee Bank is made to pay any fine or penalty or charges whatsoever on this account to
any authority, then the Lessee Bank shall has a right to deduct the same from the
monthly rent payable to the Lessor.
That the Lessee Bank shall pay the agreed monthly rent to the Lessor on or before 07 th
day of the each English Calendar Month.
That this lease shall be for a period 10 years commencing from 28-03-2016 to 27-032026 unless a notice to the contrary is given by the Lessee Bank to the Lessor. The rent
shall however be increased at the rate of 15% after every five years or more in the
following manner:

A fresh Lease Deed shall however be executed and registered on the same terms and conditions
between the Lessor and the Lessee Bank, after the expiry of this Lease period ending on 28-032026 each such renewal.(In case leased is executed for total lease period in such case fresh lease
deed need not to be executed after block of 1/5 years).
The Total agreed lease period is 10 years w.e.f. 28-03-2016 to 27-03-2026. In case the Lessor
does not come forward for executing and registration of fresh lease Deed as per the terms of the
present Lease Deed the Lessee Banks occupancy shall not be treated as an unauthorized
occupant.
6- That Lessee Bank has paid to the Lessor Interest free Security Deposit of Rs. Nill
(Rs.--------------- Only), vide Demand Draft No.------------------- dated equivalent to
-------------- months rent or credited in SB/ CA ------------ of Sh/ SB/CA
Co/---------------- amounting Rs.-------------- or remitted through RTGS in SB/CA of sh. /
Smt. ----------- with ------------ Bank vide RTGS no -------------- dated-------. The said
interest Free Security Deposit shall be recoverable by the Lessee Bank from the Lessor
by way of adjustment in the rent of last ------ months period of lease or at the time of
vacation of the leased premises.
In the event the Lessor does not refund the said total interest Free Security Deposit
amount to the Lessee (Bank) in full on expiry or sooner termination of this Lease or any
renewal thereof as aforesaid, then the consequences mentioned hereunder shall follow.
i). The Lessee shall (without prejudice to any of its rights and remedies available in
law) not be obliged or bound to vacate and give charge of the Leased premises to the
Lessor and the Lessee shall be entitled to use or permit the Leased premises to be used
by any person of its choice, without being liable to pay any rent, outgoings or damages

to the Lessor until such time, the Lessor do not refund to the Lessee the said total
security deposit amount in full and
ii) In addition the lessor shall be to pay the Lessee interest @ 18% p.a. compounded
quarterly, on the said deposit from the date of termination or earilier determination or
expiry of this Leased Deed or any renewal thereof, till the date of actual refund of the
said total security deposit amount by the Lessor to the Lessee.
7- That the Lessee Bank shall directly pay to the concerned authorities all charges for the
consumption of electricity, water nd other utilities as per the Bills received from the
concerned Authorities in this respect, however the Lessor shall provide all the necessary
facilities such as toilet at his own cost.
8- That the Lessee Bank shall for its business of banking be free and entitled to make any
additions and alteration like construction of Lunch Room, ATM Room or any other
room etc. and put up counter partitions, fixtures of safes, furniture, fixture, name plates,
false ceiling, Neon Signs and other fittings including Lockers and other interiors for its
requirement and the Lessee Bank shall have a right to make any other structural changes
in the leased premises without damaging the Basic Building Structure.
9- That the Lessee Bank shall use the leased premises exclusively for its business of
banking and other allied purpose but shall not use the same for any other purpose and
shall not also let, sub-let or assign their interest either in whole or in any part of the said
leased premises to any other person of persons whatsoever without prior consent from
the Lessor except of Clause no. 06 of the lease deed.
10 -That the Lessee Bank shall allow the Lessor or any of his authorized representative
to inspect the leased premises from time to time for effecting repairs, replacement,
white washing etc. in the leased premises and all the said repairs etc. shall be
responsibility of the Lessor.
11 - That the Lessor shall give No Objection in writing to the Lessee Bank which the
Lessee Bank may have to file before the local governing bodies/ other aurthorities
for seeking additional load or any other such approval if required for its banking
business.
12 That the strong room fixed or affixed to the Strong Room/ Vault shall be the
property of the Lessee (Bank) and in the event of vacating the leased premises, the
Lessee Bank shall have the right to remove the fixtures, fittings and other
equipments put up by the Lessee Bank for its banking business. Lessor shall not

make any claim against the lessee Bank, if any damage is caused to the premises
due to removal of embedded SFF/ other items pertaining to the bank and vacant
possession of premises will be handed over to the lessor as is where is condition
That if during the continuance of this leased prmises or any part thereof is damaged
or destroyed by earthquake, fire or in any other manner so as to render the leased
premises to its orginal condition with in a reasonable time at his own cost and in
such circumstances, the Lessee bank shall make the leased premises available to the
lessor for all such necessary repairs, re- constructions etc. however the interior work
shall be carried out by the Lessee Bank at their own cost. Lessor at his cost will
provide Temporary premises to the lessee Bank. During repair period of permanent
premises. That the lessor will timely repairs seepage and cracks if any in the
premises to make the premise give a presentable look. In case, it is not got repaired
the same will be carried out by the bank and expenses incurred in such repairs/
maintenance of premises will be deducted from the rent payable to the lessor/s.
That the Lessor shall pay the House Tax, Ground Rent and other charges and
outgoings, whatsoever of every description assessed of payable to Municipal
corporation or any other Government Authorities, In respect of the leased
corporation or any other Government Authorities, in respect of the leased premises
and copies of receipt will be furnished to the bank.
That subject to the observed and fulfillment of the terms and conditions herein
contained the Lessee Bank shall have the exclusive and unrestricted and undisputed
right to the quiet and exclusive enjoyment of the leased premises together with the
right of access to the use of the path, passages etc. without any let, hindrace,
interference, claim or demand from the Lessor or anyone claiming under the Lessor.
The Lessor hereby undertakes ot indemnify the Lessee Bank at all times during the
continuance of this lease against any such interference hindrance, claim or demand.
That the lessee bank shall have right to obtain additional power at the leased
premises for air conditioning and computerization or for any other purpose for
which he Lessor shall give No Objection in writing to the Lessee Bank and shall
also make proper applications, to the concerned authorities as and when desired by
the Lessee Bank. The lessor hereby agrees and undertakes to sign all such
application representations and petitions which may be required for carrying out the
aforesaid acts in the leased premises.

17 That the lessee bank reserves to itself the right to vacate the leased premises either
fully or partially by serving three months clear notice to the lessor at any time and
for the purpose of giving such notice or sending any mentioned above or such other
address as properly intimated to each other, shall be deemed to be the proper
address on which such notice or communication be made unless the fresh address is
given to each other.
18 That the lessor shall incur all charges for the additional improvement, safety
measures which may be required to be done by Municipal corporation, local
governing bodies or any other Local Authority including fire Services. The cost
towards all such facilities or safety measures shall be borne by the Lessor.
19 That the lessor has assured the Lessee Bank Regarding his title in respect of the
leased premises and the Lessor has further assured that he is fully authorized and
empowered to execute the present lease and the lessor has agreed to indemnify the
Lessee Bank against any demand agreed to indemnify the Lessee Bank against any
demand, claim action or other proceedings with regard to the leased premises. The
Lessor has further assured they are handing overt ther demised premises on lease to
the bank and Lessor has sufficient means for their residential accommodation and
lessor will not claim for repossession of the demised premises on grond of their
own requirement for residential and other purposes during lease therm. The Lessor
shall be liable to indemnify and reimburse the Lessee Bank in the event of cost
incrrred to the Lessee Bank for contesting the case filed during the lease term by the
Lessor for repossession of the demised premises.
20 That the Lessors has provided supply of water in the leased premises and also
separate toilet block for gents and ladies with A Class sanitary Fittings and tiles
and also requisite number of electrical / fan point. The Lessors have also provided
and outer gate of aluminum with glass besides collapsible Gate of Grill and shutter,
as per the requirement of the Lessee Bank. The Lessee bank shall however pay all
charges for the consumption of electricity and water, as per the bills received from
the concerned authorities in this respect.
21 That the Lessor have provided Vitrified Tiles Flooring in the leased premises. The
Lessors have also constructed stationary room / A.T.M. Roon as per the requirement
of the bank. The Lessors shall provide windows with iron grills in the leased
premises. The Lessors have already provided Three phase power connection with

adequate electrical power load in the leased primises, However the Lessee Bank
shall have a right to obtain additional power at the leased premises for airconditioning or for any other purpose and the lessor shall make proper application
to the concerned authorities on the request made by the Lessee bank to the Lessor.
However all costs and expenses relating to the same shall be borne by the Lessee
Bank.
22 That the Lessor shall ensure that the following facilities/ amentises in the leased
premises are made available to the lessee bank during the period of lease:
a- Adequate Electrical Power Connection (as per the requirement of the Bank to
the leased premises with chage over switch and cut off switch point in the
premises at lessor cost.)
b- ATM Room
c- Rolling Shutters
d- Sufficient space for fixing / installing the sign boards in the leased premises
without any additional cost and if any charges in respect of the same are levied
by Municipal authorities / local governing bodies, the same shall be paid by the
lessess Bank.
e- Vitrified Tiles flooring as per the Banks specification.
f- The Space will be allotted on the terrace of the leased premises to install
satellite V- Sat dish Antenna as per banks Specifications/ DOT Specifications
at no additional cost.
g- Outer Gate of Grill and shutter as per the requirement of the Lessee Bank.
h- Electric/ Power Points as per the requirement of the Lessee Bank.
i- Ramp at branch/ on site ATM premises for physically challenged people.
j- Lessor shall provide round the clock supply of water separately for independent
use by installing Syntax tank of adequate capacity, water proofing of roof if not
in good conditions and oil bond distemper and paints / repair of entire premises
after every alternate year, failing which the bank (Lessee) will be at liberty to
get this work done at Lessorss cost and the amount will be deducted form
payable to Lessor.
23 That the Lessor undertake to provide POP / Base Finish of
Walls / Roof with Plastic / Oil Bound distempering in the entire premises initially
and thereafter effect repairs etc. in the leased premises and painting / Distempering

of the leased premises, Painting of doors of the leased premises, once in three years,
at their own cost. In case of any default by the lessoer, the Lessee Bank shall have a
right to effect at its discretion, the necessary repairs, white washing, Oil Bound
Distempering, painting etc. and all the expenses incurred in this behalf shall be
deductanble out by the lessor on repeated request / reminder form the branch /
Bank.
24 That the new owners approaches the bank for the rent attornment in their favour
In case of change of ownership due to sale, prior permission shall be required to be
taken by the lessors (sellers), in case the lessor proposes to sell/transfer the leased
premises to a third party.

That the lessor shall raise no objection of on-site ATM. In the leased premises,
during the installation of lease period without any additional cost. The Lessors
have also agreed for allowing the Lessee Bank to place Generator set, Water Tank
and Air Conditioing Units in / outside the leased premises without charging any
additional amount.
MISCELLANEOUS
1) Undertaking
The Lessor and the Lessee hereby irrevocably agree and undertake to perform their respective
special covenants, if any, which may be mutually agreed in writing between the parties from
time to time.
2) Force Majeure
The Lessor shall not hold the lessee responsible or liable for any damage to the Demised
Premises resulting from a force majeure condition as stated herein (unless such force majeure
event has occurred due to willful default or negligence on part of the Lessee), and other
condition over which the lessee has no control.
In the event of the Demised Perises or part thereof including installations therein provided by the
lessor at any time during the terms of this Lease Deed be destroyed or damaged by reasonable
wear and tear or due to this Lease Deed be destroyed or damaged by reasonable wear and tear or
due to fire, terrorist attack, war, riot, raid, act of god, earthquake, storm, tempest, flood, riots,

violence of any army or a mob or other irresistible force or any other force majeure
circumstances whatsoever so as to render the Demised Premises and installation therein
provided by the Lessor in the event of interruption of the Lessees possession and enjoyment of
the Demised premises or any part thereof by reason shall have the right to determined/
terminated as on the date of such notice.
In the event of the Lessee desiring to continue the Lessor agreeing to repair or to make good or
reinstate the Demised Premises or part thereof so damaged or destroyed to the former state and
condition thereof, the rent reserved herein or the proportionate part thereof shall cease tobe
payablefrom the time such part thereof as the case may be shallbe repaired or made good or
reinstated and the lessee shall vacate the demised premises or such portion of the demised
premises as may be required toi enable the lessor to repair or make good or reinstate the same.
3) Damages to demised premises
If at any time during the term nof this lease, the demised premises or any part thereof are
destroyed or damages or the possession of the demised premises or its usage thereof is
tnterrupted by a force majeure event, the lease shall stand suspended until the demised premises
are rendered fit for use and occupation byn the lessee. In all such events, the lessee shall not be
liable to pay the rentals agreed under this lease deed for the period of such dispossession or nonusage of the demised premises.
4) SEVERABILITY
It is intented that each section of this lease deed shall be viwed as separate and divisible and in
the event that any section shall be held to be invalid or unenforceable, the remaining section
shall continue to be in full force and effect.
5) CLAUSE HEADINGS
The section/clause headings contained in this lease deed are the convenience of the parties and
shall not affect the meaning or interpretation of this deed for lease.

That the lessor would provide a ramp at the outer of branch & sales-onsite ATM
premises, in order to make the branch more handicapped-friendl.the lessee bank will use the
lesed premises with due diligence and care and will not cause any damage to the said premises.
That the lessor would be entitled to sell or transfer the leased premises to any party or
parties,presons or firms with whom he may enter into an agreement od sale, without prejudice to
the right of the lessee bankl under this ag

27 reement. The lessee bank will attorn to all such new owners on recivieng a written
request from the lessor and the new lessor shall recognize oriental bank of commerce as
his lawful lessee under the terms and conditions of this agreement. The lessee bank
would start making the payment of rent to the new lessor(subject to comply of certain
formality by the new owner) for the portion transferred or sold at the agreed rate of rent
and all other terms anmd conditions of this lease deed shall remain the same and while
transferring or selling the
leased premises to the new lessor, the lessor would incorporate the aforesaid
clause, so as to avoid any complications at a later date.
28 That area of branch/office etc ha s been got measured from banks architect
measurement certificate issued by architect has been signed by landlord and bank
official forming part of the lase deed. Carpet/covered/super built up area of
branch/office etc is 1200 sq.ft.
29 That all the expense of stamps, registration charges etc. of this lease deed shall be borne
by the lessor and the lessee bank, then ratio od 50:50 the original lease deed drawn on
stamp paper would be retained by the lessee bank and a certified/photocopy thereof
shall be given to the lessor.
30 That any dispute relating to this lease deed shall be subject to jurisdiction of courts at
Tehsil bisauli DISTT-Badaun (Place where the leased premises are situated).
