WAIVER / CERTIFICATION

I, Susan A. Bautista, of legal age, Filipino citizen, married, the Proprietress of North Sea

Ship Chandler & General Services (North Sea) with office at B1 L5 Melecia
Homes Subd.., Upper Macansandig, Cagayan de Oro City, the accredited chandler
of Wilhelmsen Smith Bell Shipping, Inc. (Barwil), the recognized ship agent for
the 210 MW (net) Mindanao Power Plant (the Plant Facility) coal supply hereby
represent and warrant:
(i)

That I, representing North Sea Ship Chandler & General Services

(North Sea), waive any right to file any criminal and/or civil charges
against STEAG State Power Inc. (SPI) and / or its officers /
employees/representatives / agents for any accident resulting to injury or
loss of life any North Sea personnel entering / making use of the Plant
Facility for the performance of the chandling services for MV Elikon.
Further, North Sea shall not hold SPI and / or its officers / employees /
representatives / agents responsible/liable for any damage or loss of
North Sea properties within the Plant Facility and the Vessel. The names
of North Sea personnel who request entry and use of the Plant premises
are attached herewith as Annex 1;

(ii)

That any loss and/or damaged caused the vessel MV Elikon its
equipment and facility due to the act, omission, negligence, fault and
unauthorized action by North Sea and Wilhelmsen-Smith Bell Shipping
Inc.
shall
not
hold
SPI
and/or
its
officers/employees/representatives/agents responsible/liable for suck
loss and/or damage;

(iii)

That any loss or damage caused to Plant Facility due to the fault,
omission, oversight, negligence and any unauthorized action of any
personnel of North Sea shall be liability of North Sea.

I am executing this waiver / certification freely and voluntarily without

force or duress on my part.
