1. Introduction :
« La Compagnie internationale des affaires et construction » herein
after named by CIAC, have the honnour to offer services to « Dar Eddaoua Group »
herein after named « The costumer ».
The services provided are :

• Licensing And authorisations obtention assistance.

• Soil Test compain.
• Construction Supervision.
The validity of this offer is for 60 days.

The Offer is based on the following references :

• The meeting attended in the costumer office on date of March 14 2010, was present in
the meeting :

• Amgad Samadaa from DAD GROUP

• Amgad Shehata from Consulting office

• Ghazouane Chikhou from CIAC

• Nassim Benhammadi from CIAC

• Algerian standards and regulations

• Documents and drawings provided by Mr Shaehata :

• Soil Test compain recommendations.

• Soil test Preliminary bore holes positions drawing.

3. Technical offer :

3.1. Introduction :
The technical offer includes three sections Licensing assistance, Soil
tests compain, Construction Supervision.

3.2. Licensing Assistance :

CIAC is engaged to assist the costumer on the whole administratif and
technical process leading to the obtention of the Algerian legal authorisations and permits
related to the construction of a medical manufacturing plant in the Sidi Abdalah area.

This assisatance will includes three items

• Engineering documentation revision

• Engineering documentation reponsability endossing and officialisation

• Administratif and technical procedures within local authorities.

The delay for the finalisation of the preceedings tasks will be three(3) to four(4) mounths.

3.2.1 Engineering documentation revision :

All The drawings, calculation notes, Recommendations ..etc will be
crosschecked by CIAC Enginners and architect to fully comply with the algerian standards of
construction (RPA 2003, RNV...etc) before presentation to legal institutions.

Major reworkings will be done by DAD group Engineering consultant

firm.

Minor reworkings will be done by CIAC with the consulting firm

agreement (time efficiency).

Experienced Engineer and Architect will be affected to this task.

 Legal Certification and diplomas of engineering staff is joined on annex.

3.2.2 Engineering documentation reponsability endossing and officialisation

All Construction technical documentation in Algeria must be done by
legaly agreed Engineers and Architects (agreement from the housing ministry).

This stamp will engage the penal and civil responsability of the signing
engineer or architect for a period of 11 years.

CIAC will endosse this responsability on behalf of the costumer and will
assume all futur legal conflicts intrduced by possible bad design and missings.

3.2.3 Administratif and technical procedures :

Legal Permits and authorisations nedded to start the project are as
follow:

• CTC Validation of structural design

• Construction permit

• Fire Protection conformity certificat

• Electrical Compliance Certificat

• Environment compliance Certificat

• ETC.

For the obtention of the construction permit the engineering documentation must be
submited to the local authority (APC Sidi Abdallah) the APC will spread directly or by
the assistance of the project owner or representatif to all concerned directions
(Sonelgaz, Protection civil, direction des forets, direction de l'environement ...ETC).
The annoted documentation will be returned back to the APC that will transmit to the
project representatif for revision. The cycle will be repeated until satisfaction of all
requirments.

The CTC (technical center of construction) have to validate the structural design in
 conformity to algerian standards and regulations. The process of validation will require
technical negtiations and tradoffs between the CTC and the project reprentatif.

• CIAC will proceed on behalf of the costumer to all the administratif and technical
procedures leading to the obtention of the required authorisations and permits.

• CIAC will provide all the necessary human ressources and logistics for the good
accomplishement of these tasks.

3.3. Soil test compain :

According to the recommendations and drawings provided by Mr
Amgad Shehata, and the algerian regulation relatif to soil test, a soil test compain was
designed including the following tasks :

• 11 X 12 boring samplings

• 8X 12 Pressiometric tests

• 12 Dynamic penetration tests

• 3 Seismic profiles

• One Imaging profile if required

• Physical and geological identification of soil

• chimical Analysis of soil and blue methylen test

• Mechanical Tests

The Laboratory test will be done AT the National Laboratory of housing and
construction LNHC.

The compain will be done on 60 oppening days.

• All the necessary equipement and personal will be provided by CIAC

• Preliminary reports will be provided within 20 days.

All The engineering recommendations and solutions will be provided in the final
report.
3.4. Construction Supervision :
CIAC will engage a technical team for the supervision of the
construction works of the project.

The team will be composed as follow :

• One Senior Civil works engineer.

• One Civil Works engineer.

• One Architect.

• One CES engineer (POWER,HVAC,MECHANICS)

• Two Quantity surveyors.

The responsability of the team will be guaranty compliance of the works with the
engineering documentation and local standards, assist the building company to solve
all rising problems, to control quality and quantities of works accomplished by the
building company, to report to DAD group.

• All logistics and equipements or this mission will be provided by CIAC.

4. Commercial Offer :
This commercial offer is valid for 60 days, CIAC have studied and gave
the best possible offer taking in consideration that this may be a beginning for a long term
partnership with DAD group that will benifit to both parts.

The prices are in ALGERIAN DINARS DZD including all tax and fees.

4.1. Licencing assistance

4.1.1 Engineering documentation revision

The offer proposed for the Engineering documentation Revision as described

on topic 3.2.1 will be of :

Two hundred forty tousands Algerian Dinars Excluding tax 220,000.00 DZD HT

4.1.2 Engineering documentation reponsability endossing and officialisation

The offer proposed for the Engineering documentation reponsability endossing

and officialisation as described on topic 3.2.2 will be of :

Three hundred sixty tousands Algerian Dinars Excluding tax 360,000.00 DZD

4.1.3 Administratif and technical procedures :
The offer proposed for the Administratif and technical procedures as described
on topic 3.2.3 will be of :

Three hundred tousands Algerian Dinars Excluding tax 300,000.00 DZD HT

The rate is on monthly basis.
