By Laws

These By-Laws were written after review of various other automobile


organizations. There has been no intentional plagiarism in the compilation of
these By-Laws and any resemblance to another organization’s writings is purely
unintentional.

Article 1: Name of Organization

The name of the organization shall be the North Carolina Camaro Owner's
Association

Article 2: Mission Statement

The North Carolina Camaro Owner’s Association (NCCOA) is a non-profit


organization, controlled by its members, with a purpose to support and give to
charitable organizations and the local communities. In an effort to share
knowledge and preserve the history of the Camaro’s lineage the NCCOA is
dedicated to providing a suitable and safe atmosphere for Camaro enthusiasts
and their families to organize and associate with other like-minded individuals.
The NCCOA promotes and supports clean wholesome values with emphasis on
family fun and activities while fostering public interest in the legendary Camaro
sports car.

Article 3: Objectives

The objectives of the NCCOA are in support of its members to share their
passion and enthusiasm for the General Motors Camaro in a safe and
responsible manner. These objectives are:

1. Operate and maintain the organization in a manner that encourages and


promotes the admiration, ownership, care, maintenance, and safe courteous
operation of an automobile.

2. Create good fellowship and foster friendships among members through


various organizational activities, including but not limited to, activities such as
cruises, charity event sponsorship, organizational meetings, gatherings,
functions, car shows, promotional events, and web based message forums.

3. Conduct organizational activities and participate in local events in such a


manner that will foster and promote a positive image of automobile enthusiast
and organized automotive organizations amongst the public, the press, and local
law enforcement agencies, as well as within other organized automotive
organizations.
Article 4: Fiscal Year (FY)

The North Carolina Camaro Owner’s Association’s fiscal year (FY) begins
January 1st and runs through December 31st of each year.

Article 5: Memberships

Section 1: Membership is open to Camaro enthusiasts and is not restricted by


race, sex, or national origin. Eligibility for initial membership is open to adults 18
years of age and older. This membership allows the person the ability to vote on
club issues and officers and participate in club events. Any member in good
standing is entitled to full participation and all the Club's benefits. Membership in
this Club shall be subject to compliance to the provisions of these bylaws.

Section 2: All moneys collected by the membership will be consolidated by the


secretary and turned over to the Treasurer. The treasurer will deposit funds into
the Club’s bank account. This deposit will be reported to the members at the next
meeting.

Section 4: Members must abide by the rules of the road as determined by the
State of North Carolina. Ownership of a Camaro is not contingent for
membership in the club.

Section 5: A person joining alone is considered an “Individual Member.” A


“Household Member” includes more than one person living in the same
household. This will be considered a single membership. Companies may join as
an “Industry Member.” Industry Members are non-voting and may not hold any
officer positions.

Section 6: A member may resign at will. Resignations may occur in two


manners:
a. The member may submit a written letter of resignation to an
Officer of the club. Such resignations will be deemed effective when accepted by
the Board of Directors (“the Board”) if not otherwise specified.
b. The Board of Directors may cancel the membership of any member
by a majority vote upon determination that such member has engaged in conduct
actually and substantially injuring the good name or reputation of this
organization.
c. Notification of membership cancellation shall be presented to the
member concerned.
e. Any individual whose membership has been canceled may make a
written appeal for reinstatement to the Board of Directors. That appeal will be
considered at the next regularly scheduled meeting of the Board.
Article 6: Board of Directors (Executive Committee)

Section 1: GENERAL POWERS: except as limited by the members of the


Organization, affairs and business of the Organization shall be managed by and
shall be under the direction of the Board of Directors.

Section 2: NUMBER AND TERM: The board of Directors shall consist of the
President, Vice-President, Secretary, Treasurer, and Sergeant at Arms. The
officers of the Organization shall serve a one-year term and no more than two
consecutive terms in the same office.

Section 3: QUORUM: At least three members of the Board of directors must be


present to constitute a quorum for the transaction of business.

Section 4: COMPENSATION: Board members shall receive no compensation.

Section 5: REQUIRED VOTE: The Board of Directors shall take action by an


affirmative majority vote. For the purpose of convenience, telephonic voting may
be performed and recorded by the Secretary.

Section 6: APPOINTMENT OF SUBSTITUTE MEMBER: In the event a member


of the Board is unable or unwilling to serve their full term, the President shall
have the power to appoint a person from the membership as a replacement
person. The designated individual shall serve out the balance of the term for the
office. In the event the President is unable or unwilling to serve in his or her
capacity, a special meeting of the Organization shall be called and a new
President elected consistent with the By-Laws.

Article 7: Officers

Section 1: Officers shall be President, Vice President, Secretary, Treasurer, and


Sergeant at Arms.

Section 2: Candidates for officers will be nominated by the general membership.


Nominations will open at the November meeting. Officers will be elected at the
January meeting, at which time all documents and club materials will be
transferred to the new officers from the outgoing officers. The outgoing officers
will assist when requested by the new officers.

Section 3: The Board of Directors shall be the final authority in all matters
pertaining to the interpretation of the By Laws.

Article 8: Meetings

Section 1: Unless ordered by the Board of Directors or by the general


membership, regular meetings of the club will be held monthly.
Section 2: Regular meetings will follow the following format:

 Call to order
 Treasurers Report
 Reading of previous meeting minutes
 Old business
 New business
 Activities report
 Committee reports if any committees exist
 Adjourn

Section 3: The rules contained in the current edition of Robert’s Rules of Order
shall govern the club in all cases to which they are applicable.

Article 9: Duties of Officers

President:

1. The President shall preside at all regular and special club meetings.
2. Appoints special committees if necessary to carry out club business and
events. Examples of committees are Membership committee, Event/Social
Coordination committee, Website committee, and Car of the month
committee
3. Will be empowered to sign checks in the Treasurers absence.
4. Provides for an annual audit of books by appointing a committee of two
people from the general membership.
5. To see that each member receives a current and updated copy of the By
Laws.

Vice President:

1. Acts for the President in his/her absence or disability.


2. Shall be empowered to sign checks in the Treasurer and Presidents
absence.

Secretary:

1. Keeps the minutes of all General meetings and Board of Directors


meetings.
2. Reports the previous months meeting minutes at the monthly meeting of
the members.
3. Writes letters concerning club business, as directed by the President and
Board of Directors.

Treasurer:
1. Collects dues and fees as necessary.
2. Has charge of all funds and pays bills upon approval of Board of Directors
and or membership.
3. Reports all receipts and expenditures at regular meetings.
4. Maintains a checking account in the club name and pays all bills of the
club with checks from the account.
5. Makes a written report of all receipts and expenditures for the club and
reports on this at the monthly meeting of the members.

Sergeant of Arms:

1. Brings meetings to order.


2. Presides over the election committee. Officially counts the officer election
ballots. Announces the annual election of officer results.
3. Presides over general well being of meetings and club functions
4. Enforce the rules set forth in these bylaws.

Article 10: Elections

Section 1: An Election Committee shall be appointed annually by the


President. The committee shall consist of three (3) members from the general
membership and presided over by the Sergeant at Arms.

Section 2: The Election Committee will solicit nominations from the voting
general membership from November to January of each year. The committee will
post the nominations on the Club website for the members to see.

Section 3: A quorum is required to validate an election. Not to include the Board


of Directors, a quorum will consist of at a minimum of 10 voting eligible members
of the club.

Section 4: For each position, the candidate receiving the greatest number of
votes will be elected. In the event of a tie, a runoff election will be held. If a tie
persists after the runoff, the board will select a winner.

Section 5: For all elections, a Household Membership is considered a single


membership with a single vote. Industry members are non-voting.

Article 11: Amendments

The By Laws may be revised or amended by a majority vote of the general


membership, provided that the proposed amendment has been submitted in
writing to the general membership at least one meeting prior to the meeting at
which it will be presented for a vote.
Article 12: Disciplinary Action

Any citizen or member may file a written complaint against a member for any
violation or serious allegations. The written charges will be delivered to the
President. The President will review the complaint and deliver it to the Board of
Directors and the Board will take action. Individuals involved in the charges will
be allowed to address the Board of Directors before a final decision is made. The
decision of the Board of Directors is final.

Article 13: Website and Message boards

Club members will remember at all times this is a family oriented club. All
postings on the Club Website and message forums will be with that in mind.
Before posting any content, members will ensure the language used in the post
will be in such a manner as to not offend the other members of the club. If
deemed offensive the Executive committee may take action and ban the member
from the club website.

Article 14: NCCOA LOGO

The NCCOA Logo is the identifying emblem for the association. The shield’s
center is white symbolizing the purity of our nation. To honor our country and the
men and women who sacrificed for our freedoms, the shield is ringed in red
representing the blood shed to preserve our freedoms. Extending to the left of
the shield is a tire impression, which symbolizes the Camaro’s ability to dominate
performance on the street. Extending to the right of the shield is a checkered
flag, which symbolizes the Camaro’s winning history. Extending from the top of
either side is a carhop motif, which symbolizes the Camaro’s beginnings in early
1958. Laid across the shield is the state of North Carolina embellished with an
American flag that symbolizes unity. Within the red boarder surrounding the
shield are various emblems symbolizing the legendary monikers utilized to
proclaim the Camaro’s legacy from 1967-2010. Along the top of the shield, in the
red boarder, are the words “Fayetteville, North Carolina” which reflect the central
location of the organization. In the center of the shield, are the words “North
Carolina Camaro Owner’s Association” representing the name of the
organization and designating it as the first chapter in North Carolina, “Chapter
01.” To the lower left center of the shield is a Chevrolet bowtie representative of
the Chevrolet moniker.

The Logo described above is the official Logo for the NCCOA, shall be utilized on
all documents generated by the NCCOA, and is the only official emblem
representative of the organization at any and all functions.

The emblem has been filed by its designer, J. Michael Mauldwin, with the United
States Copyright Office, 101 Independence Blvd, Washington D.C. 20559-6000
as Copyright Registration of the Creative Work The Logo is protected under
applicable United States Copyright Registration Infringement. No variations of the
above-described logo are authorized unless expressly authorized by the owner.
The Logo may be utilized to produce window decals, articles of clothing, and
other related items by NCCOA members. All Logo uses are subject to the same
rules and laws as the original.
