Dear Sirs,
In connection with the issue of Certificate on annual performance report specified in
Regulation 15 of the Notification No. FEMA 120/RB 2004 dated July 7, 2004 as
amended from time to time of Foreign Exchange Management (Transfer of issue of
any Foreign Security) Regulations, 2004 (Notification), in respect of the annual
performance report of our wholly Owned Subsidiary (WOS) of Axis Clinicals Limited
(the Company), Axis Clinicals Latina, Mexico, (ACL or WOS), we confirm, to the
best of our knowledge and belief, the following representations made to you, during
the course of your work.
1. We are responsible for the fair and accurate presentation of the information
as stated in the certificated, in accordance with the Notification.
2. The management represents that ACL is not engaged nor intends to engage
in real estate oriented or banking business.ACL is principally engaged in the
business of trading of medicines.
3. Based on the audited financial statements of the company as at December
31, 2013, the Company holds BRL 10,124,795 of share capital in ACL.
4. ACL has not declared any divided for the year ended December 31, 2013.
5.

The Company has not made any additional investment in ACL during the
period ended December 2013.

6. The overseas subsidiary based on the audited financial statement made a

profit of BRL 912,189.25 during the year ended December 31, 2013 and had
a net worth of BRL 3,011,215.74 as at December 31, 2013.

7. There is no repatriation from ACL during the period ended December 31,
2013.
8. Unique identification Number (UIN) of ACL is HYWAZ20100390.
9. There is no investment in the step down subsidiary of ACL.
10.We have made available to you all financial records and related data,
necessary for the purpose of your work.
11.The accounting and management records, underlying the information as
stated in the Certificate, accurately and fairly reflect in reasonable detail, the
transactions of the Company.
12.There have been no communications from RBI concerning non-compliance of
any laws or regulations. In particular, we confirm that we are not on the
Reserve Banks Caution list or under investigation by the Enforcement
Directorate or a defaulter to the banking system in India. Further, there are
no violations or possible violations of any laws or regulations, which would
result in losses or contingencies, the impact of which would need to be
considered in the Certificate.

No events have occurred subsequent to the yearend December 31, 2013 that
would require adjustment to, or disclosure in, the Certificate.

examined the attached Annual Performance Report (ACL) for the year
ended December 31,2013 as part lll for overseas investment by the
Company in Axis Clinicals Limited, Mexico, wholly owned Subsidiary ,
Prepared by the Company signed by us for identification .This certificate
and the ACL are required by the Company as per requirements of
Notification No FEMA 120/ RB-2004 dated July 7, 2004, as amended from

time to time [foreign Exchange Management (Transfer or issue of foreign

Security) (Amendment) Regulations, 2004] for overseas investment.
2. We performed the following procedures in relation to the ACL:
a . With respect to clause ll, we relied upon management representation
for Unique
Identification
Number issued by the Reserve Bank Of India;
b. With respect to clause lll, we have relied upon management
representation of there being no change in share holding pattern of Axis
Clinicals Limited, Mexico, and we have not performed any other
procedures in this regard;
c. With respect to clause lV and VI, we have relied solely on the audited
financial statement of the Investee, Axis Clinicals Limited ,Mexico,
provided to us by Management and have not carried out any additional
procedures; and
d. With respect to clause V, we relied upon management representation
for foreign exchange earnings from Axis Clinicals Limited , Mexico, and we
have not performed any other procedures in this regard.
3. We note that the financial statements of the Axis Clinicals Limited in
Mexico for the year December 31, 2013 were audited by a firm of
Chartered Accountant in Mexico.

4. We have obtained all the representations, information and explanations

we considered necessary for performing this engagement. The
management of the company has prepared the ACL, and , we have relied
solely on the data furnished by the Company and have not undertaken
any procedures on the same except as mentioned in paragraph 2 above.
