(1) To promote, establish, run, organise, conduct, undertake, manage
and carry on in India or elsewhere the business of auctioneers,
merchants, traders, sellers, resellers, importers, exporters, dealers, brokers, adatias, contractors, mukadams and commission
agents of all kinds of movable or immovable properties, assets,
goods, merchandise, articles, things, manpower and chattels.
(2) To carry on in India and anywhere in the world the business of
surveyors, valuers, loss assessors, appraisers and analysts of all
kinds of movable or immovable properties, assets, goods and to do
all necessary acts and things for the attainment of main objects.
4. Automobiles & Auto Parts
(1) To manufacture, fabricate, assemble, buy, import, export, market,
distribute, retail, sell, resell, lease, let out, hire, broker, run, operate, maintain, manage, carry on the business or deal in all kinds
of automobiles cars, motor cars, luxury cars, taxis, vans, SUVs,
jeeps, scooters, motor cycles, trucks, buses and all light, medium
and heavy vehicles and automobiles of all kinds and descriptions.
(2) To carry on the trade and business of manufacturing, marketing,
import, export, hiring and letting on hire of commercial vehicles,
automobile cars, two wheeler vehicles, heavy and construction
equipments including components, accessories and spare parts
in relation thereto.
(3) To manufacture and deal in auto parts and accessories of all
kinds and descriptions, automotive and other engines, oils, gears,
axles, joints, springs, plugs, pins, springs, lights, lamps, beams,
electricals, accessories and fittings of all kinds and descriptions.
(4) To carry on business as manufacturers and dealers of machinery,
articles, goods and materials of all classes which may be usefully
combined with the manufacturing and engineering business.

laboratory and scientific chemicals used or capable of being used
in the textiles, agriculture, fertilizers, petrochemicals or any other

(1) To establish, promote, maintain, manage, organise, franchise and

and make up centers, skin and healthcare centers, fitness centers,
health clubs, spas, hair saloons and message centers.
(2) To do business as beauticians, manicurists, bridal make-up,
hair stylist, hair dressers, hair dyers and suppliers of all kinds
of beauty products, cosmetics, wigs and other related products.
(3) To promote, develop, own, franchise, manage, organise, operate
and run academic training institutes in the field of beauticians,
cosmetology, hair styling, hair dressers, wigs and conduct classes,
seminars, demonstrations, education and training programmes in
the field of beauty, body care, cosmetics and to do all incidental
acts necessary and convenient to attain these objects.
(4) To carry on the business of makers, manufacturers, buyers, sellers, importers, exporters, distributors, retailers and dealers of
cosmetics, beauty products, body care products, creams, lotions,
shampoos, ayurvedic preparations and wigs of all kinds and descriptions.
(5) To carry on the trade and business of manufacturers, producers, processors, blenders, makers, researchers, buyers, sellers

(1) To carry on the trade and business of distillers, manufacturers,
processors, makers, producers, procurers, researchers, consultants, importers, exporters, distributors, wholesalers, retailers,
stockists, dealers, franchisers, franchisees, agents, brokers and
suppliers of all types of spirits, whether rectified or otherwise.
(2) To carry on the business as manufacturers, processors, vendors,
importers, exporters, bottlers, rebottlers, packers of all kinds of
alcoholic spirits, including India Made Foreign Liquor as well as
Country Liquor, Beverage, Wines and others similar products, such
as brandy, whisky, rum, gin, beer etc. whether made of natural
or synthetic materials.
(3) To carry on the business as wholesaler, retailers, distributors,
stockists, dealers, godown keepers, C&F Agents, delcredere agents,
marketers, merchandiser of all kind of alcoholic spirits, including,
Foreign liquor, country liquor, beer, wine, rum, brandy etc.
(4) To carry on in India or anywhere in the world the business to
produce, manufacture, purchase, sell, supply, export, import,
market, deal in wholesale, retail, exchange, distribute, redistribute,
process, pack, store, refine, crush, purify, grind, filter, extract,
represent, act as stockists or consignees of all carbonated and
non-carbonated drinks, fruit juices, fruit pulps, milk, jams, jelly,
sauces, concentrates, food colours, aerated waters, soft drinks,
health drinks, mineral water, alcoholic and non-alcoholic drinks
and beverages of all kinds and descriptions.
(5) To carry on business of all classes and kinds of food items and
food products, whether finished, semi-finished, processed or unprocessed and all fruits, dry fruits, vegetables, green vegetables
and food products made therefrom or from any other material.
(6) To carry on the business as manufacturers, importers, exporters,
agents of bottles, cartons, labels and other packing materials to
be used for the purpose of pursuing the main objects of the company.
8. Builders, Developers & Contractors
(1) To plan, promote, buy, acquire, lay out, develop, build, construct,
erect, demolish, re-erect, alter, re-model or do any other work in
connection with any building scheme, residential colonies, plots,
villas, residential flats, commercial buildings or complex, markets,
office complex, multi-storied buildings, towers, roads, highways,
docks, ships, sewers, bridges, canals, wells, springs, power plants,
wharves, ports, reservoirs, embankments, tramways, irrigation,
improvements, sanitary, water, gas, electric, light, telephone and
power supply works and any other structural or architectural work
of any kind whatsoever and to prepare plans, models, designs,
specifications or estimates, and do all necessary and requisite
acts.

(2) To purchase, acquire, take on lease, let out, lease, exchange in a

lawful manner any land, building, multi-storied structures, turn
to account the same into real estate, develop, dispose of, maintain
and build townships, markets, residential or commercial buildings, other buildings or conveniences, equip the same or any part
thereof with all or any amenities or conveniences, drainage facilities, parks, schools, clubs, sports complex, golf course, swimming
pools, electricity, generators, lifts, air -conditioning, televisions,
telegraphic, telephonic and all modern facilities and amenities
and to deal with the same in any manner whatsoever.
(3) To carry on the trade and business of developers, builders, consultants, contractors, decorators, architects, real estate agents,
property dealers and to carry on the activities as developers of
land, colonies, sheds, buildings, structures, residential plots,
commercial plots, industrial plots and sheds, roads, bridges,
channels, culverts and to act as architect, designers, contractors,
sub-contractors for all types of constructions and development
works for private sector, government and semi government departments and to develop land, sites and plots.
(4) To acquire, purchase, lease, exchange and otherwise deal in all
types of land and properties of any tenure or interest, to erect
and construct houses, buildings, multi-stories of all kinds and
description on land of the company, other land or property and
to demolish, pull down, build, re-build, enlarge, alter, improve
houses, buildings or other works.
(5) To purchase, sell, market, deal, broker, finance all kinds of properties, land, buildings, flats, houses, plots, freehold or leasehold, any
interest therein, household articles, building materials, properties
and products of other companies in instalments, network schemes
or offer various types of incentives and schemes from time to time
either directly or in collaboration with any other individuals, firms,
companies or bodies corporates in India or elsewhere.
(6) To carry on the business of builders, contractors, sub-contractors,
quasi contractors, government contractors and undertake contracts
and sub contracts by tender or otherwise relating to development,
buildings, construction, modification, repairing, alteration, removal, enlarging, improving decoration, redecoration, designing,
redesigning of civil works, buildings, houses, flats, residential
houses, villas, office complex, commercial complex, multi-storied
buildings, towers, roads, approach roads, streets, circles, squares,

structures, paints, adhesives, sheets, roofings, glass, furniture,
fittings, electrical goods, water supply or storage tanks and equipments, floor polish, door closures, elevators, lubricant oils, forest
products and any other building or decorative materials made of
cement, stone, timber, teak, board, fiber, paper, glass, rubber,
plastic or other natural or synthetic materials, substances or
chem-icals.
(3) To carry on the trade and business, buy, sell, lease, hire and deal
in all kinds of building and allied materials, construction and
allied materials and all related materials, merchandise, items,
goods, things, equipments, apparatus, machineries, interior and
exterior desings, paintings, etc., necessary for the purpose.
10. Cement & Cement Products
(1) To develop, produce, manufacture, treat, process, refine, export,
import, purchase, sell, resell, market, distribute, wholesale, retail and deal in all kinds of cements, white cement, grey cement,
portland cement, coloured cement, pozzolana cement, alumina,
blast, furnace, slag, sagol and silica cements and cement products
of all kinds.
(2) To carry on the trade or business of and generally to deal in and
to act as producers, manufacturers, stockists, distributors, suppliers, retailers, brokers, agents, commission agents of all kinds of
cements and cement products such as asbestos cement, building
pipes, irrigation pipes, reinforced cement, cement concrete spun
pipes, asbestos cement pressure pipes, fittings, asbestos cement
sheets, poles, slabs, blocks, garden wares, cement boards, mosaic
and terrazzo, tiles, ceramics and ceramic products of all kinds
and descriptions.
(3) To carry on business, manufacture, buy, sell, lease, hire and deal
in all allied and ancillary products, goods, substances, materials,
articles, things, chemicals, compounds, accessories, appliances,
equipments, apparatus and machineries connected with cement
and cement products and related processes.
11. Chemicals & Fertilizers
(1) To carry on in India or in any part of the world all kinds of business relating to fertilizers, heavy chemicals, heavy water and their
by-products, all organic and inorganic chemical compounds and
products of any nature or kind whatsoever, including by-products,
derivatives and mixtures thereof and in particular to carry on
the business of manufacturing, storing, pack-ing, distributing,
transporting, converting, maintaining and rendering assistance
and services of all and every kind or any description, buying,
selling, exchanging, altering, improving and dealing in fertilizers,
including artificial chemicals, heavy chemicals, heavy water and
their by-products, organic and inorganic chemical compounds,
cement, coke and their by products and products of any nature
or kind whatsoever, of every description whether required for

(3) To manufacture, produce, refine, process, formulate, acquire,
convert, buy, sell, resell, retail, distribute, import, export or
otherwise deal in all types and kinds of chemicals, organic and
inorganic including, alkalis, acids, gases, petrochemicals, salts,
electro-chemicals, calcite, feldspar, dolomite, gypsum, quartz,
silicon, earth, rock phosphate, soap-stone, laboratory and scientific chemicals, industrial chemicals, agricultural chemicals,
chemical elements, compounds, solvents, mixtures, derivatives,
pesticides, insecticides, explosives, light and heavy chemicals of
any nature used or capable of being used in the pharmaceuticals, petrochemicals, fertilisers, pesticides, insecticides, defence
chemicals, chemicals used in textile industry, glass and ceramic
industries, tiles, poultry feeds, cattle feeds, rubber and paints.
12. Cinemas, Films, Theatres, Multiplexes & Studios
(1) To promote, build, construct, buy, own, develop, procure, acquire,
secure, operate, maintain, run, manage, utilize or initiate Picture
Halls, Cinemas, Theatres, Open Air Theaters, Multiplex Entertainment Complexes, Multiple Cinemas, Speciality Cinemas including
Three Dimensional and Seat Simulators.
(2) To carry on business to provide leisure, entertainment, cultural
promotion, amusement, sports or health units including Malls,
Amusements, Arcades, Food Courts, Food Plazas, Fashion Outlets,
Discotheques, Video Parlours, Restaurants, Pubs, etc. as well as
to carry on all kinds of like business relating to Hotel and Tourism related Industries.
(3) To manufacture, produce, buy, sell, exchange, distribute, import,
export, deal in, market, trade as manufacturers, producers, owners, principal, agents, sub-agents, stockists, representatives, suppliers, distributors, merchants, brokers, auctioneers, importers,
exporters of VCDs, DVDs, movies, films and cinemas of all kinds
including video films, pictures produced in India and abroad.
(4) To produce, treat, process, prepare, alter, develop, expose, edit,
re-edit, exhibit, make, remake, display, print, reprint, convert,
duplicate, finish, buy, sell, run, import, export cine films, TV
serials, telefilms, advertising films, documentary films etc.
(5) To make, create, acquire, build, construct, erect, own, lease,
manage, operate, run and act as producers, owners, proprietors,
distributors, agents, brokers and dealers of cinema halls, multiplexes, theaters, film studios, film cities, film processing labs
and own, buy, sell, lease, or hire copy rights, film distribution &

entertainments, amusements and recreations as the company may
think fit.
(7) To permit the companys premises to be used for all or any of
the above purposes and such other purposes as may be deemed
advantageous, beneficial or expedient from time to time.
(8) To buy, acquire, lease, hire, arrange or deal in all or any projectors,
ma-chinery, cameras, instruments, apparatus, chemicals, other
necessary materials for sets, decorations, ornaments, furniture and
fixtures and other infrastructure, articles and things as deemed
necessary in connection with the business of the company.
13. Cloth Mills & Readymade Garments
(1) To carry on, in any part of India, the business of spinners, weavers, manufacturers, ginners, pressers, packers, importers and
exporters of polyester blended viscose suiting and shirting, cotton, jute, hemp, silk, wool and any other fibrous materials and
the business of weaving or otherwise manufacturing, bleaching,
dyeing, printing and selling yarn, cloth, linen and other goods and
fabrics, whether textile, fabric, netted or looped and of buying,
selling and dealing in cotton and other fibrous materials, yarn,
cloth, linen and other goods or merchandise made thereof, and
generally to carry on the business of cotton spinners and doublers,
linen manufacturers, cotton, flak, hemp, jute, silk, wool, yarn and
cloth merchants, bleachers and dyers, makers of vitriol, bleaching
and dyeing materials, and to transact all manufacturing or curing
and preparing processes, and mercantile business that may be
necessary or expedient and to purchase and vend raw materials
and manufactured articles.
(2) To carry on the business as manufacturers, importers, exporters, wholesalers, retailers and dealers in all kinds of synthetics
and man-made fibers and process all such fibers, to spin, make,
produce and process, bleach, dye, print, weave, tuft and finish
all kinds of fiber, yarn and materials made from all kind of fiber,
yarn and materials made from all kinds of fiber, natural, synthetic
or man-made.
(3) To carry on the business of manufacturers, importers and exporters, wholesalers and retail dealers of clothing and wearing apparel
of every kind, hosiery goods of every kind, nature and description,
carpets, durries, mats, rugs, namdas, blankets, shawls, tweeds,
linens, flannels and all other articles of woolen and worsted
materials and articles similar to the foregoing or any of them or
connected therewith.
(4) To carry on the business of fashion designers, drapers and dealers in cloth of all types and every description and makers and
suppliers of clothing and garments of every kind of description,
hosiers and dealers, importers and exporters of all types of ready-

(5) To construct and let out buildings, warehouses; to own, charter,
hire and operate aeroplanes, ships, boats, launches and other
means of transport and to carry on the business of ship-brokers,
insurance brokers, managers of shipping property, stevedores,
freight contractors, carriers by land, air and sea, barge owners,
lightermen, fishermen, forwarding agents, ice merchants, refrigerating storekeepers, warehousemen and wharfingers.
(6) To establish and conduct or discontinue or close agencies or
branches and to employ agents in the carrying on of the business
of the Company whether in India or elsewhere on such terms and
conditions as may seem necessary or expedient.
(7) To import, export, buy, sell, use, merchant and deal in, carry,
repair, alter, improve and exchange any machinery, plant, accessories, tools, appliances and apparatus.
14. Cold Storage & Warehouses
(1) To promote, establish, buy, acquire, own, lease, run, manage, conduct and operate cold storage warehouses, dry storage warehouse
and bonded warehouses for the preservation, storage and treatment of merchandise, machinery, food products, farm products,
cereals, seeds and all other articles whether manufactured or not
both the foreign and indigenous production or manufacture.
(2) To carry on the business of producing, growing, dealing, exporting, importing, stocking, storing and preserving in cold storage or
warehouse, and trading, distributing and marketing of agricultural
products, potatoes, vegetables, fruits, dry fruits, wheat, pulses, oil
seeds, spices, fruit juices, ice, ice candy, ice cream, ice products,
carbonated, aerated mineral waters, soft drinks, beverages, dairy
products, wines, liquors and other alcoholic and synthetic drinks.
(3) To buy, sell and deal in cold storages, warehouses, machinery,
apparatus and appliances, hessians and jute bardana bags and
promote, encourage, develop and render consultancy in cold storage and warehousing infrastructure.
15. Computers & Information Technology
(1) To establish, maintain, conduct, provide, procure or make available
services of every kind including commercial, statistical, financial,
accountancy, medical, legal, management, educational, engineer ing, data processing, communication and other technological social
or other services.
(2) To carry on the business as importer, exporter, buyers, lessers,
and sellers of and dealers in all types of electronic components
and equipment neces-sary for attaining the above objects.

engaged in the developments, construction, operation and maintenance of infrastructure projects of power generation, power
distribution, telecommunication services, bridge(s), rail system(s),
port(s), airport(s), water supply, irrigation, sanitation and sewerage system(s), providing short term and long term loans, lease
finance, subscription to bonds, and any other form of financial
assistance in the form of guarantees. Venture capital technology
funds of any other funds for seed capital, risk capital foundation,
etc., and for other purposes herein.

(c) To undertake and carry on the business of equipment leasing,
immovable properties of all kinds and description and right title
and interest there-in and leasing of all kinds of goods and articles
(Including Plants, machinery, vehicles, ships, vessels, aircrafts,
apparatuses, computers etc.,) whether required for commercial,
Industrial or business use or for any purposes whatsoever.

(d) To undertake and carry on the business of identifying Infrastructure projects (as defined in 1(a) above), project ideas, to prepare project profiles, project reports, market research, feasibility
studies and reports, pre investment studies at micro and macro
level, act as advisers in management of undertaking business enterprises, technical process, sources of plant and machinery and

other utilities for business entrepreneurs, investment counseling,

portfolio management, providing financial and invest-ment assistance, syndication of financial arrangement either in domestic
market or international market, assisting the setting up of joint
ventures, assisting in drafting joint development agreements
between developers, financial and allied consultancy services in
furtherance of the main objects.

(e) To undertake and carry out the business of infrastructure financing in all angles, whether expressly mentioned herein or not,
including consultancy services of all kinds and description and
in all branches and kinds and for its purpose to open branch/
branches in India or any part of the world and without prejudice
to the generality of the foregoing, to buy, underwrite, invest in and
acquire and hold, sell and deal in stocks (all kinds), debenture
stock (whether or not convertible, including optionally convertible debentures), bonds, obligations and securities issued or to
be issued by any firm or body corporate, either with limited or
unlimited liability, or issued or guaranteed by any Government,
state, dominions, commissioners, public body or authority, municipal local or otherwise, firm or person in India or elsewhere
and to act as technical consultants, to act as financial consultants, investment counseling, and tie up for project and working
capital finance, syndication of financial arrangements whether
in domestic market or international market, handling of mergers
and amalgamations, assisting them in setting up of joint ventures, foreign currency lending services to Non-Resident Indians,
tax consultancy, and in consortium or otherwise to do all other
incidental activities which come within the scope of management,
technical, financial and allied consultancy services in furtherance
of the main objects.
(5) To purchase, take on lease or in exchange, hire or otherwise any
immovable and/or movable property and/or any rights or privileges in respect thereof and further to get assignment or mortgage
bonds and similar other instruments which the company may
think necessary or convenient for the purpose of its business,
and further to sell, exchange, improve, manage, develop, lease
out, mortgage, dispose of or turn to account and/or otherwise to
deal with all or any such movable or immovable property, rights
and privileges thereof, upon any terms and for any consideration
as may be thought fit.
(6) To undertake construction or direct the management of construction of Industrial and other property buildings, lands and estates
of any kind, acquiring the land directly or through any agency
on behalf of other and also to acquire, but, sell, hire, let on hire,
construct or otherwise deal in any movable or immovable property
which the company may think it favorable, by way of investment
or with a view to release or lease or otherwise.
(7) To carry on the business of any or all the objects of the company
by way of entering into an agreement with the Central Government
or a State Government or a local authority or any other statutory body for developing, maintaining and operating all or any

business of the company and also subject to the condition that

all such business along with the infrastructure be transferred to
the central government, local authority or such other statutory
body as the case may be in accordance with any such agreement
entered into with all or any of the above mentioned govt. body or
authority.
(8) To carry on the business of any or all the objects of the company
by way of entering into an agreement with the Central Government
or a State Govt. or a local authority or any other statutory body on
Build-Operate-Transfer (BOT) or on Build-Own-Operate-Transfer
(BOOT) basis, Build-Own-Lease-Transfer (BOLT) scheme wherein
the company will provide the necessary and crucial components
of infrastructure system, own them for a stipulated period and
may or may not maintain or operate the same. Also the company
will lease the asset of all or necessary and crucial components
of the Infrastructure for maintenance and operation and shall
ultimately transfer to the Government bodies or authorities.
24. Tours, Travels, Holiday Resorts and Clubs
(1) To carry on trades and business of general travel passenger, tourist
and transport agents and contractors, organizers of travel by land,
water, air, railroad, steam or other ships, aircrafts, aeroplanes,
automobiles and to act as automotive vehicle owners, charterers,
hirers, contractors, agents, import and export agents, freight, baggage storage, forwarding contractors and agents, recruitment and
emigration agents, general carriers and contractors, wharfingers,
carmen, owners and proprietors of bonded stores, warehouses and
depositories of all kinds, removers of all kinds of goods by land, air
or water, and provision of services in connection therewith, hotel
agents and caterers, insurance agents, surveyors and providers
of services, necessaries and articles of all kinds for travellers or
tourists throughout the world.
(2) To grant and issue letters of credit and circular notes and to issue, sell and encash travellers cheques, to buy, sell and deal in
foreign exchange and provide facilities of all types for remittance
of funds.
(3) To act as tour operators, organize conferences, conventions, seminars and tours, trips, excursions, sojourns, holiday camps, hikes,
treks, expeditions, safaris to any sea, mountain, lake, forest or
holiday resorts of tourist interest or any other place either in India
or any part of the world and to prepare plans, maps, itineraries,
routes for the same and to book tickets and accommodation and
to provide all types of assistance to tourists and travellers.
(4) To carry on the business of hotel, guest house, lodging house,
restaurant, conference centre, motel, holiday camp, leisure centre,
centre for water sports, adventure sports, amusement parks and
golf courses, theme parks, exhibition centres, movie theatres,
discotheques, caravan site and apartment-house proprietors; to
equip and furnish any such property for the purpose of letting
it to visitors or guests or giving it on time sharing or property
sharing basis by days, weeks, months, points and any undivided
shares with our without holiday exchange basis both in India and

outside India (including outright sale thereof) whether in single

rooms, suits, chalets, villas, caravans, movable structures, cottages or otherwise and to buy, sell, import, produce, manufacture
and deal in food and food products, meat, fish, groceries, fruit,
confectionery, wine, spirits, beer and other beverages whether
alcoholic or not.
To manage and to provide consultancy services and other services
and facilities of every kind and sort for the management of hotels,
lodging houses, resorts, motels and dwelling units, restaurants,
cafes, refreshment rooms, clubs, gymnasiums, casinos, kitchen,
canteens and for the sale of food and beverages of every kind and
to manage and to provide consultancy services for all manners
of entertainment, amusement and recreation and leisure sports
of every description for the public in India and any part of the
world.
To carry on the business of or to manage or provide consultancy
services in connection with services related to and ordinarily
provided by a hotel, motel, lodging house, resort, dwelling unit
of every kind and sort including but not restricted to business
centres, medical and health services, laundry, sports facilities
and conference facilities and to carry on and engage in the business of providing consultative and technical services relating to
the business of the company by way of market survey, preparing
feasibility and project reports and to enter into any arrangements
of licensing, chartering, brokerage, technical business or financial collaboration with any other party or concern, for singular or
mutual benefit of intake or outflow of know-how, whether existing
or newly developed techniques, including any rights or special
methods and trade secrets.
To carry on the business of or manage or provide consultancy
services in connection with hospitality management schools,
catering schools, hotel management schools, and other training
institutions, professional colleges and training and educational
institutions relating to the business of the company with or without
any affiliation from Indian or foreign governments, universities or
any other professional bodies, or individuals in India or abroad
and to impart academic, professional or technical education to
provide knowledge in the field of hospitality management or other
related field.
To purchase, sell, develop, take in exchange, or on lease, hire
or otherwise acquire, whether for investment or sale, or working
the same, any real estate including lands, business, building,
houses, cottages, shops, houses, flats, row houses, residential
and commercial buildings, sheds, concessions, privileges, license,
easement or interest in or with respect to any property whatsoever
for the purposes or in relation to the holiday resort business of
the company in consideration for a gross sum or rent or for any
other consideration and to rent, lease or sell or let out otherwise
apartments, flats and other residential units therein and to provide for the conveniences commonly provided in flats, sites and

residential and business quarters relating to the holiday resort

business of the Company.
