MINUTES OF THE EXTRAORDINARY SHAREHOLDERS MEETING
HELD ON OCTOBER 9, 2014
1. Date, Time and Venue: October 9, 2014, at 3:00 p.m., at the Companys headquarters, at Rua Mar de
Espanha 525, Santo Antnio, CEP 30330-900, in the city of Belo Horizonte, state of Minas Gerais. 2.
Attendance: Shareholders representing sixty-five point twenty-three percent (65.23%) of the voting capital
stock, as per the signatures in the Shareholders Attendance Book. The meeting was also attended by Joaquim
Herculano Rodrigues, Chairman of the Companys Board of Directors, Vespasiano lvaro de Souza, Head of the
Chief Executive Office, and Jos Veloso Medrado, The Companys Legal Representative, as an invitee. 3. Call
Notice: Call Notice was published, in compliance with Article 124 of Federal Law 6404/1976, in the Official
Gazette of the State of Minas Gerais, in the Valor Econmico newspaper and in the Estado de Minas
newspaper, on September 23, 24 and 25, 2014. 4. Presiding: in compliance with sole paragraph of Article 10 of
the Companys Bylaws, Joaquim Herculano Rodrigues presided over the meeting, inviting Vespasiano lvaro de
Souza to act as secretary. 5. Agenda: (i) amendment to Article 4 of the Companys Bylaws; 6. Resolutions:
after discussing the matter on the Agenda, shareholders attending the meeting resolved on: (i) the appreciation
of item (i) of the Agenda, related to the amendment to Article 4 of the Companys Bylaws, was impaired given
that there was no quorum to vote the matter, as determined by Article 135 of the Brazilian Corporation Law 7.
Closure: There being no further business to discuss, the meeting was adjourned for the time necessary to draw
up these minutes, which were read, verified, found to be in compliance and signed by all, with approval given for
publication in summary format and omitting the signature of shareholders, pursuant to Article 130 of Federal Law
