M/S QUANTUM PROPERTIES LTD. AND a private limited company incorporated
under The Companies Act 1994 as the Developer Company and its Head Office at
House- 8/A (3rd Floor), Road # 2/B, Sector- 11, Uttara, Dhaka-1230. Represented by its
Managing Director Mahboob Morshed. Nationality-Bangladeshi by birth, Date of birth
16th March 1967, Present Address:- House-24, Road-20, Sector-13, Uttara, Dhaka-1230.

WHEREAS the scheduled property was allotted in favour of Mr. Ruhul Amin,
S/O. Mvi. Azizur Rahman, Mother- Late Mrs. Ameena Rahman, of Vill-Kukrarai, P.O. +
P.S.-Bajitpur, Dist-Kishoregonj, the executant of this General Power of Attorney vide
RAJUK memo no.476 dt. 06/03/1990, which was amended vide memo no. 1009 dt.
10/09/1995 and a standard lease agreement for residential land in Uttara Model Town of
Rajdhani Unnayan Kartripakkha was executed between Rajdhani Unnayan Kartripakkha
and the said Mr. Ruhul Amin and was registered on 26/04/1998 bearing deed no. 5788.
AND WHEREAS Mr. Ruhul Amin got his name muted with Asst. Commissioner
(Land) and obtained Parcha for the above land. He has been paying rents and rate
regularly and owning and possessing the said land peacefully without any disturbance
and interference from any quarter.
AND WHEREAS Mr. Ruhul Amin having decided to construct an eight storey
building on the schedule property and knowing that Quantum Properties Ltd. is a reputed
developer, entered into a Joint Venture Agreement with them and now he has decided to
appoint Quantum Properties Ltd. as his constituted Attorney for construction of an eight
storied building on the schedule land.

NOW THEREFORE, BE IT KNOWN TO ALL MEN BY THESE PRESENTS

Name :------------------------, Permanent Address:--------------------------------------------------------------------------------, Present Address: -------------------------------------------------do hereby constitute, ordain , nominate and appoint Quantum Properties Ltd. a private
limited company as my true and lawful Attorney for me, in my name and on my behalf
to do the following acts, deeds and things:-

1. To manage, superintendent, conduct, protect, maintain and construct a building


on the scheduled property and to do all acts, deeds and things with regard to the
scheduled property.
2. To prepare a revised plan in place of existing one, of the --------- storey building
in my name and to get in approved by RAJUK.

3. To prepare structural drawing and design along with soil-test report for approval
of RAKUK.
4. To construct --------- storied building consisting of ----------- apartment and car
parking spaces and others on the ground floor with facilities as specified at
ANNEXURE to the Joint Venture Agreement.
5. To sell seven apartments of Developers share with proportionate piece of
undivided and undemarketed land of the scheduled property apportioned for the
above apartments with or without car parking space to the intending purchasers
at a price as may be determined by the Attorney and receive the sale price for
itself.
6. To apply to RAJUK for obtaining sale-permission and to receive the same on
behalf of the executant.
7. To execute sale deed mortgage deed, lease deed, gift or any other deeds and
documents related to para five above and to appear before the District Registrar or
Sub-Registrar and present registration of the sale-deeds, mortgage deeds and any
other deeds executed by the Attorney.
8. To receive money as price of apartments from the buyers and to grant receipt
thereof.
9. To affirm and swear affidavit before any Notary Public or as required by the
Bangladesh Transfer of Property (Temporary Provision) order 1972 or any other
law for any other purpose in respect of the said property.
10. To pay rents, revenues rates and all kinds of taxes including gains tax, income tax
and the expenses for preparation of sale deed and cost of stamp and other Govt.
taxes for registration of the sale deed if the developers whole share of the
scheduled property or portion thereof is sold.
11. To accept services of all notices, summons and other writ issued by any court of
law, Municipality WASA, DESA, or any other authorities or local bodies and do
the needful in connection herewith.

12. And I do hereby agree to ratify and confirm all and whatsoever our Attorney shall
lawfully do or cause to be done in or about the scheduled property by virtue of
these presents.
13. (a) The Power of Attorney is revocable and shall automatically stand cancelled
either after completion of construction as per Joint Venture Agreement and
handing over the possession in habitable condition to the land owner and to the
buyer/s as per sale-deeds.

(b) If the developer fails to construct as per terms of Joint Venture Agreement, or
the period of construction goes beyond the specified limit which also means three
times extension of construction period at 4 months each ie in total not more than
extra 12 months.
