AGREEMENT FOR SALE OF LAND


This Agreement made this day

BETWEEN
Mr.ENGEN STEVEN (herein after referred to as the
vendor) which expression shall where the context include
her assignees and successors in title of the one part
AND
MS.RUSSELL HALL LTD (herein after referred to as the
purchasers) which expression shall where the context
include his assignees and successors of the other part.
AND
WHEREAS the vendor is desirous of selling to the
purchasers a plot comprised in VOLUME 1361 FOLIO 20 Plot
2C measuring 0.086 HECT which is registered in the names
of ENGEN STEVEN with the developments on it.
AND
WHEREAS the purchasers are desirous of buying the same
property described above.
NOW THEREFORE
follows:

THIS

AGREEMENT

WITNESS

as

1. The purchase price for the said property is UGX shs.230,


000,000/= (Two hundred thirty million shillings only).
2. The purchasers has paid the whole purchase price to the
vendor at once at the execution of this agreement and the
vendor acknowledges receipt by signing this agreement
and he has surrendered the certificate of title together with
transfer forms fully signed.

3. The vendor further guarantees that the property is his and


he

undertakes

to

refund

the

consideration

to

the

purchasers in the event of any successful challenge to his


title to the property.

4. The vendor warrants and agrees that there are no third


party claims of whatsoever nature to the land or property
and that he has obtained all the necessary consents from
his family members particularly the spouse if any.

5. The vendor shall allow the purchasers to enjoy quiet


possession of the demised property without interruptions
whatsoever by the vendor or its agents or tenants after
paying the whole purchase price.
6. No modification change or alteration of this agreement
shall be of any legal force or effect whatsoever unless in
writing and signed by all the parties what ever used herein,
the singular shall include plural and the use of the gender
shall be applicable to all genders.

7. The parties hereto agree to resort to arbitration in the case


of

any

disagreement,

breach

of

the

terms

of

this

agreement and its enforcement provided always that


before such recourse arbitration the parties should have
exhausted all the ways of reaching an amicable solution.

8. Each of the provisions in this agreement is severable and


distinct from the others and if at anytime one or more of
such

provisions

is

or

becomes

invalid

illegal

or

unenforceable the validity legality and enforceability of the


remaining provisions hereof shall not in anyway be affected
or impaired thereby.
9. The purchasers here take possession immediately upon the
execution of this agreement and the vendor undertakes to
introduce them to the Local Council Chairman I of the area.

10.

This agreement shall be governed by the laws of

Uganda.
IN WITNESS WHEREOF both parties hereto have hereunto set
their hands on this day
