    Aspreviouslydisclosed,onJanuary6,2013,NationstarMortgageLLC,aDelawarelimitedliabilitycompanyandan
    indirectlyheld,whollyownedsubsidiaryofNationstarMortgageHoldingsInc.(Nationstar),enteredintoamortgage
    servicingrightspurchaseandsaleagreement(thePurchaseAgreement)withBankofAmerica,NationalAssociation,a
    nationalbankingassociation(BankofAmerica),pursuanttowhichNationstaragreedtopurchasethemortgageservicing
    rights(theMSRs)withrespecttoapproximately1.3millionresidentialmortgageloans(theMortgageLoans)withatotal
    unpaidprincipalbalanceofapproximately$215billion.TheaggregatepurchasepriceoftheMSRsisapproximately$1.3billion,
    subjecttocertainadjustmentssetforthinthePurchaseAgreement.Alsoaspreviouslydisclosed,onJanuary31,2013and
    February1,2013,NationstarcompletedaportionoftheacquisitionoftheMSRswithrespecttocertainMortgageLoans
    owned,insuredorguaranteedbyFannieMae,FreddieMacorGinnieMae,whichportionrepresentedapproximately47%ofthe
    entireportfolioofMSRs(asmeasuredbyunpaidprincipalbalance)expectedtobeacquiredbyNationstarfromBankof
    AmericapursuanttothePurchaseAgreement.
    OnJuly1,2013,NationstarcompletedanotherportionofthepreviouslyannouncedacquisitionoftheMSRs.Specifically,
    NationstaracquiredMSRswithrespecttocertainMortgageLoanswithatotalunpaidprincipalbalanceofapproximately$43
    billion,allofwhicharenonconformingloansinprivatelabelsecuritizations(thePrivateLabelMSRs).
    NationstarpaidtoBankofAmerica100%ofthepurchasepriceforthePrivateLabelMSRs,whichtransferredfromBank
    ofAmericatoNationstaronJuly1,2013.Nationstarfundedthepurchasepricethroughacombinationofcashonhandandthe
    proceedsofthepreviouslyannouncedcoinvestmentbyNewResidentialInvestmentCorp.(NewResidential)andcertain
    fundsmanagedbyFortressInvestmentGroupLLC(Fortress).Nationstarcurrentlyexpectstoacquireandtransferthe
    remainingPrivateLabelMSRsfromBankofAmericapursuanttothePurchaseAgreementinstagesatvarioustimespriortothe
    endofthethirdquarterof2013.
    ThemanagerofNewResidentialandFortressareaffiliatesofNationstar.BankofAmericaandcertainofitsaffiliateshave
    fromtimetotimeperformedvariousfinancialadvisory,commercialbanking,investmentbankingandotherrelatedservicesfor
    Nationstaranditsaffiliatesforwhichtheyhavereceivedcustomarycompensation,andtheymaycontinuetodosointhe
    future.Inaddition,NationstarhaspreviouslyacquiredmortgageservicingrightsportfoliosfromBankofAmerica.New
    ResidentialhaspreviouslycoinvestedwithNationstarintheacquisitionofmortgageservicingrightsandmaycontinuetodo
    sointhefuture.
