With reference to your final offers Ref: 467R5dated June1, 2015for 02 (two) Nos. ThyssenKrupp
Elevator and subsequent discussion had with you our management is pleased to issue this work order
for Supply, Installation, Testing & Commissioning of 02 (two) Nos. ThyssenKrupp Elevator for
UBML at Safura Tower, 20, Kemal Ataturk Avenue, Banani, Dhaka at an amount of BDT
74,00,532.00 (Seventy four lac five hundred thirty two) only. The agreed break-up of Contract Value
is given below:

A. The above price is based on current currency exchange rate 1 US$ = 78.50 taka in BDT. If
there is any change in exchange rate at the time of L/C opening, document retirement time &
customs clearance, it will be on buyers account. The final calculation will be based on the
prevailing currency exchange rate at the time of L/C opening, document retirement time and
customs clearance. Further the above price is based on the existing duty, TAX etc. applicable
as per Government rules. In the event of any change in the duty, tax etc. it will be on buyers
account.

Terms & Conditions:

1. Total amount is BDT 74,00,532.00 (Seventy four lac five hundred thirty two) only.
2. Mode of Payment:
The payment by the owner shall be made to the contractor at stage in the following manner:
Foreign Part:
a) Letter of Credit for USD 73,000.00 (equivalent to BDT 57,30,500.00) only to be opened by
Universal Business Machines Limited immediately after signing this work order.
b) BDT 8,30,032.00 (eight lac thirty thousand thirty two ) only shall be paid toThyssenKrupp
Elevator (BD) Pvt. Ltd. or Nominated Clearing Agent on account of the contractor as part
payment of the contract value within 05 (five) working days as Customs duties, ATV,
Shipping line charge, Port Charge, C & F commission, VAT, Clearing, Forwarding, Loading
& Unloading, L/C charge, Marine insurance, Transportation upto site, Miscellaneous and
other charges on C&F value to ThyssenKrupp Elevator (BD) Pvt. Ltd.at the time of duty and
cargo clearance.

Local part:
a) BDT 1,00,000.00 (one lac) only shall be paid toThyssenKrupp Elevator (BD) Pvt. Ltd on
account of the contractor as part payment of the contact value within 07 (seven) working
days from the date of acceptance of this work order as mobilization advance.
b) BDT 2,40,000.00 (two lac forty thousand) only shall be paid before starting of the existing
lift dismantling as part payment of the contact value. start the mechanical installation work.
c) BDT 3,00,000.00 (three lac) only shall be paid before starting mechanical installation work as
part payment of the contact value.
d) BDT 2,00,000.00 (two lac) only shall be paid within 30 days after successful completion of
installation, testing, commissioning & training of 2 (two) operators & duly certified from
EME department & Project in charge.
3. VAT & AIT: VAT and AIT will be deducted as per Government rules against local payment.
4. Country of Manufacturer: South Korea.
5. ThyssenKrupp Elevator (BD) Pvt. Ltd. will supply all items (Foreign & Local) as per
specification, brand, country of origin as stated in the offer and payment shall be made only
after successful completion of the work & acceptance of the items by our EME department.
6. ThyssenKrupp Elevator (BD) Pvt. Ltd. on behalf of themselves and the manufacturers
commitment will ensure the best standards of quality, quantity, specifications etc. The
supplier on behalf of themselves and the Manufacturers will ensure that there will be no latent
or patent defects either in the components of the Lift or its installation and commissioning,
that all the components are brand new and of adequate and generally acceptable station
standards.
7. ThyssenKrupp Elevator (BD) Pvt. Ltd. will exercise diligence in ensuring the safe and intact
condition of the imported goods from point of shipment to that of commissioning. The
supplier undertakes to compensate Shanta Properties Limited for any manner of damage or
loss to the Lift and its components during the above period.
8. ThyssenKrupp Elevator (BD) Pvt. Ltd. shall stand guarantee for availability of spare parts of
the lift equipments for at least 20 years from the date of Commissioning of the Equipment (If
the monthly maintenance contracts remain with ThyssenKrupp Elevator (BD) Pvt. Ltd.).
ThyssenKrupp Elevator (BD) Pvt. Ltd.shall make such Spare parts available within maximum
7 (Seven) days or reasonable time schedule from the date of requisition by UBML / Owners
Association subject to verification of market price. In any case, ThyssenKrupp Elevator (BD)
Pvt. Ltd. shall keep the Lift in working condition 24 hours & 365 days of the year excepting
routine maintenance time& trouble shooting the lift.
9. ThyssenKrupp Elevator (BD) Pvt. Ltd. shall submit necessary drawing to UBML for approval
at least 15 (fifteen) days from the date of issue of this work order.
10. ThyssenKrupp Elevator (BD) Pvt. Ltd. shall deploy one full time engineer and skilled
technician to complete the installation and commissioning the work skillfully & smoothly.
During installation period if any conflict or confusion arises, the supplier will immediately

communicate with UBML to solve the problems with its own responsibility & UBML will
provide necessary assistance as and when required.
11. ThyssenKrupp Elevator (BD) Pvt. Ltd. will provide catalogues, keys and operation manual &
Mechanical drawing which include power feeder data to UBML at the time of handover ofthe
elevator.
12. ThyssenKrupp Elevator (BD) Pvt. Ltd. shall provide necessary training after commissioning
of the elevator concerning operation of Elevator to the designated at least 02 (two) operators
of UBML staff.
13. ThyssenKrupp Elevator (BD) Pvt. Ltd. shall provide Pit ladder and Pit separator screen guard
from pit level to second span of the steel separator beam.
14. Work Completion Time:
The work is to be fully completed within 8 (eight) months from the date of L/C opening or by
any extended date, if necessary, to be advised by our EME department.
15. Liquidity Damage:
If ThyssenKrupp Elevator (BD) Pvt. Ltd. fails to complete the project within stipulated time
frame or within extended time, UBML may impose a LD @ 0.5% per week maximum 5% of
contract value. The LD shall be applicable on unfinished work.
16. Warranty/Guarantee:
ThyssenKrupp Elevator (BD) Pvt.Ltd. shall give Warranty of all equipment and fittings
against Manufacturing and or any other operational defects for a period of 12 (twelve) months
from the date of commissioning or 18 (eighteen) months from the date of shipment which
ever earlier.
The above warranty is not covering the following reason.
Water/rainwater/force falls in the equipment.
17. Maintenance:
ThyssenKrupp Elevator (BD) Pvt. Ltd. will carry out free of cost maintenance and
servicing for 12 (twelve) months from the date of commissioning.
Apart from the regular servicing during the contract in every month, UBML may call the
ThyssenKrupp Elevator (BD) Pvt. Ltd. as and when required for trouble shooting &
servicing the lift.
18. Installation and Commissioning means:
All types of fixtures & fittings and all foreign & local materialshave to be done by
ThyssenKrupp Elevator (BD) Pvt. Ltd. according to the approved drawing.
19. The cabling work should be done through proper ladder and should be monitored and
approved by UBML Engineer.
20. The dismantling of existing two nos Elevator and shaft clearing work will be done by
ThyssenKrupp Elevator (BD) Pvt. Ltd.
21. The following items are out of scope of this work order:

 Complete civil related works including chipping, casting, grouting & modify the elevator
shaft as per supplied layout drawing and jamb, hall button boxes, machine room slab hole
etc. will be arranged by UBML
UBML will provide power through complete SDB box in machine room with required
circuit breaker & internal cable from machine room to control panel.
UBML will provide lockable store to keep elevator and installation materials but
ThyssenKrupp Elevator (BD) Pvt. Ltd. shall be liable for storage of the items at site under
its disposal. ThyssenKrupp Elevator (BD) Pvt. Ltd. shall ensure the security of the
elevator up to the commissioning and hand over.
UBML will provide necessary water and power required for the Installation work of
Equipments.

UBML will provide Shaft Lighting.

Power Requirement: AC 415V + 5% ~ -10%, 3 phase, 4 wire + earthlings for Main Power
and AC 240V + 5% ~ -10%, 1 phase, 2 wires for Lighting. UBML shall provide the
voltage stabilizer as per required capacity.

22. Technical Specifications (Appendix-1) submitted by ThyssenKrupp Elevator (BD) Pvt. Ltd.
will act as an integral part of this work order and your offer (REF: 467RS dated June 1,
2015) will be strictly adhered.
The management reserves the right to change any term and cancel the work at any time without
assigning any reason thereof and may engage another party to complete this job if situation demands.
Now, you are therefore requested to sign & return the duplicate copy of this work order as a token of
your acceptance and for our record.
