SPECIAL POWER OF ATTORNEY

KNOW ALL MEN BY THESE PRESENTS:

AGENT*] and/or any of his duly authorized representative/s to be my true and lawful
Attorney-in-fact, to sell, assign, transfer, dispose of, mortgage and alienate my real
property covered by Transfer Certificate of Title No. [*TCT No.*] (Land) and located at
the Province of [*NAME*] in favor of [*BUYER*] (Buyer), who consents to the same.
For this purpose, I further authorize [*NAME OF AGENT*] to do and perform for me and
in my name, place and stead any and all of the following acts:
a) To negotiate and enter into any contract or contracts for the sale, transfer,
conveyance, management, lease, mortgage or encumbrance of the Land and to
sign and execute all the necessary papers, deeds, and documents that may be
necessary for the accomplishment of the sale, transfer, conveyance,
management, lease, mortgage or encumbrance;
b) To accept and receive on my behalf all the proceeds which may be derived from
the sale, mortgage, transfer or deposition thereof, and to issue receipts, waivers,
quitclaims, and other proper discharges therefor;
c) To file and follow-up with Department of Agrarian Reform (DAR) an application
and/or petition on my behalf for the conversion of the classification of the Land
from agricultural to residential;
d) To file, follow-up, supervise and prosecute up to finality a Petition for
Transferability of Awarded Land with the DAR for the purpose of securing DAR
Clearance for the transfer of the ownership of the Land;
e) To appear on behalf of or to file a claim, case, complaint and/or defend or cause
the successful prosecution of any case whether civil, administrative or criminal, in
all its stages including any appeals, initiatory pleadings, answers, petitions and
all other pleadings as may be necessary or desirable for the successful
prosecution thereof including appearance in mediation, arbitration, preliminary
conference, pre-trial, to enter into a compromise agreement and to represent me
in the foregoing proceedings or any other related proceedings arising from the
filing of the Petition for Transferability of Awarded Land with the DAR, the
application for conversion of the Land, as well as any matter directly or indirectly
related or arising among others from the ownership, use, management, sale,
lease, possession and development of the Land; and
f)

To make, execute, sign and deliver contracts, documents, agreements, deeds

and other writings of whatsoever kind, nature and description, with any and all
third persons, concerns and entities, upon such terms and conditions acceptable
to the said attorney-in-fact in relation to the foregoing matter.

This Irrevocable Special Power of Attorney is coupled with interest being one of the
requirements and considerations of the BANK for the granting of the loan to me/us. It is
agreed that this Irrevocable Special Power of Attorney shall not be revoked or cancelled
without the prior written consent of the BANK.
In addition thereto, I certify that this Special Power of Attorney has been constituted for
the aforementioned purposes and for the mutual benefit of the PRINCIPAL, the AGENT,
and the BUYER. As such, this authority may not be unilaterally revoked by me or my
successors-in-interest without the written conformity of my Attorney-in-fact.
HEREBY GIVING AND GRANTING unto my said Attorney-in-Fact full power and
authority to do and perform any and every act and thing whatsoever requisite, necessary
or proper to be done in and about the premises, as fully to all intents and purposes as I
could do if personally present and acting in person, with full power of substitution or
revocation and hereby ratifying and confirming all that my said attorney-in-fact, or his
substitutes, shall lawfully do or cause to be done under and by virtue of these presents.
