goods Pesticides from you valuing up to PRS.

purchased

referred

"Debtor")

have

AND WHEREAS, M/S

(Debtor) have
certified to us that goods received from M/S Suncrop Pesticides - Dera Ghazi Khan have
already been got tested from laboratory and quality and quantity have been found satisfactory
by the debtor.
NOW therefore in consideration of your having supplied to said Debtor, we (BANK &
BRANCH)
at the request of debtor mentioned
above, hereby unconditionally, irrevocably and absolutely guarantee to Pay you upon your first
written demand within three working days the amount certified by you to be due from the said
Debtor not exceeding PRS.
We further undertake to ensure that: I. Your letter of demand for encashment of this Guarantee in part or full at our above mentioned
address shall be considered to have been received by us within seven days of the postal
registration receipt in case it is not handed over at our office by your representative in
person.

Your letter of demand for encashment of this guarantee in full or in part shall be conclusive
proof that the debtor has failed to pay the amount due to you in respect of the goods supplied to
Debtors. We undertake to pay you the amount stipulated in this Guarantee or portion thereof by
Bank drafts without any demur, delay or reference to the debtor. We will not deduct any charges
from the amount of claim to be paid, on account of our commission, misc. charges fee etc.

3. You are at full liberty to negotiate/ endorse/ assign this guarantee to any financial institution

including a banking company without reference to us and the Debtor and on such
negotiation/endorsement/assignment, the endorsee shall have similar and all rights in respect of
this Guarantee as an assignee for valuable consideration and such endorsement/ assignment
shall not discharge the Debtor nor us of the liability under this guarantee.

4. In case this Guarantee is negotiated/ endorsed [assigned, your letter in favour of the same

financial institution or Banking Company of Pakistan, authorizing them to collect the payment,
will be sufficient proof of it. We hereby unconditionally acknowledge your right of such
authorization and undertake to entertain the claims of endorsee/ assignee. Furthermore, we
undertake that upon any request from the beneficiary or endorsee/ assignee, we will mark the
lien in our books in your or endorsee/assignee's favour and confirm the same in writing.

5. Our liability under this Guarantee shall subsist even if (for any reason including) changes in our

status or the status of Debtor takes place by operation of the law. It is expressly laid down that if
nonperformance by the Debtor on account of negligence, Force Majure, willful denial to
perform, or on account of circumstances beyond its control, performance by' Debtor becomes
impossible, it shall not absolve us from the liability under this Guarantee.

6. Our obligation under this Guarantee shall be that as Principal Debtor co-exists with the Debtor,

jointly and severally and you may at your discretion hold us principally and exclusively liable
for all amount guaranteed hereunder, without any requirement of making any demand on the
Debtor under law or for any other reason without effecting our liability towards you. To the
extent permissible under law, we expressly waive any legal objections or right to challenge our
obligation under this Guarantee which may otherwise be available under a contract or
guarantee/ surety.

all claims should be lodged on or before this date. A postal registration receipt of any date
including the expiry date shall be sufficient proof of ciaim being lodged and received by us
