Sociedades
1. Leyes que regulan la constitucin
El Cdigo Civil Paraguayo, y sus leyes complementarias y
modificatorias (entre ellas, la Ley N 117/93, Ley N 388/94 y
Ley N 3228/07) regulan el procedimiento para la formacin
de las sociedades en el pas.

among the same) regulate the procedure for the formation of
companies in the country.

Shares
Acciones
El capital social es representado por acciones nominativas o
al portador que pueden ser libremente transferidas. En las
sociedades annimas de capital abierto, el capital social es
representado por acciones nominativas que estn sujetas a
negociacin pblica en la Bolsa de Valores.
Cada accin da derecho a un voto y a la participacin de los
lucros sociales, de acuerdo con el Cdigo Civil.
Directorio
La Sociedad Annima es administrada por uno o ms directores
que no precisan ser accionistas. Los mismos son designados
por la Asamblea General Ordinaria de Accionistas por un
tiempo determinado (un ao, salvo que los estatutos sociales
dispusieren lo contrario, y hasta 3 aos). La representacin de

The Stock Company is managed by one or more directors who
do not need to be stockholders. The same are appointed by the
Ordinary General Meeting of Stockholders for a determined
period (one year, unless otherwise stipulated by the company
bylaws, and up to three years). The representation of the

Syndics
Sndicos
Son designados por los accionistas en la Asamblea General
Ordinaria de Accionistas y no precisan ser accionistas. Los
sndicos poseen facultades legales de fiscalizacin sobre la
gestin de los directores.
Reserva Legal
La Ley del Comerciante obliga a las sociedades a establecer
una reserva legal del 20% del capital social que se forma
anualmente con un mnimo del 5% de las utilidades.

Legal Reserve
The Commercial Law obligates companies to establish a legal
reserve of 20% of the share capital, to be constituted annually
with at least 5% of the profits.
Contribution
The capital is represented by nominal contributions, and
not by shares. The assignment of the contribution requires
the authorization of the other members, and if the same

Cuota
El capital social es representado por cuotas nominativas y no
por acciones. La transferencia de la cuota requiere de una
autorizacin de los otros socios y si la misma no es posible,
puede ser autorizada por un Juez en lo Civil y Comercial. La
transferencia de las cuotas se verifica por escritura pblica y se
inscribe en los Registros Pblicos.
Gerentes
Las sociedades pueden ser administradas por uno o ms
gerentes que pueden o no ser socios. Los gerentes deben ser
paraguayos o extranjeros residentes en territorio paraguayo.
Reserva Legal
Las sociedades de responsabilidad limitada, anualmente,
estn obligadas a establecer una reserva legal del 20% del
capital social que se forma anualmente con un mnimo del
5% de las utilidades.

c) SUCURSALES
Las sociedades constituidas en el extranjero tienen su domicilio
en el lugar donde est el asiento principal de sus negocios.
Las empresas extranjeras que decidieron operar regularmente
en el Paraguay, deben establecer una sucursal o representacin
con domicilio en el pas, y cumplir con las obligaciones y
formalidades previstas para el tipo de sociedad ms similar al
de su constitucin.
Al igual que las empresas paraguayas, esas sociedades deben
inscribirse en el Registro Pblico de Comercio y en el Registro
de Personas Jurdicas y Asociaciones.
Toda sociedad constituida en el extranjero que desee ejercer
su actividad en el territorio nacional debe:
i) establecer una representacin con domicilio en el pas,
adems de los domicilios particulares que resulten de otras
causas legales;
ii) acreditar que la sociedad ha sido constituida con arreglo a
las leyes de su pas;
Managers
The partnerships can be managed by one or more managers,
who may be members or not. The managers must be of
Paraguayan or foreign nationality domiciled in Paraguayan
territory.
Legal Reserve
Limited liability partnerships are obligated to establish a legal
reserve of 20% of the capital, to be constituted annually with
at least 5% of the profits.
c) BRANCHES
Companies established abroad have their domicile in the
place where their main place of business is located.
The foreign companies that decided to operate regularly in
Paraguay must establish a branch or representation with
domicile in the country, as well as to observe the obligations
and formalities provided for the type of company most similar
to that of their incorporation.
As with Paraguayan companies, those companies must be
inscribed in the Public Registry of Commerce, and in the
Registry of Legal Entities and Associations.
Every company established abroad that wishes to operate in
the national territory must:
i) establish a representation with domicile in the country, in
addition to the home addresses as they may be required
under legal circumstances;
ii) prove that the company has been incorporated pursuant to
the laws in their country of origin;
iii) justify the agreement or decision to create a branch
or representation, the capital assigned, if so, and the
appointment of the representatives.

the subsequent tax reduction.

La adquisicin de propiedades por empresas extranjeras se
encuentra regulada por las mismas normas jurdicas vigentes
para empresas nacionales. La regulacin legal se encuentra,
bsicamente, en el Cdigo Civil y en el Cdigo de Organizacin
Judicial.

Proprietorship
Is the acquisition of property by foreign
companies regulated? How?
The acquisition of properties by foreign companies is regulated
by the same rules in force for domestic companies. The legal
regulation is provided for, basically, in the Civil Code, and the
Judicial Organization Code.
It is important to reiterate that Law No. 2,532/05 That
establishes a border security zone in the Republic of Paraguay,
partially amended by Law No. 2,647/05, prohibits foreign
citizens from the bordering countries Argentina, Brazil and
Bolivia, to own rural estates within a strip of 50 km adjacent to
the land and river border lines, or to be majority shareholders
of companies owning such estates.
The private property is guaranteed under the National
Constitution (Art. 109), looking after its economic and social
function. Nobody can be deprived from their property but by
virtue of court decision. The expropriation for public utility
or social interest must, in each case, be determined by a law.

entities can also be subject to the Income Tax on Commercial,
Industrial, and Service Activities (IRACIS in Sp.), and to the
municipal tax for Business License.
The sale of real estate, whether of an individual or a legal
entity, is subject to the VAT at a rate of 1.5% on the sale price;
it is also subject to the income tax, when and if applicable.
The Stock Company in particular offers a relative advantage
with regard to the disposal of a real estate, as the capital stock
may be sold alternatively (or a part of it, for a subsequent
reduction of the capital, in such case) and this sale is not
subject to the VAT if the same is reported to the Tax Office
(State Undersecretariat of Taxation in Paraguay) within 30
days after the operation, once the salespersons became VAT
taxpayers.
Likewise, the assignment of shares of a Stock Company
is not affected by the inheritance law, if the capital stock is
located abroad; in the case of natural persons, the inheritance
proceedings must take place upon their decease.
It is worth noting that foreign people cannot integrate
the Board of Directors of Stock Company or be appointed
Managers of a legal entity without having acquired the
permanent residency in the country.
In any case, it is advisable to comply with the Immigrations Law
No. 978/96 as a first step towards operating in the country.

Las empresas unipersonales, las sociedades con o sin
personera jurdica, las asociaciones, las corporaciones y
las dems entidades privadas de cualquier naturaleza. Las
personas domiciliadas o entidades constituidas en el exterior
y sus sucursales, agencias o establecimientos que realicen
actividades gravadas en el pas; la casa matriz deber tributar
por las rentas netas que aquellas le paguen o acrediten. La
casa matriz del exterior tributar por las rentas gravadas que
obtengan en forma independiente.
El ejercicio econmico coincide con el ao civil o calendario,
concluyendo el mismo el 31 de Diciembre de cada ao.

El Impuesto es calculado sobre la renta neta ms conceptos

activities shall determine their net incomes of Paraguayan
source pursuant to the provisions set forth in the Law.

Base de clculo
Los contribuyentes del IRAGRO, segn corresponda, liquidarn
el impuesto sobre la base de los siguientes regmenes de
liquidacin:
a) El Rgimen de Liquidacin del Contribuyente Rural, se
aplica a las empresas unipersonales cuyos ingresos son
iguales o superiores a G. 500.000.000 pero no superan G.

Calculation Basis
The IRAGRO taxpayers, as appropriate, shall pay the tax based
on the following payment regimes:
a) The Payment Regime for Rural Taxpayers is applied to sole
proprietorships with incomes reaching or surpassing G.
500,000,000 but under G. 1,000,000,000, which shall
pay the tax annually by tax affidavit. The net profit before
tax shall be the profit balance between total revenues and
expenditures, including the purchase of fixed assets by the
taxpayer.
b) The Payment Regime for Rural Small Taxpayers is applied to
sole proprietorships with incomes under G. 500,000,000,
which shall pay the tax annually by tax affidavit. The net

for imputing the revenues and expenditures shall be of the
accrual during the fiscal year.
The Tax Office demands, as a standard measure, the payment
of 15% on all the net amounts credited, paid, or remitted to
the head office, partners, or shareholders domiciled abroad,
but the validity of this criterion is currently being challenged
before the Paraguayan Administrative Courts.

15% on the net amounts credited, paid or remitted to the

the tax withholdings made on beneficiaries residing abroad.

5% on contracts of assignment of use of goods, and transfer
of real estate properties; certain products of the consumption
basket; on interests, commissions and surcharges of loans
and financings; on the sale of pharmaceutical products. The
rate of 10% is for all the other cases.

on all operations implying the transfer of funds or currencies
abroad.

In the event of deeds or contracts between the same parties
on a same object, the taxable deed or contract shall be that
of greater tax.

What are the main problems that foreign
companies face when investing in Paraguay?
The main problems are: the insufficient offer of skilled
manpower, the informality in certain commercial operations,
the bureaucracy at national and municipal government offices
and the subsequent delay of procedures in administrative
offices, cases of delay in legal courts with regard to the
culmination of procedures.

Los trabajadores tienen derecho a un perodo de vacaciones
despus de un ao de trabajo con el mismo empleador segn
se indica en la escala siguiente:

work hours (48 hours), the total work hours per week must
not exceed 56 hours.
The calculation basis for work overtime is the ordinary salary,

Seguro Social
Todo trabajador tiene el seguro social obligatorio establecido
por el Estado Nacional, el cual cubre dolencias, accidentes
de trabajo, incapacidad fsica, pensin de incapacidad y
jubilacin. La contribucin al Seguro Social es del 9 % para los
trabajadores y del 16,5 % para los empleadores.
Las contribuciones del trabajador son retenidas e ingresadas
por el empleador, el cual es considerado agente de retencin.
Social Security
Every employer has the mandatory social security establish
by the National State, which covers diseases, work accidents,
physical disability, disability pension and retirement. The
Social Security tax rate is 9% for employees, and 16.5% for
employers.
The taxes from the workers are withheld and paid in by the
employer, who is considered a withholding agent.

Permanent residents will enjoy the same rights and have the
same obligations as the Paraguayans, with the modalities and
limitations provided by the National Constitution and the
laws.

c) Maquila
Con la entrada en vigencia de la Ley de Maquila, los inversores
pueden introducir bienes, productos o servicios al Paraguay,
con el propsito de ser ensamblados, reparados, mejorados,
trabajados o procesados para su posterior exportacin, una vez
incorporado el valor agregado paraguayo.
Pueden acogerse a los beneficios otorgados por la Ley
de Maquila las personas fsicas o jurdicas, nacionales o
extranjeras, domiciliadas en el pas, y que desarrollen un
Programa de Maquila aprobado.
La actividad maquiladora se encuentra afectada por un tributo
nico del 1% sobre el valor agregado en el territorio nacional
o sobre el valor de la factura emitida por orden de la matriz, la
que resultare mayor.
El contrato de maquila y las actividades realizadas en ejecucin
de la misma, se encuentra exentos de todo otro tributo.
c) Maquila
Upon the coming into effect of the Law of Maquila, investors
can introduce goods, products or services into Paraguay, for
assembling, repairing, improving, elaborating or processing
purposes, for their subsequent export, upon addition of the
Paraguayan added value.
The benefits granted under the Maquila Law can be bestowed
on natural persons or legal entities, national or foreign,
domiciled in the country, developing an approved Maquila
Program.
The maquila activity is subject to one single tax of 1% on the
value added in national territory, or on the value on the invoice
issued on request of the head office, whichever is greater.
The maquila contract and the activities performed for its
execution, are exempt from every other tax.
