Partnership Agreement between

Ateneo Resident Students Organization and (Company Name)


This Agreement is made and entered into by and between the Ateneo Residents Student Association,
herein referred to as ARSA and (Company Name) herein referred to as (Company Name). In
consideration of the premises and mutual promises set forth herein, the parties, intending to be legally
bound, hereby agree as follow:
1. Event. ARSA agrees to conduct the ARSAFEST 2015 Bazaar, which will be held from January 20,
2015 January 23, 2015.
2. Responsibilities of the Organization. ARSA will:
a. Provide a Memorandum of Agreement (MOA), which is sanctioned by the Residence Halls
Administration
b. Provide (Company Name) with the following for the entire duration of ARSAFEST 2015 Bazaar
(Jan 19, 2015-Jan 23, 2015):
i. A space in the Cervini Field that shall have an area of approximately 3m or 3m

ii. Free use of electricity for all electrical equipment not exceeding a total wattage of 2000
Watts for the duration of the event
iii. The option to install or use partitions, as well as any creative display that can fit within the
space allocation
c. Secure all logistical permits for the entry and operation of (Company Name) in the Ateneo at
least 2 days before the activity.
i. Obtain the needed information and details from (Company Name) (i.e. list of names,
vehicle plate numbers, etc.)
ii. Provide (Company Name) with the approved vehicle pass for entry and approved permits
for business operations in the Ateneo if needed.
d. Have to first consult, collaborate or take into consideration any change(s) to ARSAFEST 2015
intended to be made by ARSA and act on any of (Company Name) concerns and suggestions

3. (Company Name)s Responsibilities. In exchange for the above stated provisions, (Company Name)
will:
a. Sign this Memorandum of Agreement (MOA)
b. Terms and Conditions. (Company Name) has to abide by the terms and conditions of operation that
are herein stated:
i. OPERATING HOURS(Company Name) shall keep their spaces open during the
designated Bazaar operating hours. The Bazaar will be operating from 9:00 AM to 7:30 PM
on January 20-22, 2014 (Monday - Thursday) and 9:00 A.M. to 12:00 AM on January
23, 2014 (Friday). This excludes the set-up time. Therefore, (Company Name) should
set up before the operating hours start (ingress is at 7:00 AM and egress is at 5:00
PM/9:30 PM). (Company Name) may commence operations only at the Bazaars official
opening time. ARSA may, in its sole discretion, extend the bazaar operating hours to
accommodate customers.
ii. MERCHANDISE (Company Name) may only sell merchandise that has been preapproved in writing by the ARSA. (Company Name) hereby warrants that it shall not sell
export- (overruns, CDs/DVDs/pirated goods) since the event aims to be UNIQUELY
FILIPINO.
(1) (Company Name) reserves the right to pull-out any merchandise that was not preapproved, or those found by ARSA, in its sole discretion, to be offensive,
inappropriate, or not in keeping with the theme of the Bazaar. In the event of pullout
of such merchandise, ARSA shall be free from any liability to (Company Name) for
any damages of whatever nature.
(2) (Company Name) should provide their Health Permit every day of the event since
this will be constantly checked by ARSA in compliance with the Caterers
Guidelines for Food Handling and Serving Practices.
iii. SPACE LAYOUT/ DISPLAYS Each space shall have an area of approximately 3m by
3m , or as arranged by (Company Name) and ARSA

(1) Spaces are not equipped with boundaries set on the floor. It is understood
(Company Name) would be considerate enough to keep his displays and
merchandise within his boundaries so as to accommodate other PARTICIPANTS.
ARSA will NOT be providing partitions. (Company Name) may, at its expense,
install or use partitions, as well as assemble its merchandise display within its space
allocation using any creative means necessary.

iv. SECURITY/ LIABILITY FOR LOSS OR DAMAGES


(1) (Company Name) products may be left at the designated area or inside the dorms
for overnight storage. However, (Company Name) shall be solely responsible for
the security of its area and ARSA shall not be held liable for any loss or damage to
the area or any goods or merchandise found therein.
(2) (Company Name) shall be liable to ARSA for any loss or damage to the SITE by
reason of fault or negligence by (Company Name). Any damage caused by
(Company Name) to any property within the SITE is not under the liability
of ARSA but of (Company Name).
(3) Storage, sale or display of highly flammable or explosive goods/substances,
installation of any apparatus, machinery or equipment that may endanger the
area of fire, are strictly prohibited within the premises of the SITE.

v.

FOOD TENANTS
(1) Food tenants are expected to complete the FOOD QUALITY ASSESSMENT
FORM which will be provided by ARSA. This form shall be submitted no less
than two weeks before the ARSAFEST Bazaar
(2) Food tenants are also expected to comply with the Caterers Guidelines for
Food
Handling and Serving Practices which will be provided by the
ARSA

c. Provide ARSA with the pertinent information that will be requested from the (Company
Name) one (1) week before the commencement of the ARSAFEST bazaar. This information
includes, but is not limited to:
i. Names of operator of the rented space, his/her/its employees and/or representatives.
ii. Plate numbers for all the vehicles that the (Company Name) will use for the duration of the
ARSAFEST bazaar if any.
iii. Food Tenants are expected to submit the aforementioned food quality assessment form with
all attached documents that are required by said form.
d. Provide ARSA with all promotional materials, i.e. streamers (not bigger than 2 or 3 meters), flyers
(not more than 150 pieces per day), and tarpaulin (standard size).
e. Consult with and channel their concerns or requests through ARSA.

Comply, at all times, with the rules and regulations promulgated by ARSA, as well as the rules and
regulations issued and implemented by the Ateneo de Manila University. ARSA reserves the right
to dismiss any individual to leave the event premises, whether guest or (Company Name), who
compromises the event with disruptive behavior, words and actions, which may lead to disreputable
conduct.

4. Term and Termination. This Agreement shall be effective from the date of the signing of this
Partnership Agreement through the end of the aforementioned events. If when cases a breach of contract
happened, the Residence Halls Administration shall intervene in behalf of the Ateneo Resident
Students Association in seeking legal actions.
5. Termination for Default. ARSA by written notice, may terminate this Agreement in whole or in part for
failure of (Company Name) to perform any of the provisions herein. In such event, (Company Name)
shall be liable for damages, including the excess cost of procuring similar supplies or services.
6. Force Majeure. Neither party shall be responsible for events beyond its reasonable control, such as acts
of God, weather delays, or other fortuitous events. If the event is postponed due to inclement weather or
other conditions beyond ARSAs control, it may be rescheduled for another time. (Company Name)
shall be entitled to a full refund of whatever monetary fees have already been paid to the ARSA.
7. Entire Agreement. This Agreement contains the entire understanding between the parties relating to the
subject matter contained herein and supersedes any all prior agreements, arrangement, communication,
or representations, whether oral or written. This Agreement may not be amended, altered, modified or
changed except through a written document signed by both parties.
