TRUST DEED

THIS DECLARATION OF TRUST is made this th day of

thousand and eight by Mrs. Kala Iyer, D/o Sri.V.Laxman , R/o 301-D,Pocket II, Phase
I ,Mayur Vihar Delhi 110091 (hereinafter referred to as the SETTLOR) who is desirous
of establishing this Trust to establish an organization to involve itself in activities and
research in the field of Health, culture, education for the poor and needy and provide
relief and succor to people in their old age by way of establishment of old age homes
with all facilities for looking after their needs of shelter, food , health, recreation etc. ,
encouragement on a continuous basis for development of education, employment and
culture and provide assistance to the needy for education, medical treatment, marriage,
etc by investing Rs. 5000/- (Rupees five thousand only) as the initial CORPUS of the
TRUST in the TRUSTEES herein below named (which expression shall include the
Survivor or Survivors or others as the TRUSTEES for the time being hereof ) who are
willing to act invested with the CORPUS of the TRUST for the purpose of carrying out
the OBJECT of the TRUST for the purpose of carrying out the OBJECT of the TRUST.
WHEREAS:

There is need in this ever changing commercialised environment of organisation


to take care of the needs of the aged by way of provision of facilities in old age
homes where the old can spend the remaining years of their life with peace
comfort and honour.

Also there is a need for establishment of orphanages to take care of children left
homeless due to various reasons like natural calamities and desertion so that what
could become a liability is channeled properly to create potential assets of the
nation.

3.

The Indian Art and culture has a rich heritage which needs to be preserved and
nurtured by providing assistance for development of the same.

4.

It is a matter of social justice to make Health Care available to all people through
new approaches and strategies and better management of available resources.

5.

Development of India can only be achieved by educating the masses and towards
this end there is a need for providing financial assistance to the deserving and
needy.

It is intended by means of Appeals and Subscription Donations and Bequests to add to


the CORPUS of the TRUST and to establish a TRUST FUND to be subscribed by those
sympathetic to and to be applied for the AIMS and OBJECTS of the TRUST.
NOW THIS DEED WITNESSETH and it is hereby declared as follows:
1.

NAME OF THE TRUST:


A TRUST is hereby established to be known as GENESIS FOUNDATION
which shall be charitable.

2.

THE AIMS AND OBJECTS OF THE TRUST are:

a).

To establish old age homes and orphanages to look after aged people and children
deserted due to various reasons.
To help furtherance of education by setting up scholarships, providing assistance
by way of fees reimbursement, books , uniform etc to the needy.
To provide medical assistance for treatments of various diseases to the poor and
deserving.
To provide assistance for meeting expenses on marriage by poor and deserving.
co-operation and co-ordination with institutions ,by way of partnerships,
consortium, bodies , persons engaged in similar work in India or abroad by taking
up projects, field work etc ;
raising and collecting Subscriptions , Donations , bequests of medical supplies
etc. and monies etc. for carrying out the AIMS AND OBJECTS of the TRUST;
purchasing , taking on lease , or otherwise owning , holding , constructing ,
developing , mortgaging , pledging , selling , assigning , renting , transferring , in
exchange or otherwise dealing with real or personal property or any interest
therein; in furtherance of objects of the trust.
doing all or such other acts , deeds and things considered necessary or conducive
or incidental and consequential to the AIMS AND OBJECTS of the TRUST.
to enlist volunteers to do service for the trust to promote the objects/ in
furtherance thereof who may be deputed to do any work on behalf of the
TRUST.
to undertake Research & Development & training, capacity building activities in
the areas of health, education, economics, agriculture, fisheries, governance etc.
to undertake studies, conduct seminars, conferences, panel discussions on issues
of importance

TRUSTEES:
The following shall be the first TRUSTEES of the TRUST :-

TRUSTEES TO HOLD TRUST FUND IN TRUST:

a).

The TRUSTEES shall hold the CORPUS of the TRUST and all other monies
received whether by way of subscription, donation, bequest or otherwise
(hereinafter referred to as the TRUST FUND), and all investments at any time
representing the same or any part thereto and revenue arising therefrom upon
TRUST to pay and apply or cause to be applied the same in accordance with the
provisions hereof.

b).

The TRUSTEES shall have powers exercisable from time to time they may in
their absolute discretion think fit and in particular:
to collect donations;
to make appeals for donations and periodical reports of the activities of the
TRUST;
to accept donations of any special trust in connection with the TRUST so that
every donation so accepted shall be held subject to the terms and conditions of the
gift.
to provide such services as may be decided by the trust to such persons
requiring them either through volunteers/ trainees or through persons employed
by the trust and receive payments for such services rendered.

RULES GOVERNING THE MANAGEMENT OF THE TRUST:


The TRUST shall be managed by minimum three Trustees or such greater
number as the TRUSTEES may decide from time to time and they shall have
authority to make decisions on all important matters relating to the TRUST and
the procedure for the utilisation of the TRUST FUND.
The TRUST may if it deems fit associate any person of eminence in various walks
of life as PATRONS. Patrons shall only have an advisory capacity and such
advises shall be considered and acted upon by the trustees if they deem it fit and
in the interest of the TRUST.

6.1.

FILLING UP OF VACANCIES:
The TRUSTEES shall be vested with the power of appointing new TRUSTEE /
TRUSTEES in the event of the number of TRUSTEES becoming less than three
TRUSTEES.
The power of appointing new TRUSTEES in addition to and / or in place of
existing TRUSTEES on their retirement or resignation or death shall be vested in
the surviving or continuing TRUSTEES for the time being and whenever the
number of TRUSTEES shall be less than three , one or more new and / or

additional TRUSTEE / TRUSTEES shall forthwith be appointed so as to bring the


number of TRUSTEES upto at least three.

6.2.

REMOVAL OF TRUSTEES:
Any TRUSTEE can be removed from the office by a Resolution passed by a
majority of them , unless so removed every TRUSTEE shall continue to hold
office until he or she resigns.

7.1.

MANAGEMENT OF THE TRUST:

a).

Ms.Kala Iyer shall be the MANAGING TRUSTEE who shall manage the TRUST
and the TRUST FUND in consultation with the TRUSTEES.

b).

No TRUSTEE including the MANAGING TRUSTEE shall be entitled to any


remuneration for the services to be rendered by them

7.2

The trust shall initially function from 301-D, Pocket II, Mayur Vihar, Delhi
110091 or change may be effected by passing a suitable resolution of the
trustees.

8.

MEETINGS:

a).

The MANAGING TRUSTEE shall hold ordinary meetings once in three months.
Special Meeting of the TRUST may be summoned at any time by the
MANAGING TRUSTEE upon at least 5 days notice being given to the other
TRUSTEES of the matters to be discussed.

b).

All Meetings of the TRUST shall be presided over by the MANAGING


TRUSTEE and in his absence , the TRUSTEES shall appoint one of their
numbers to be the Chairman. However , all matters shall be determined by the
majority of votes of the TRUSTEES present in person and voting on the question.
In case of equality of votes , the MANAGING TRUSTEE shall have the casting
vote.

c).

The proceedings for convening the meetings , preparing agenda , the minutes, and
any other details shall be determined by the TRUSTEES through discussions
between them.

d).

Any Resolution may be rescinded or voiced from time to time by the TRUSTEES.

9.

VALIDITY OF PROCEEDINGS:
The proceedings of the TRUST shall not be invalidated by any defect in the
election or disqualification of any TRUSTEE.

10.

TRUST FUND AND ITS OPERATION


The TRUSTEES may from time to time open and maintain under the name of "
SINGHALS FAMILY TRUST " a Bank Account at such Bank or Banks as they
shall from time to time decide and may pay at any time any money held on
account of the TRUST FUND to the credit of any such account or accounts and
all cheques and orders for the payment of money shall be singed by at least two
TRUSTEES.

INVESTMENTS:
The TRUSTEES may invest the TRUST FUND in such approved investments(by
Income Tax Act, 1961 ) as may be deemed appropriate by them and may from
time to time vary such investments for others or like matters as they deem fit.

12.

ACCOUNTS:
All books of accounts shall be provided and kept by the MANAGING TRUSTEE.
All accounts in relation to the TRUST FUND shall be made out each year and
duly audited by the Auditor or Auditors as if the TRUSTEES shall appoint from
amongst themselves , or if the TRUSTEES shall consider it necessary , by a
professional accountant.

13.

GENERAL POWER TO MAKE REGULATIONS:


Within the limits prescribed by this DEED the TRUSTEES shall have full power
from time to time to make , alter and rescind regulations for the management of
TRUST and for conduct of their business including summoning of the meetings
and shall have power to vary or rescind any rules so made.

14.

AMALGAMATION & TERMINATION:


If at any time the TRUSTEES shall decide that the objects of the TRUST could be
more beneficially and conveniently attained in conjunction with some other
charitable association of organization or institution , the TRUSTEES shall call
meeting of all the TRUSTEES and if it is agreed by the majority by a Resolution
duly passed , the TRUSTEES may amalgamate or cause to be amalgamated the
TRUST with such other Charitable Association or organization or institution. The
trust may be terminated at any time by passing an unanimous resolution and
transfering the funds to a like minded association/trust.

15.

POWER TO EMPLOY AGENTS:


The TRUSTEES shall not be bound in any case to act personally but shall be at
full liberty to employ and pay any clerk or other agent or servant to transact all or
any business of whatever nature required to be done in pursuance of these or in
furtherance of the purposes of the TRUST including the day to day management
thereof and shall be allowed and paid all the charges and expenses so incurred by
them for the administration thereof and shall not be responsible for default of any
such agent or servant or any loss occasioned by his employment.
