GENERAL TERMS AND CONDITIONS

Client Confirmation
Advance Fee Terms: A formal confirmation with A purchase order & advances as mentioned in the Payment Plan by Blade-BRAINS Group to start the process.
i. Start Up cost as Mobilization advance
iii. Credit Period: Invoice will be raised after each program, for which payment would be released within 15 days of submission of invoices

A service tax @ 12.36% may be applicable on the above said investments.

Any other services other than the ones mentioned above are liable to be charged @ 20% as service charge
The above-mentioned commercials should not exceed the number as mentioned in this proposal
The Commercials only include the heads and the specifications given above, any other expenses incurred shall be charged on actual or as agreed upon in
writing
Payment to be made by Cheque/ Demand Draft/ Bank Transfer in favour of Spectra consultants, payable at par at Delhi.
Vibgyor High can deduct Tax at Source as applicable as per the Income Tax Act, 1961 and will submit Tax Deducted at Source (TDS) Certificate within a
period of 2 months from date of deduction.
Cancellation/Postponement Terms: If a confirmed order is cancelled or postponed within 7 days of training then 50% of training fee & Management Fee

* would be charged as cancellation fee

Any dispute If Any would be referred to arbitration proceedings to be conducted at New Delhi. the sole arbitrator would of the Chief Mentor of Blade-

consequential or punitive damages, in connection with or arising out of this Agreement or the termination thereof, under any theory of law.

INCLUSIONS & EXCLUSIONS

Cost Inclusions
1. Professional Charges for 1 Project Cordinator+Resources for Content Writing+Creative / Graphic Designer(s)+Subject Matter Experts;
3. Content Creation as per the Learning framework agreed upon for 1 Year only.
4. Project Execution cost + Project Management cost + MIS support cost, for the Project (If any or as applicable)
5. The project team recruitment charges, mobile expenses, laptop with data card, HR administrative expenses(If any or as applicable)
a. It also Includes the Cost of monthly Shut Down Meetings (review and planning) for the trainers & coaches (If any or as applicable) only incase of local or meetings will take place
on telephone or Video (Virtual)
b. Project Review meeting with Vibgyor for upto 4 hours telephonic / Video / Skype Call, Twice every 30 days
Cost Exclusions
1. Local Travel for OJTs/Audits or any other travel required for work purpose will be charged on actual basis and will be reimbursed by Vibgyor High
2. Intercity Travel, Boarding and lodging charges, incurred by any Blade-BRAINS Group team for any training program, recruitment of sales team or any other activities otherwise
mentioned are excluded (is to be borne by Vibgyor). Blade-BRAINS will seek prior approval for travel from Vibgyor Hgh
*Trainer Travel for Boot Camp is extra
*Program Venues & training equipment required for training shall be organized by Client
3. Project Co-ordinator will be based in Blade-BRAINS Head office. His/ Her review, travel and boarding & lodging to be charged on agreed norms.
4. Any R&R Program to be rolled out for the Project team or participants
5. Any outbound experiential learning program, which would require trainers/activity consumables/ any other outsourcing cost
6. Coverage of any audiences other than the Sales Executives
7. Printing Cost of the Content is not included
8. Video creation cost is not included (If any)
9. For National Level Contest Content Development Charges have not been levied as it depends on the number of levels & design framework
10. Venue for the national contest and MOC charges for national level contest are not included.
11. All cost related to technical training and content development for technical subject will need to be borne by Vibgyor High
12. Any additional resources or any role holder other than mentioned above would be charged as per the unit rate indicated or as per mutual agreement in case of new role holder.
13. The above cost does not include any content development (non-technical) other than the one mentioned during the startup phase.
14. All applicable taxes shall be extra
Unit Rates1. E-learning Content development charges will be additional on the basis of Level 1,Level 2 & Level 0 of pages required to be developed
2. Additional Content development comprising of Any New Modules other than the scope + New Assessment Tools/Tests+ Product Updates will be charged @ INR.10,000/- per day.

Anything which is not mentioned herein, will be as per agreed terms upon signing of the project mutually
