MEMORANDUM OF AGREEMENT WITH CONFIDENTIALITY CLAUSE

KNOW ALL MEN BY THESE PRESENTS:

This MEMORANDUM OF AGREEMENT WITH CONFIDENTIALITY CLAUSE
(this Agreement) is made and entered into this __ day of ___ March 2014, by
and among:
ECUMENICAL INSTITUTE FOR LABOR, EDUCATION AND RESEARCH
(EILER) , a non-stock, non-profit corporation duly organized and registered under
the laws of the Philippines with address at 15 Anonas St. Unit D-24 Casal
Building, Barangay Quirino 3-A, Project 3, Quezon City, represented herein by its
EXECUTIVE DIRECTOR, ANNA LEAH ESCRESA-COLINA, hereinafter
referred to as the EILER.
-andRESIDENTS/BENEFICIARIES OF BATA-BALIK ESKWELA PROGRAM ( the
Project) , Filipinos, of legal age, with residences and postal addresses at
_____________________( place of residence hereinafter referred to as the
BARANGAY) , hereinafter referred to as BENEFICIARIES.
WITNESSETH: -that-

WHEREAS, WHEREAS, EILER is the sponsor of the BATA BALIK-ESKWELA

PROJECT (hereinafter referred to as PROJECT), in partnership with a chosen
local government unit, duly organized and registered under the laws of the
Philippines.
WHEREAS, the chosen BENEFICIARIES had expressed their willingness to be
part of the said PROJECT.
WHEREAS, in exchange for being the recipient of said PROJECT, the
BENEFICIARIES have agreed to help, support and work in coordination with
EILER for the success of said PROJECT.
NOW THEREFORE, and in consideration of the foregoing, EILER and the
BENEFICIARIES, intending to be legally bound, agree to the terms set forth
below.
TERMS AND CONDITIONS

ARTICLE I
TITLE AND DESCRIPTION OF PROJECT

ARTICLE III
RESPONSIBILITIES OF THE PARTIES
1. EILER
Through its project employees and permanent staff shall:
a. Facilitate
the
training
of

b. _______________________________________________________________.
Through the PARTY shall:
a. Provide and construct a permanent facility that will serve as the

i. Accessible site in PARTYs land with shed and base flooring and
other necessary facilities;
ii. Installation of electrical power source; and
iii. Installation of water facilities.
2. BENEFICIARIES:
a. Act as the recipient of the PROJECT;
b. Support the PROJECT as its own;
c. To provide assistance and logistical support to project employees and staff of
EILER on scheduled events, clinics, discussions, meetings, teach-ins and other
forms of execution of the PROJECT upon prior notice;
d. Continue the PROJECT even after its termination to support and fulfill the
PROJECTs purpose and objectives.
e. To take care of the materials and facilities left to the use of the BENEFICIARIES
with the diligence of a good father to a family or ordinary diligence.
f. To give notice to the BARANGAY, any wear and tear, deterioration or damage to
the materials and the facilities left by EILER to the care of the BENEFICIARIES
and to solicit permission to repair such, unless such repair, if not done
immediately, will contribute to the destruction or further damage of the material or
facility.
g. To participate and volunteer, with the supervision of the BARANGAY in the
management and operation of facility in accordance to the project plans including
maintenance, upkeep, and repair.
h. To assist in organizing and/or in disseminating public information of the project in
the specified areas.

To not, at any time now or in the future, directly or indirectly, use, publish,
disseminate or otherwise disclose any Confidential Information, Concepts, or
Ideas to any third party without the prior written consent of EILER which consent
may be denied in each instance.

ARTICLE IV
AMENDMENT
Any amendment to this AGREEMENT shall be made in writing duly agreed and
signed by the parties hereto.

ARTICLE V
EFFECTIVITY

This AGREEMENT shall be for a period of ______, to take effect upon signing
thereof by the parties, renewable for a like period upon agreement of the
parties, PROVIDED, that any of the parties may pre-terminate the same by giving sixty
(60) days written notice in advance to the other parties, prior to the intended date of
termination.

This document, consisting of six (6) pages including this page where the
Acknowledgement is written, has been signed by the parties and their instrumental
witness on each and every page thereof, sealed with my notarial seal, and refers to
a Memorandum of Agreement with Confidentiality Clause with the Beneficiaries of
Bata Balik-Eskwela Project.
